As consideration for the expenses incurred by Holdings in providing and maintaining the Office Space and Office Overhead, Sunset shall pay to Holdings $12,500 per month, each payment due and payable in advance on the first business day of each calendar month and pro rated for any period during the Term of this Agreement (as hereafter defined) of less than a calendar month based on the actual number of days elapsed. Sunset understands and acknowledges that during the Term of this Agreement, Holdings shall continue to maintain its corporate offices in the Office Space. Holdings and Sunset will cooperate in order to minimize any interference caused by Holdings and Sunset sharing the Office Space and Holdings providing the Office Overhead; provided, however if such interference is unavoidable, Holdings will apportion, in its sole discretion, the available Office Space and Office Overhead in a fair and reasonable manner.

Office Space and Administrative Support. For a period of five years from the Retirement Date, Axxxx’s will pay Lxxxxxxxxx on a monthly basis the amount of $2,500.00 to reduce Lxxxxxxxxx’x cost of maintaining his personal office in an office space of his choosing (other than Axxxx’s corporate offices). Lxxxxxxxxx shall also be entitled to keep and move to such personal office furniture chosen by him for such purpose currently in his office at Axxxx’s. During such period while such personal office is maintained, Axxxx’s will provide Lxxxxxxxxx with the services of an administrative assistant providing support to him consistent with his current level of needs. The administrative assistant will be a full-time employee of Axxxx’s and be paid by and receive her customary benefits through Axxxx’s payroll, and it is anticipated that such assistant will devote approximately 50% of a full time schedule to providing such services to Lxxxxxxxxx, if such level is required by Lxxxxxxxxx. The assistant will split her time between Lxxxxxxxxx’x office and Axxxx’s corporate headquarters on a schedule approved by Axxxx’s from time to time upon consultation with Lxxxxxxxxx. Pxx Xxxxx will initially serve as such assistant and will continue to serve as such assistant for such five-year period until her employment with Axxxx’s is terminated or Lxxxxxxxxx requests that she no longer provide such services; provided, however, that Axxxx’s agrees with Lxxxxxxxxx that Axxxx’s will not terminate Mx. Xxxxx’x employment during such time except for good cause after prior notice to Lxxxxxxxxx. If Lxxxxxxxxx determines that he no longer has need for office space or for such administrative support, he will notify Axxxx’s that such benefits may be discontinued, and Axxxx’s will have no further obligation to make any further monthly payments for office space or to make available an administrative assistant.
