or 6. 1.1.2 will be developed for purposes of storing and using such water rights. All Acequia diversions for purposes of either of these projects shall be accounted as part of Xxxxxx Seco Arriba’s 18.3% share of the Rio Xxxxxx, which share shall be adjusted over time in accordance with Article 8.2.1.2. The Pueblo and the Acequia Madre del Rio Xxxxxx y del Xxxxxx Seco agree that the operation of either project described in this Article 6.1.1 shall not compromise the Acequia’s right to its share of the Rio Xxxxxx as provided in Article 8.2.1.1 or the Pueblo’s interest in and rights to the protection of the Buffalo Pasture.
or 6. 5. In the event this PD-1 License Agreement is terminated by Celgene pursuant to Section 6.3, 6.4, or 6.5, then (a) all rights and obligations of the Parties under this PD-1 License Agreement shall terminate, except (i) the licenses granted in Section 4.1.1, (ii) Celgene’s payment obligations (subject to clause (c) below) and the audit rights set forth in Article 6, and (iii) Section 6.9, shall, in each of cases (i) through (iii), survive such termination, (b) Jounce shall return any Confidential Information of Celgene pursuant to Article 8 of the Master Collaboration Agreement that is not necessary to practice any licenses retained by Jounce following such termination under this PD-1 License Agreement, another Co-Development & Co-Commercialization Agreement or the Master Collaboration Agreement, and (c) all payments due to Jounce pursuant to Article 6 that accrue on or after the effective date of such termination shall be reduced by all costs and losses as finally awarded to Celgene and all reasonable and documented expenses incurred by Celgene as a result of Jounce’s breach of this PD-1 License Agreement.

or 6. 3.4.2 applies the provisions of this Clause 6 shall apply in their entirety to the whole of any Shared Liability or Joint Liability which exceeds US$200,000 or US$1 million (as the case may be) or which forms part of a series of connected Joint Liabilities or Shared Liabilities (as appropriate) relating to or arising out of the same circumstances which in the aggregate exceed US$200,000 or US$1 million (as the case may be) and not just to the excess over such amount.
