Ownership and Responsibility. First Solar will endeavor to remove the Modules from the Registered Site promptly after the Modules have been disassembled and packaged for transportation in accordance with First Solar’s instructions. To the extent permitted by applicable law, effective upon First Solar’s removal of the Modules from the Registered Site, (a) ownership of the Modules will transfer to First Solar, automatically and without the need for any further assignment, bxxx of sale or other instrument or action, and (b) Owner will have no further liability or obligation with regard to the Modules.

Ownership and Responsibility. The Owner of the Facility shall design, construct, install, own, operate, and maintain the Facility and all equipment on the Owner’s side of the point of delivery/receipt that is required to generate and deliver energy to LES except for any special facilities as may be designated. The Facility’s protection, control, safety, and all associated equipment must meet standards of good engineering and electrical safety practices as determined solely by LES and be capable of parallel operation with LES service wires. The protection, control, safety, and other associated equipment shall at all reasonable times be accessible to authorized LES personnel.
Ownership and Responsibility. 8.1 TEMIC acknowledges and agrees that SMI shall own all rights, including, without limitation, all patent rights, copyrights, trade secret rights, and mask work and similar rights, in and to the wafers and other products produced by TEMIC for SMI hereunder, and in the know-how disclosed by SMI to TEMIC hereunder. TEMIC shall own all rights in and to the production process and all know-how independently developed by TEMIC and used in the manufacturing of the wafers. If Applicable Laws of any country in the Sanofi Territory require that, in such country, Regulatory Approvals be held by the Regulatory Approval holder of a specific country in the Vivus Territory (a “Vivus Territory Regulatory Approval Holder”), Vivus shall or, if Vivus is not the Vivus Territory Regulatory Approval Holder, shall use Commercially Reasonable Efforts to cause any such Vivus Territory Regulatory Approval Holder to: (i) execute all instruments that shall be deemed necessary by Regulatory Authorities of such country in the Sanofi Territory in this respect and/or (ii) execute any agreement with Sanofi or its Affiliates for the purpose of transferring to Sanofi or its Affiliates certain responsibilities that the Vivus Territory Regulatory Approval Holder may incur by holding the Regulatory Approval in such country of the Sanofi Territory, all at Sanofi’s expense. For clarity, as used in the preceding sentence, “Commercially Reasonable Efforts” shall not require that Vivus incur any out-of-pocket costs or otherwise amend its agreement with the applicable Vivus Territory Regulatory Approval Holder in any manner that adversely impacts Vivus to a material degree.

As stated in Section 4 (Exclusive Use), the device will remain the property of Emmaus Catholic Primary School.
