Parliamentary Rules. In the absence of and to the extent not inconsistent with specific provisions in these Bylaws, meetings or other actions pursuant to these Bylaws shall be governed by procedures that the Board may, from time to time, establish by resolution.
Parliamentary Rules. Except as may be modified by Board resolution, Xxxxxx's Rules of Order (the then current edition) shall govern the conduct of Association proceedings when not in conflict with South Carolina law or the Governing Documents.

All meetings of the CCC Board shall comply with parliamentary rules and procedures outlined in the most recent edition of ROBERT’S RULES OF ORDER for small boards, except to the extent those rules are inconsistent with any rules adopted by the CCC Board or are inconsistent with the provisions of this Agreement or applicable Minnesota law.

The President may appoint a Parliamentarian whose decision on questions of parliamentary procedure shall be final. Any questions or point of order not raised at the meeting to which it relates shall be deemed waived.

Except when specifically or impliedly waived by the chairman of a meeting (either of members or directors), Robert’s Rules of Order (latest edition) shall govern the conduct of the Association meetings when not in conflict with the Act, the Declaration, the Articles or these Bylaws; provided, however, that a strict or technical reading of said Robert’s Rules shall not be made so as to frustrate the will of the persons properly participating in said meeting.
