Parts Inventory. DEALER and DISTRIBUTOR recognize that the owners and users of Toyota Motor Vehicles may reasonably expect that DEALER will have Genuine Toyota Parts or Accessories immediately available for purchase or installation. DEALER, therefore, agrees to carry in stock at all times during the term of this Agreement an adequate inventory of Genuine Toyota Parts or Accessories, as listed in DISTRIBUTOR's current inventory guide, to enable DEALER to meet its customers' needs and to fulfill its service responsibilities under this Agreement.
Parts Inventory. Service Provider maintains a comprehensive parts inventory to support its field operations. Replacement parts are stored throughout North America in Service Provider’s facilities and are normally available as necessary. Most specialized parts are available within 24 hours, seven days a week. All replacement parts used in Purchaser’s vertical transportation equipment will be new or refurbished to meet the quality standards of Service Provider.
Parts Inventory. Ensure sufficient parts inventory for period of performance.
Parts Inventory. All spare parts, pipe, valves and other similar items of inventory located on or about the Gathering Lines, the Compressor Stations and the Processing Facilities and intended for use in connection with the System (the “Parts Inventory”);
Parts Inventory. DEALER agrees to maintain an adequate inventory of parts that are reasonably needed to provide for the service, care, maintenance, and repair of the Lion Products.
Parts Inventory. DEALER will stock a sufficient quantity and variety of parts and accessories to meet Customer demand and to perform warranty repairs and special policy work. DEALER recognizes, however, that its Customers may reasonably expect that DEALER will have Hyundai Genuine Parts or Accessories immediately available for purchase or installation. DEALER, therefore, agrees to carry in stock at all times during the term of this Agreement a complete inventory of Hyundai Genuine Parts or Accessories, as listed in HMA's current inventory guide, to enable DEALER to meet its Customers' needs and to fulfill its service responsibilities under this Agreement. HMA reserves the right to audit DEALER's inventory from time to time and may require DEALER to supplement its inventory to meet its obligations hereunder. DEALER will install and maintain a parts inventory control system approved by HMA to track availability and sales of parts.
Parts Inventory. CONTRACTOR shall establish and maintain an ongoing spare parts inventory sufficient to minimize vehicle down-time and ensure that peak vehicle requirements are met.
Parts Inventory. With respect to any Parts Inventory scheduled or listed on the most recent Collateral Report as of the date of such Collateral Report, except as disclosed therein and otherwise permitted under Sections 5.15 and 6.16 of the Credit Agreement: (a) no such Collateral consisting of Parts intended to be sold by Grantor in its aftermarket parts services business is now, or shall at any time or times hereafter be stored at any other location other than a Designated Parts Location, (b) Grantor has good title to such Parts Inventory and such Parts Inventory is not subject to any Lien or security interest or document whatsoever except for the Lien granted to the Administrative Agent, for the benefit of the Secured Parties, and except for other Liens permitted under Section 4.1(e), (c) such Parts Inventory is Eligible Parts Inventory, (d) such Parts Inventory which contains or bears any Intellectual Property rights licensed to Grantor by any Person is not subject to any licensing, patent, royalty, trademark, trade name or copyright agreements with any third parties that would, upon sale or other disposition of such Parts Inventory by the Administrative Agent in accordance with the terms hereof (i) infringe the rights of such licensor, (ii) violate any contract with such licensor, or (iii) cause the Administrative Agent to incur any liability with respect to payment of royalties SECURITY AGREEMENT other than royalties incurred pursuant to sale of such Parts Inventory under the current licensing agreement relating thereto and (e) the sale or other disposition of such Parts Inventory (other than Parts Inventory that is not material) by the Administrative Agent following the occurrence and during the continuance of an Event of Default shall not require the consent of any Person and shall not constitute a breach or default under any contract or agreement to which such Parts Inventory is subject.
Parts Inventory. Contractor shall:
A. Maintain a supply of contacts, coils, leads, generator, light bulbs and motor brushes, proper lubricants, fuses, wiping materials, printed circuit boards, and other minor parts, in the elevator room of each building necessary for the performanceof routine maintenance and restoration of service following minor shut downs required in the performance of the work.
B. Maintain a supply of spare lending and replacement parts in the Contractor's warehouse inventory. Those items in inventory shall include, but is not limited to brushes, motor brushes, controller switch contacts, solid state components, printed circuit boards, selector parts, door hangers, rollers, hoist way limit switches and signal devices for those conveyances identified herein.
C. Be capable of obtaining major parts to prevent prolonged loss of service in the event of failure of Covered Units. Such major parts include motors, motor generator sets, brake coils, safety edges, hanger parts, interlocks, and door guides. Provide source for these major parts and estimated lead time for delivery upon request.
