Shut Downs. The Gateway Services may be temporarily unavailable from time to time, without prior notice to Merchant, in order for PSiGate to perform maintenance and/or upgrades. Such periods of unavailability shall not exceed five minutes during business hours without prior notification to you.
Shut Downs. We reserve the right, from time to time, without prior notice, to shut down and restart the Platform for maintenance and/or software upgrades for reasonable time periods of one minute or more.
Shut Downs. After execution of this Agreement, the Company shall commence the process of shutting down its facilities located in Austin, Texas, Cham, Switzerland and Dusseldorf, Germany, and reducing expenses in respect of its operations in Mannheim, Germany, and Israel (collectively, the "SHUT-DOWNS") with the goal of completing each of the Shut-Downs as soon as practicable (consistent with maintaining good client relationships). The Company shall accrue, in accordance with U.S. GAAP, all costs and expenses related to the ShutDowns. Notwithstanding the foregoing, Buyer acknowledges that the Shut-Downs in the time and in the manner agreed to by Buyer and the Company may not be completed prior to the Merger Date and that a significant portion of the activities, costs and expenses related to the Shut-Downs will occur after the Merger Date. The Company agrees to update Buyer on a regular basis (no less than every two (2) weeks and within one (1) business day of request by Buyer) prior to the Merger Date regarding the status, activities and costs and expenses (and related accounting therefor) of the Shut-Downs. Schedule 5.04 sets forth a good faith estimate of all costs and expenses (including reserves and accruals) the Company and its Subsidiaries expect to incur after the date hereof until the Merger Date in connection with the Shut-Downs, on a location-by- location and item-by-item basis.
Shut Downs. Any shut-down caused by the Tie-in Work, other than an agreed shut-down during the Host Facilities’ scheduled maintenance periods, will not be considered an agreed shut-down and the Tie-in Party shall be liable for such shut-down in accordance with GTC Article 6. The above shall apply for any actual number of calendar days that exceeds the number of shutdown days agreed by the Parties for an agreed shut down.
Shut Downs. Contractor shall notify Coachella’s Police Services (Riverside County Sheriff's Department) and the Director of Public Works or authorized representative of any signal turn-offs or turn-ons necessitated by his operations and shall not make said turnoffs or turn- ons until a staff member is present or unless given permission to proceed without staff presence by the Director of Public Works or authorized representative.
Shut Downs. 33.1 An employee must take an amount of annual leave during a particular period, if:
(a) The employee is directed to do so by the Company because, during that period, the Company shuts down the business, or any part of the business, in which the employee works; and
(b) At least that amount of annual leave is available to the employee.
33.2 If an employee has not accumulated sufficient leave to facilitate the taking of leave due to a shut down, the following will occur:
(a) The Company may at its discretion allow the employee to take annual leave in advance of its accrual; or
(b) The Company may at its discretion seek to provide the employee with employment in another area with a view to enabling the employee to continue to work during the period of shut down; or
(c) The employee may agree to take the period of leave during the shut down as unpaid leave.
Shut Downs. An employee must take an amount of annual leave during a particular period if:
(a) the employee is directed to do so by their manager because, during that period, CSL shuts down the business, or any part of the business, in which the employee works; and
(b) at least that amount of annual leave is credited to the employee. If an employee does not have sufficient annual leave CSL at its discretion may pay the employee annual leave in advance where requested by the employee or direct the employee to take unpaid leave. In these circumstances the period of unpaid leave will count as service, and will be included in calculating the total period of employment with CSL.
Shut Downs. An employee must take an amount of annual leave during a particular period if:
a) the employee is directed to do so by the Club because, during the period, the Club shuts down the business, or any part of the business, in which the employee works; AND
b) at least that amount of annual leave is credited to the employee.
Shut Downs. 6.8.1. The Contractor must consult with the Company’s Representative and obtain 14 days’ prior approval for any action likely to interfere with the Company’s operations at the Site.
6.8.2. The Company shall give the Contractor reasonable notice, where practicable, of any shut down times or isolated plant outages where these are likely to interfere with the carrying out of the Works.
Shut Downs a. Routine shut downs shall be permitted only with prior permission.
