Payment of Accrued Wages and Expenses. The Executive acknowledges receipt, on the Resignation Date, of an amount equal to all accrued wages through the Resignation Date, including accrued, unused vacation and/or paid time off, less applicable taxes and other authorized withholding (apart from the Executive’s bonus for the current fiscal year, which will be paid in accordance with the regular terms of the Company Bonus Plan). The Executive shall also be promptly reimbursed for all expenses incurred by him on behalf of the Company, so long as they are submitted on or before for reimbursement and they are in accordance with the Company’s expense reimbursement policies.

Company and Executive acknowledge and agree that Executive is entitled to receive, and has received, payment of an amount equal to all accrued wages (including base salary and bonus compensation) earned through the Termination Date, including accrued vacation, less applicable withholding,as well as reimbursement for all expenses incurred by Executive on behalf of the Company, which are consistent with the Company’s policies in effect from time to time with respect to travel, entertainment and other business expenses, subject to the Company’s requirements with respect to reporting and documenting such expenses.

To the extent any Hired Employee has accrued but unpaid wages or earned but unused vacation and/or sick pay as of the Transfer Time, Landlord shall either (i) pay to such Hired Employee such amounts as such Hired Employee is entitled to receive as of the Transfer Time, or (ii) pay to Tenant the collective amount of such accrued but unpaid wages and earned but unused vacation and/or sick pay, which amount Tenant shall pay to such Hired Employees in such amounts and at such times as such amounts are due to such Hired Employees. Landlord shall be responsible for Social Security taxes, FICA, and payroll expenses in respect of wages accrued prior to the Transfer Time.

The Executive shall be paid an amount equal to all accrued wages through the Resignation Date, including accrued, unused vacation or paid time off, less applicable withholding. The Company shall pay the Executive these amounts within seven (7) days of the Effective Date of this Agreement. The Executive shall be promptly reimbursed for all reasonable and necessary expenses incurred and submitted for reimbursement on or before December 31, 2008 in accordance with the Company’s expense reimbursement policies.

On the Separation Date, the Executive shall be paid an amount equal to accrued wages, including all accrued unused Paid Time Off, through the Separation Date, less applicable taxes and other authorized withholding. The Company shall promptly reimburse the Executive for all reasonable and properly documented business expenses incurred through the Separation Date that are submitted by him on or before January 19, 2007, in accordance with the Company’s travel and expense policies. Except as required by law, as of the Separation Date, the Executive shall no longer have the right to participate in any Company benefit plans including, without limitation, the Company’s 401(k) Plan.

The Executive has been paid an amount equal to all accrued wages through the Termination Date, including accrued, unused vacation or paid time off, less applicable withholding, and all expenses incurred and submitted for reimbursement for events prior to December 31, 2008.

Xxxxxx all accrued but unpaid base salary and all accrued and unused vacation earned through the Retirement Date, subject to standard payroll deductions and withholdings. Xx. Xxxxxx is entitled to these payments regardless of whether Xx. Xxxxxx executes this Agreement or a Release of Claims (as defined below). In addition, the Company shall reimburse Xx. Xxxxxx for all outstanding expenses incurred prior to the Retirement Date which are consistent with the Company’s policies in effect from time to time with respect to travel, entertainment and other business expenses, subject to the Company’s requirements with respect to reporting and documenting such expenses, including, without limitation, expenses incurred pursuant to Xx. Xxxxxx’x services as a director of any of the Company’s subsidiaries.
