PAYMENTS TO EMPLOYEE UPON CHANGE IN CONTROL. Following a Change in Control and within the Protected Period, if either (i) Employer terminates Employee’s employment without “just cause;” or (ii) Employee terminates his own employment because Employee has not been offered employment at a comparable salary and position, Employee shall be entitled to receive the termination benefits described in Section 4 hereof.

Notwithstanding the foregoing, in the event the Employee is offered a position as described in the preceding sentence, but such position is offered in a different location which is greater than 50 miles away from the Employee’s residence at the time the Change in Control is announced, Employee may also elect to terminate employment and receive the Change in Control benefit.
PAYMENTS TO EMPLOYEE UPON CHANGE IN CONTROL. (a) In the event of the voluntary or involuntary termination of Employee's employment under this Agreement, other than for Cause as defined in Section 2(c) hereof, in connection with a Change in Control of the Bank or the Company (as herein defined), or within twenty-four (24) months after such Change in Control, the provisions of Section 3 shall apply. Upon the occurrence of a Change in Control, the Employee shall have the right to elect to voluntarily terminate her employment at any time during the term of this Agreement following any demotion, loss of title, office or significant authority, material reduction in her annual compensation or benefits, or relocation of her principal place of employment by more than 35 miles from its location immediately prior to the Change in Control.
PAYMENTS TO EMPLOYEE UPON CHANGE IN CONTROL. (a) Upon the occurrence of a Change in Control (as herein defined) of the Bank or the Company followed at any time during the term of this Agreement by the voluntary or involuntary termination of Employee's employment, other than Termination for Cause, as defined in Section 2(c), the provisions of Section 3 shall apply. Upon the occurrence of a Change in Control, Employee shall have the right to elect to voluntarily terminate his employment at any time during the term of this Agreement and receive the severance benefit set forth in Subsection 3(a)(i), (ii) or (iii) as applicable, unless such termination is because of death, normal retirement, Termination for Cause or termination for Disability.

Notwithstanding the foregoing, in the event the Employee is offered a position as described in the preceding sentence, but such position is offered in a different location which is greater than 50 miles away from the Employee’s residence at the time the Change in Control is announced, Employee may also elect to terminate employment and receive the Change in Control benefit.

PAYMENTS TO EMPLOYEE UPON CHANGE IN CONTROL. (a) Upon the occurrence of a "Change in Control" (as defined in subparagraph [b] of this Section) followed at any time during the term of this Agreement by the involuntary termination of Employee's employment, other than for "just cause", as defined in Section 4(a) hereof, the provision of Section 3 shall apply. Upon the occurrence of a Change in Control, Employee shall have the right to voluntarily terminate his employment, but in such event the provisions of Section 3 shall not apply, unless Employee's voluntary termination is for "good reason". Employee may voluntarily terminate his employment for good reason at any time during the remaining term of this Agreement following a Change in Control or within one (1) year of a Change in Control, whichever period is greater (defined herein as the "Protected Period") and invoke the provisions of Section 3 herein if he is demoted, there is a significant change in his title or authority, reduction in his annual compensation, or relocation of his principal place of employment by more than fifty (50) miles from the location where he performed his job functions immediately prior to the Change in Control.
PAYMENTS TO EMPLOYEE UPON CHANGE IN CONTROL. In the event that Employee's employment under this Agreement is terminated by the Company within six (6) months of a Change in Control (as herein after defined), the Company shall continue to pay Employee's Base Salary, as specified in Section 4.1 hereof, until the expiration of the Term of this Agreement. For purposes of this Section 6.3.1, any reduction, without Employee's consent, of his duties, responsibility or Base Salary, or Employee's relocation by more than 30 miles, as compared to his duties, responsibilities, Base Salary or location of employment immediately before a Change of Control, shall, at the election of Employee, be deemed a termination of this Agreement by the Company upon the occurrence of a Change in Control. Employee shall not be required to mitigate the amount of any payments provided for in this Section 6.3 by seeking other employment or otherwise, nor shall the amount of any payments provided for in this Section 6.3 be reduced by any compensation earned by Employee as the result of employment by another employer after the date of Employee's termination by Employer, or otherwise.
