Permits, Licenses and Consents. End User will obtain all required permits, licenses, or consents that End User is required to obtain to enable Sprint to provide (e.g., landlord permissions, tax exemption certificates, software licenses, or local construction licenses) the Products and Services. This provision does not include permits, licenses, or consents related to Sprint’s general qualification to conduct business.
Permits, Licenses and Consents. Set forth on Exhibit 4 hereto is a true and correct list of all permits, licenses, certificate, consents and other authorizations (herein collectively called "Permits") possessed or used by Seller that relate to and are necessary for the operation of its business as presently conducted or to own the property owned by it or lease the property leased by it. Seller is in compliance with all such Permits, and all such Permits are in full force and effect. At the Closing Seller shall transfer and assign to Purchaser all such Permits that are transferable as indicated by an asterisk on said Exhsibit 4.
Permits, Licenses and Consents a. Each of Seller and Buyer shall use all of its respective commercially reasonable efforts to obtain all necessary approvals, consents or waivers and to resolve any impracticalities of transfer necessary to sell, assign, transfer or convey the Acquired Assets, Acquired Center Leases, Assigned Contracts, Licenses and Permits (to the extent transferable) as soon as practicable following the date hereof and prior to the Closing. If a license, permit or contract has not been issued as of the Closing, it will be at the sole expense and responsibility of Buyer to obtain any such license, permit or contract from and after the Closing. Seller will have no further obligation to maintain, apply, respond or take any other action with respect to any Acquired Asset after the Closing Date, except as required by the U.S. Food and Drug Administration (“FDA”) or any other applicable Governmental Authority or as required pursuant to Section 3.b of this Agreement.

(a) All permits, licenses and approvals of all federal, provincial, state or local regulatory agencies, which are required in order to permit each Acquired Corporation and its employees and agents to carry on business as now conducted by each Acquired Corporation, have been obtained by such Acquired Corporation and are current. (b) Except as specified in Schedule 6.28, attached hereto, none of the Acquired Corporations and no Warranting Person is under any obligation, contractual or otherwise, to request or obtain the consent of any person, and no permits, licenses, certifications, authorizations or approvals of, or notifications to, any federal, provincial, municipal or local government or governmental agency, board, commission or authority are required to be obtained by the Acquired Corporations or the Warranting Persons (or will need to be obtained by Buyer): (1) in connection with the execution, delivery or performance of this Agreement or the completion of any of the transactions contemplated herein; (2) to avoid the loss of any permit, license, certification or other authorization; or (3) in order that the authority of the Acquired Corporations to carry on the business of the Agency in the ordinary course and in the same manner as presently conducted remain in good standing and in full force and effect as of and following the closing of the transactions contemplated hereunder. Complete and correct copies of any agreements under which the Acquired Corporations and the Warranting Persons are obligated to request or obtain any such consent have been provided to Buyer and identified on Schedule 6.20. (c) All of Acquired Corporations' licenses are listed in Schedule 6.28 attached hereto and are valid and subsisting. Complete and correct copies of the licenses have been delivered to Buyer. Each Acquired Corporation is in compliance with all terms and conditions of the licenses. There are no proceedings in progress, pending or, to the best of the knowledge of the Warranting Persons, threatened, which could result in the revocation, cancellation or suspension of any of the licenses. 6.29
Permits, Licenses and Consents. All material permits, licenses, certificates, consents and other authorizations (herein collectively called "Permits") that relate to and are necessary for the operation of the business of the Group as presently conducted or to own the property presently owned by the Group or lease the property presently leased by the Group have been obtained by the Group and are included in the DD Information. The Company and each Subsidiary are in compliance with all such Permits, and all such Permits are in full force and effect. 4.18
Permits, Licenses and Consents. To Seller's knowledge, there are no permits, licenses, or consents required by any governmental authority in connection with the use and occupancy of the Property.

Attached hereto as SCHEDULE 5.9 is a list of: (i) all material governmental permits, licenses, registrations, approvals and other authorizations that to the best of the knowledge of INGENEX are required for the operation of the Business as presently operated and that if not obtained would have a material adverse effect on the Business (the "Permits"), and (ii) governmental and non-governmental third-party consents which INGENEX knows are required to consummate fully the transactions contemplated by this Agreement. All such Permits are valid and outstanding, INGENEX has duly complied, in all material respects, with all of the terms and conditions of each Permit held by it, and no Permit has ever been revoked, canceled or suspended or the subject of any investigation or proceeding for the suspension, revocation or cancellation thereof. INGENEX will use its best efforts to determine which filings are required to be made and which consents are required to be obtained prior to the Closing Date in connection with the execution and delivery of this Agreement and the consummation of the transactions contemplated hereby and to timely file such filings and to timely obtain all such consents.
Permits, Licenses and Consents. The Borrower covenants and agrees that in the development, construction and operation of the Detention Facility it will comply, or will ensure that the Developer and Operator comply, with all material laws, lawful ordinances, regulations and rulings of all governmental bodies having jurisdiction, will obtain, or will ensure that the Developer and Operator obtain, all permits and licenses required thereby, will obtain, or will ensure that the Developer and Operator obtain, all necessary consents and approvals and will observe and comply with all applicable covenants, conditions, restrictions, easements and other obligations affecting title to the land upon which the Detention Facility is situated.
Permits, Licenses and Consents. Sellers shall take all steps necessary or appropriate to obtain and maintain all permits, licenses, certificates and other governmental authorizations and approvals required to carry on the operations of the Business as currently conducted.
