Tax Exemption Certificates. Purchases made for State of Texas use are exempt from the State Sales Tax and Federal Excise Tax. The Owner will furnish Tax Exemption Certificates upon request. Contractor represents and warrants that it shall pay all taxes or similar amounts resulting from the Contract, including, but not limited to, any federal, State, or local income, sales or excise taxes of Contractor or its employees. The Owner shall not be liable for any taxes resulting from the Contract.

Tax Exemption Certificates. Ligand agrees to provide to Lilly a copy of Ligand's sales tax exemption certificate, whether it be a resale certificate, blanket exemption, or direct payment exemption under applicable laws, and to notify Lilly promptly of any change which affects Ligand's exemption status and to provide such other information or certifications as Lilly may reasonably request in order to minimize tax liability and to comply with applicable tax or other regulations of each of the jurisdictions included in the Territory in which Ligand sells Products.
Tax Exemption Certificates. To the extent that Seller and Buyer agree that no Indirect Tax is chargeable by Seller or its applicable Affiliate on any Services, Deliverables, goods, services or other supplies, the Parties will provide one another with all necessary exemption certificates as may be provided under applicable Law to evidence the non-charging of Indirect Taxes.

If Buying Party fails to provide and maintain the required certificates, Supplying Party may charge Buying Party and Buying Party shall pay such applicable taxes. The amounts payable by Buying Party under this Agreement do not include any state or local sales or use taxes, or utility taxes, however designated, which may be levied on the goods and services provided by Supplying Party hereunder. With respect to such taxes, if applicable, Buying Party shall furnish Supplying Party with an appropriate exemption certificate or pay to Supplying Party upon, timely presentation -20- 21 of invoices therefore, such amounts thereof as Supplying Party may be by law required to collect of pay. Any and all other taxes, including but not limited to franchise, net or gross income, license, occupation, and real or personal property taxes shall be timely paid by Supplying Party. Buying Party shall pay to Supplying Party any such taxes that Supplying Party may be required to collect or pay.
