Permits, Licenses and Registrations. Attached Exhibit 4.(cc)(1) is a complete and accurate list of all material licenses, permits, registrations, sub registrations, authorizations and approvals required by any Governmental Entities (as defined below) (collectively, “Licenses”) as are necessary to own, lease or operate Company’s Business. All of the Licenses are valid and in full force and effect. Except as disclosed in Exhibit 4.(cc)(2), Company is in material compliance with all obligations under all Licenses, and no event has occurred that allows, or after notice or lapse of time would allow, revocation or termination of any Licenses. The term “Governmental Entities” shall mean any federal, state, local, foreign or supranational court, commission, governmental body, regulatory agency, authority or tribunal. Company and Seller have not received any notice asserting noncompliance with any applicable law, rule or regulation which if enforced would have a material adverse effect on the Business. No Governmental Entities have indicated any intention to initiate any investigation, inquiry or review involving Company, any Plans or any of Company’s rights or properties.

Permits, Licenses and Registrations. During the term of this Agreement, DEALER shall be and remain in compliance with all federal, provincial, municipal and local laws, orders, codes and ordinances applicable to DEALER business. DEALER shall obtain any and all authorizations, permits or licenses and complete and file any registrations or disclosures of any kind whatsoever which are required by any government authority, agency, or unit having jurisdiction in the Territory or any part of the Territory, which are required by reason of this Agreement or any of the actions or transactions which are necessary for the performance of the obligations of either party under this Agreement. At DEALER’S request, LION shall provide DEALER with such information as reasonably may be necessary to permit DEALER to comply with such obligations.

Permits, Licenses and Registrations. Schedule 3.25 contains a list of all government permits, license, registrations and other governmental consents which the Company Entities have obtained in connection with the operation of the Business including all mortgage banking and/or broker licenses and no others are required. Except as set forth in Schedule 3.25 all such permits, licenses, registrations and consents are in full force and effect and in good standing, freely transferable to the Buyer and the continued validity thereof shall not be adversely affected by this Agreement or the consummation of the transactions contemplated hereby. No Company Entity has received any written notice of any claim of suspension or revocation of any such permit, license, registration or other consent, nor do the Seller has knowledge of any event which might give rise to such a claim.

  • Licenses and Registrations It has all governmental, regulatory, self-regulatory, and exchange licenses, registrations, memberships, and approvals required to act as investment adviser to the Fund and it will obtain and maintain any such required licenses, registrations, memberships, and approvals.

Except as set forth in Schedule 3.10(b), (i) no Material Permit of any of the Companies has been revoked, suspended, non-renewed, terminated or impaired in any material respect, (ii) none of the Companies currently is the subject of any pending or, to the Knowledge of Seller, threatened Action seeking the revocation, suspension, non-renewal, termination, modification or impairment, in any material respect, of any Material Permit, and (iii) to the Knowledge of Seller, there is no existing condition of any of the Companies, nor has any of the Companies received any notice from any Governmental Authority of any fact or condition, which, if left uncured, would result in the revocation, limitation, suspension or non-renewal of any Material Permit, except where such revocation, limitation, suspension or non-renewal, individually or in the aggregate, would not reasonably be expected to have a material and adverse effect on any Real Property Asset. Except as set forth in Schedule 3.10(b), none of the Companies are operating under a Governmental Order or voluntary agreement with any regulatory authorities of any jurisdiction in which it now holds a Material Permit which restricts in any material respect its authority to do the business authorized pursuant to such Material Permit or which would prohibit or materially delay the consummation of the transactions contemplated hereby. Subject to obtaining the consents set forth in Schedule 3.04, none of the Material Permits will be subject to revocation, limitation, suspension, non-renewal, withdrawal, termination or modification as a result of the consummation of the transactions contemplated hereby, except where such revocation, limitation, suspension, non-renewal, withdrawal, termination or modification, individually or in the aggregate, would not reasonably be expected to have a material and adverse effect on any Real Property Asset.

  • Other Licenses Nothing contained in this Agreement shall be construed as conferring by implication, estoppel or otherwise upon either Party any license or other right except the licenses and rights expressly granted under this Agreement.
