Phase 1 Report. A Phase I environmental site assessment (the “Phase 1”) of the Real Estate may be ordered by Buyer promptly upon acceptance of this Agreement at Buyer’s expense and (if ordered) shall be conducted in accordance with current All-Appropriate-Inquiry standards.

Phase 1 Report. Upon completion of Phase 1, DayStar shall submit a Phase 1 Report to NYSERDA’s Project Manager. DayStar shall include a discussion of the progress of the Facility development and identify any changes from the planned design. DayStar shall also provide a forecast of the economic impact of the project for the remaining phases and use the format shown in Table 1, Metrics Reporting Schedule, to report to update actual economic impact values until project completion. Phase 1 Report. Buyer shall have until the end of business on August 30, 2011 to object to any material items disclosed in the Phase 1 Environmental Report for the Real Property (the “Material Environmental Matters”) and to notify Seller in writing of any such Material Environmental Matters. If Buyer provides Seller with such notice of Material Environmental Matters, then Seller and Buyer will reasonably cooperate in good faith to resolve such Material Environmental Matters. If Buyer and Seller are unable to agree on the resolution of such Material Environmental Matters, which agreement shall not be unreasonably withheld or delayed, on or before the Closing Date, then (i) Buyer shall have the obligation to close the transaction contemplated by this Agreement despite the Material Environmental Matters, (ii) Buyer shall have the right to correct such Material Environmental Matters within 12 months following the Effective Time, provided such corrections must be approved by Seller, which approval shall not be unreasonably withheld or delayed, and (iii) Seller shall be obligated to indemnify Buyer for up to $5,000,000 of the reasonable costs and expenses incurred by Seller to correct such Material Environmental Matters. Buyer shall have no rights under this Section 11.12(c) if (i) Buyer fails to deliver to Seller written notice of the Material Environmental Matters by the end of business on August 30, 2011 or (ii) Buyer elects to correct the Material Environmental Matters and fails to correct the Material Environmental Matters within 12 months following the Effective Time.
Phase 1 Report. Based upon the information developed in its Phase 1 services (including the City’s cooperation and collaboration with the Developer), the Developer will deliver to the City its Phase 1 Report, setting forth its findings, internal logic, and preliminary recommendations for the implementation of the Master Plan, including a discussion of the weighted planning factors driving development decisions derived from the Developer’s Preliminary Pro Forma and Economic Feasibility Analysis when taking into consideration Project Phasing, suggested PUD Amendments, public financing, Capital Improvement Projects, Community Benefits (including mixed income and workforce Housing), and sustainable Design.

  • Progress Report By March 1 of each year, ***** will submit a written annual report to Stanford covering the preceding calendar year. The report will include information sufficient to enable Stanford to satisfy reporting requirements of the U.S. Government and for Stanford to ascertain progress by ***** toward meeting this Agreement’s diligence requirements. Each report will describe, where relevant: *****’s progress toward commercialization of Licensed Product, including work completed, key scientific discoveries, summary of work-in-progress, current schedule of anticipated events or milestones, market plans for introduction of Licensed Product, and significant corporate transactions involving Licensed Product. ***** will specifically describe how each Licensed Product is related to each Licensed Patent.

  • Final Project Report Prepare a Final Project Report that addresses, to the extent feasible, comments made by the Grant Manager on the Draft Final Project Report. Submit one (1) reproducible master and an electronic copy of the final. Upload an electronic copy of the final report in pdf format to the FAAST system.

  • Progress Reports The Recipient shall submit to the OPWC, at the OPWC's request, summary reports detailing the progress of the Project pursuant to this Agreement and any additional reports containing such information as the OPWC may reasonably require.

  • Project Completion Report At the completion of construction and once a Project is placed in service, the Subrecipient must submit a Project Completion Report that includes the total number of units built and leased, affordable units built and leased, DR-MHP units built and leased, an accomplishment narrative, and the tenants names, demographics and income for each DR-MHP unit.

  • Initial Report An initial performance report no later than 30 days after FEMA has approved the first Public Assistance project.

  • Final Report The goal of this subtask is to prepare a comprehensive Final Report that describes the original purpose, approach, results, and conclusions of the work performed under this Agreement. The CAM will review the Final Report, which will be due at least two months before the Agreement end date. When creating the Final Report Outline and the Final Report, the Recipient must use the Style Manual provided by the CAM.

  • Evaluation Report The state must provide a narrative summary of the evaluation design, status (including evaluation activities and findings to date), and plans for evaluation activities during the extension period. The narrative is to include, but not be limited to, describing the hypotheses being tested and any results available.

  • Project Reports The Recipient shall monitor and evaluate the progress of the Project and prepare Project Reports in accordance with the provisions of Section 4.08 of the General Conditions and on the basis of the indicators agreed with the Association. Each Project Report shall cover the period of one calendar semester, and shall be furnished to the Association not later than one month after the end of the period covered by such report.

  • Monthly Progress Reports During the Construction Period, the Concessionaire shall, no later than 7 (seven) days after the close of each month, furnish to the Authority and the Independent Engineer a monthly report on progress of the Construction Works and shall promptly give such other relevant information as may be required by the Independent Engineer.

  • Compliance Statement Within thirty (30) days after the last day of each month and together with the statements set forth in Section 5.3(c), a duly completed Compliance Statement, confirming that as of the end of such month, Borrower was in full compliance with all of the terms and conditions of this Agreement, and setting forth calculations showing compliance with the financial covenants set forth in this Agreement and such other information as Bank may reasonably request;
