Planned Supply Planning Services. Subject to Condition 3.4 above, GSS shall charge a fee of 1.5 per cent of the total value in US dollars (or part thereof) of the Ex Plan Availability purchased by the relevant Accredited Buyer at each Sight Location during the relevant Selling Period (or such other period as is notified by GSS from time to time in accordance with the 2015-2018 Supply Documentation). • Worked example (for illustrative purposes only): Wundergem 2 Limited (an Accredited Buyer) has elected to receive Planned Supply Planning Services and purchases in total US$4,500,000 of Ex Plan Availability in a Selling Period from two Sights, Gaborone and Xxxxxxxxx respectively. The total purchase comprises US$3,000,000 for the Gaborone Sight and US$1,500,000 for the Xxxxxxxxx Sight. The applicable Supply Planning Fee calculation is as follows: (i) Gaborone Sight: US$3,000,000 – Wundergem 2 Limited will be invoiced for its Gaborone Sight Planned Supply Planning Services with a Supply Planning Fee charge of US$45,000 (1.5 per cent of US$3,000,000=US$45,000) (ii) Xxxxxxxxx Sight: US$1,500,000 – Wundergem 2 Limited will be invoiced for its Xxxxxxxxx Sight Planned Supply Planning Services with a Supply Planning Fee charge of US$22,500 (1.5 per cent of US$1,500,000=US$22,500) plus VAT if applicable Total Supply Planning Fee invoiced: US$67,500 (US$45,000 + US$22,500) plus VAT, if applicable.   • Dining Services The Contract is for a space in a University Housing & Dining Services (“UHDS”) facility and not for a particular room or type of housing. By signing this Contract, you agree to accept your residence assignment, and understand this assignment may change. Once you receive a key to your assigned residence or move personal belongings into your room (whichever comes first) you are considered to have taken occupancy (“Occupancy”) and will incur charges. You also agree to familiarize yourself and comply with all University policies governing occupancy, including those set forth in this Contract and in the UHDS publication Student Policy and Information Guide, to be considerate of other residents and to respect the rights of others at all times. The Student Policy and Information Guide may be found at: xxxx://xxxx.xxxx/policy-guide, as well as in paper form when requested at the University Housing & Dining Services Administrative Offices.

  • Manufacturing Services Patheon will perform the Manufacturing Services for Products to be distributed and sold by Client in the Territory for the fees specified in Schedules B and C to the relevant Product Agreement. Schedule B to each Product Agreement sets forth a list of cost items that are included in the Price for Products; all cost items that are not included in this list are excluded from the Price and are subject to additional fees to be paid by Client. Patheon may amend the fees set out in Schedules B and C to a Product Agreement as set forth in Article 4. Patheon will perform the Manufacturing Services solely at the Manufacturing Site, unless otherwise agreed in writing by Client. If the parties agree that Patheon will supply, and Client will purchase, at least a specified minimum percentage of Client’s requirements for a Product under a Product Agreement (the “Required Percentage”), then the applicable Product Agreement will set forth the Required Percentage and the time period during which the obligation will apply (the “Required Period”). But this obligation (if any) will cease to apply to Client with respect to the Product if Patheon fails to remain in material compliance with its obligations under this Agreement or the applicable Product Agreement, or Patheon suspends performance under this Agreement or the applicable Product Agreement in connection with a Force Majeure Event or where Patheon is or will be prevented from supplying the Product as a result of the action of a Regulatory Authority. Subject to its obligation (if any) to purchase the Required Percentage of a Product during the Required Period, Client may, at any time, obtain Product from a third party or may, at any time, qualify a third party to perform Manufacturing Services for the Product. In performing the Manufacturing Services, Patheon and Client agree that:

  • Financial Planning Services The Executive shall receive financial planning services, on an in-kind basis, for a period of eighteen (18) months following the Date of Termination. Such financial planning services shall include expert financial and legal resources to assist the Executive with financial planning needs and shall be limited to (i) current investment portfolio management, (ii) tax planning, (iii) tax return preparation, and (iv) estate planning advice and document preparation (including xxxxx and trusts); provided, however, that the Company shall provide such financial planning services during any taxable year of the Executive only to the extent the cost to the Company for such taxable year does not exceed $25,000. The Company shall provide such financial planning services through a financial planner selected by the Company, and shall pay the fees for such financial planning services. The financial planning services provided during any taxable year of the Executive shall not affect the financial planning services provided in any other taxable year of the Executive. The Executive’s right to financial planning services shall not be subject to liquidation or exchange for any other benefit. Such financial planning services shall be provided in a manner that complies with Treasury Regulation Section 1.409A-3(i)(1)(iv).

  • Technical Support Services 2.1 The technical support services (the "Services"): Party A agrees to provide to Party B the relevant services requested by Party B, which are specified in Exhibit 1 attached hereto ("Exhibit 1").

  • Support Services Rehabilitation, counselling and EAP’s. Support is strictly non- punitive, and can be accessed at anytime (self-identification of the need for help is strongly encouraged).

  • Laboratory Services Covered Services include prescribed diagnostic clinical and anatomic pathological laboratory services and materials when authorized by a Member's PCP and HPN’s Managed Care Program.

  • Hosting Services NCR Voyix shall furnish facilities, equipment, computer programs and services, as specified from time to time by NCR Voyix, that NCR Voyix deems necessary for operation and maintenance of the System (collectively, the “Hosting Services”).

  • TRANSPORT SERVICES Upon the conclusion of such multilateral negotiations, the Parties shall conduct a review for the purpose of discussing appropriate amendments to this Agreement so as to incorporate the results of such multilateral negotiations.
