Port Operation. 5.8.1 The proposed scheme crosses a navigable waterway and operational port. The location of the crossing has operational berths both east and west of the bridge on the north bank, but the south bank is not utilised for port operations. The impact of the crossing on the ability of vessels to safely navigate through the waterway and to the adjacent operational berth is being assessed utilising a real-time, pilot operated, navigation simulation. 5.8.2 Mouchel commissioned Lowestoft College to use their Kongsberg Vessel Simulator to create the real-time navigation simulation. The Kongsberg Polaris Full Mission Bridge Simulation Suite consists of a realistic mock-up of a ship's bridge with all of the conventional controls and instruments you would expect to find on a modern bridge. These include manoeuvring and throttle controls, navigation instruments including GPS, XXXXX and NAVTEX, an ARPA radar and ECDIS plotter. In addition, visuals are provided by realistic 150° visual of the outside world. Two secondary bridges provide entry-level controls with GPS, ECDIS ARPA and Plotter. Each of the three bridges can be designated as a specific vessel including offshore supply vessel, container vessel, ferry, fast patrol craft, bulk carriers etc. Movement, controls and instruments will then balance and respond precisely as the real ship. All aspects of the vessel can be controlled from the instructor station. Weather, tide, visibility and sea state can be changed and varied. Facets can be introduced, including failure of the engines, steering, thrusters etc. Also included in the system is assessment software that will enable detailed evaluation of all aspects of the use of the system. 5.8.3 A base model of the Port of Lowestoft in its current form was created by Kongsberg from mapping data supplied by ABP. This model covered an area bounded by lower left 52°26'33.16"N 01°41'56.35"E to upper right 52°30'28.19"N 01°48'40.97"E, encompassing the seaward approach, outer harbour, inner harbour and part of the Lake Lothing bend approaching the Mutford Locks. The model was created using the most recent bathymetric and topographic survey information supplied by the Harbour Authority to ensure accuracy. The third crossing bridge has been modelled as an elevated (12m clear height over water) twin leaf bascule bridge with fixed spans over the remaining waterway and operational quay areas of the port. Port Operation. 6.21.1 Initial trial runs on the existing model with a bulk cargo ship model indicated that, in general, the simulator performed well, replicating the handling and responses the pilots would expect from this class of vessel. It was noted that some of the visual references that the pilots use during the transit were slightly misaligned which had the effect of putting the vessels slightly offline during manoeuvres, however once identified the pilots were able to compensate for these discrepancies and navigate the model successfully. 6.21.2 Following confirmation of accuracy on the existing model the Third Crossing model was run in the simulator, initially using the same bulk cargo ship model, to allow direct comparison of the manoeuvre with the bridge and without. Both pilots successfully completed transits up and down stream of the bridge along with a turning manoeuvre upstream of the new bridge and a berthing on the quay to the northeast of the bridge. 6.21.3 Having received feedback from the first simulations, the model is in the process of being revised to include design changes made to address the Pilots comments and once complete a second series of simulations will be undertaken by the Pilots to confirm that the revisions alleviate the identified issues related to the proposed bridge. 6.21.4 The movement of vessels within the confines of the Lake are under the direction of the Harbour Authority for Port of Lowestoft. This function is performed by the appointed Harbour Master who has control over navigation for the safety of vessels therefore the timings for operation of the new bridge, as for the two existing bridges, will be under their control. This control mechanism, combined with the level of vessel movements anticipated at the bridge location, should result in the new bridge having a very limited impact on either the operation of the Port of Lowestoft or general navigation through Lake Lothing. 6.21.5 Within the full TA, the potential frequency of operation of the bridge will be assessed with active vessel surveys and reference to past movement information, where available. Potential future developments will also be considered and a projection for bridge operations established. The size of vessels operating within the port will also been considered and will be taken into account when assessment of the various design options has been made.

  • Operation of the Business Except as set forth on Section 10.1 of the Sentech Disclosure Schedule, as contemplated by this Agreement or as expressly agreed to in writing by Sensec and Ensec, during the period from the date of this Agreement to the Effective Time, Sentech and its Subsidiaries will conduct their operations only in the ordinary course of business consistent with sound financial, operational and regulatory practice, and will take no action which would materially adversely affect their ability to consummate the Transactions. Without limiting the generality of the foregoing, except as otherwise expressly provided in this Agreement or except as disclosed in the Sentech Disclosure Schedule, prior to the Effective Time, neither Sentech nor any of its Subsidiaries will, without the prior written consent of Sensec and Ensec: (a) amend its Charter Documents or bylaws (or similar organizational documents); (b) authorize for issuance, issue, sell, deliver, grant any options for, or otherwise agree or commit to issue, sell or deliver any shares of its capital stock or any other securities, other than pursuant to and in accordance with the terms of any Existing Options or Sentech Warrants listed on the Sentech Disclosure Schedule; (c) recapitalize, split, combine or reclassify any shares of its capital stock; declare, set aside or pay any dividend or other distribution (whether in cash, stock or property or any combination thereof) in respect of its capital stock; or purchase, redeem or otherwise acquire any of its or its Subsidiaries' securities or modify any of the terms of any such securities; (d) (i) create, incur, assume or permit to exist any long-term debt or any short-term debt for borrowed money other than under existing notes payable, lines of credit or other credit facilities or in the ordinary course of business, or with respect to its Wholly-Owned Subsidiaries in the ordinary course of business; (ii) assume, guarantee, endorse or otherwise become liable or responsible (whether directly, contingently or otherwise) for the obligations of any other Person except its Wholly-Owned Subsidiaries in the ordinary course of business or as otherwise may be contractually required and disclosed in the Sentech Disclosure Schedule; or (iii) make any loans, advances or capital contributions to, or investments in, any other Person except its Wholly-Owned Subsidiaries; (i) amend any Sentech Benefit Plan or (ii) except in the ordinary course of business consistent with usual practice or established policy (a) increase in any manner the rate of compensation of any of its directors, officers or other employees everywhere, except for increases in the ordinary course of business; (b) pay or agree to pay any bonus, pension, retirement allowance, severance or other employee benefit except as required under currently existing Sentech Benefit Plans disclosed in the Sentech Disclosure Schedule or in the ordinary course of business; or (c) amend, terminate or enter into any employment, consulting, severance, change in control or similar agreements or arrangements with any of its directors, officers or other employees; (f) enter into any material agreement, commitment or contract, except agreements, commitments or contracts for the purchase, sale or lease of goods or services in the ordinary course of business; (g) other than in the ordinary course of business, authorize, recommend, propose or announce an intention to authorize, recommend or propose, or enter into any Contract with respect to, any (i) plan of liquidation or dissolution, (ii) acquisition of a material amount of assets or securities, (iii) disposition or Encumbrance of a material amount of assets or securities, (iv) merger or consolidation or (v) material change in its capitalization; (h) change any material accounting or Tax procedure or practice; (i) take any action the taking of which, or knowingly omit to take any action the omission of which, would cause any of the representations and warranties herein to fail to be true and correct in all material respects as of the date of such action or omission as though made at and as of the date of such action or omission; (j) compromise, settle or otherwise modify any material claim or litigation not identified in the Sentech Disclosure Schedule; or (k) commit or agree to do any of the foregoing.

  • TRANSPORT SERVICES Upon the conclusion of such multilateral negotiations, the Parties shall conduct a review for the purpose of discussing appropriate amendments to this Agreement so as to incorporate the results of such multilateral negotiations.

  • Payment for Project Services As full consideration for the Services to be performed by Contractor, City agrees to pay Contractor as set forth in accordance with the bid and not to exceed fee of $215,500.00 for the project. A monthly progress payment in the amount of ninety-five percent (95%) of the value of the work completed may be made every thirty (30) days upon application by the Contractor and certification by the Project Manager that such work has been completed. Partial payments will be made once each month as the work satisfactorily progresses and after acceptance by the authorized City representative. The progress estimates shall be based upon materials in place, or on the job site and invoiced, and labor expended thereon. From the total of the amount ascertained will be deducted an amount equivalent to five percent (5%) of the whole, which five percent (5%) will be retained by the City until after completion of the entire Contract in an acceptable manner. Any time after fifty percent (50%) of the value of the work has been completed, the City will make any of the remaining partial payments in full. No such estimates or payments shall be required to be made, when, in the judgment of the City Project Manager, the work is not proceeding in accordance with the provision of the Contract, or when in his judgment the total value of the work done since last estimate amounts to less than Five Hundred Dollars ($500.00). The cost of materials conforming to the plans and specifications (materials being those which are required to be contained and incorporated in a finished contract bid item) delivered to the project and not at the time incorporated in the work, may also be included in the estimate for payment. No such estimate or payment shall be construed to be an acceptance of any defective work or improper material. The Contractor shall be responsible for, and shall not remove from the project any material that has been included in the estimate for payment. Final payment shall be made upon the Project Manager certifying that the Contractor has satisfactorily completed the work in conformity with the Contract Documents.

  • Operational Contacts Each Interconnection Party shall designate, and provide to each other Interconnection Party contact information concerning, a representative to be responsible for addressing and resolving operational issues as they arise during the term of the Interconnection Service Agreement.
