POSTPONEMENT/RESCHEDULING. In the event that the scheduled Seminar is postponed at Client’s request, Client will be responsible for all associated non-refundable expenses incurred to the date of postponement, including without limitation, change fees for unrecoverable instructor's airline tickets and hotel reservations, plus Instructor’s Fees according to the following schedule: Time of Notification % of Instructor Led Fees More than 30 days 0% 30 to 16 days 50% 15 to 1 days 100% Client will have until the end of the Contract Term for rescheduled Seminars to be delivered. Dates for rescheduled Seminars must be mutually agreed at least 90 days prior to the end of the Contract Term. In the event that Client does not reschedule the Seminar by the end of the Contract Term, Client will be responsible for all Instructor Led Fees set forth on this Agreement.

POSTPONEMENT/RESCHEDULING a. Buyer is solely responsible for any decisions regarding postponement or cancellation of the fireworks display. If Xxxxx believes it is unable to appropriately store the display fireworks due to a postponement, Buyer should notify Seller at the soonest opportunity to determine if alternative storage can be arranged. Seller is under no obligation to provide storage to Buyer in the event of a postponement or cancellation, but agrees to work with Buyer to help ensure appropriate storage.
POSTPONEMENT/RESCHEDULING. NAMIC reserves the right at any time to postpone or reschedule the Event and transfer the Company’s participation to the new Event date(s). The Company must notify NAMIC in writing whether it will or will not participate in the rescheduled Event no less than five calendar days from the date of NAMICs provision of notification of postponement or rescheduling of the Event. Failure to provide such notification will be construed to be Company’s consent to participate on the new Event date(s). If for any reason the Company notifies NAMIC that it will not participate on the newly scheduled date(s), NAMIC shall determine and refund to the Company its proportionate share of the balance of the aggregate exhibit fees received which remain after deducting expenses incurred by NAMIC and reasonable compensation to NAMIC, and a processing fee of $500.

  • Postponement The Company shall be entitled once in any twelve-month period to postpone for a reasonable period of time (but not exceeding 90 days) (the "Postponement Period") the filing of any registration statement required to be prepared and filed by it pursuant to this Section 3.1 if the Company determines, in its reasonable judgment, as authorized by a resolution of its Board of Directors, that such registration and offering would materially interfere with any material financing, corporate reorganization or other material transaction involving the Company or any subsidiary, or would require premature disclosure thereof, and promptly gives the Participating Holders written notice of such determination, containing a general statement of the reasons for such postponement and an approximation of the anticipated delay. If the Company shall so postpone the filing of a registration statement, the Majority Participating Holders shall have the right to withdraw the request for registration by giving written notice to the Company at any time during such Postponement Period and, in the event of such withdrawal, such request shall not be counted for purposes of the requests for registration to which the Holders are entitled pursuant to this Section 3.1.

  • Rescheduling of Tests If the Authority’s Engineer certifies to the Authority and the Contractor that it is unable to issue the Completion Certificate, as the case may be, because of events or circumstances on account of which the Tests could not be held or had to be suspended, the Contractor shall be entitled to re-schedule the Tests and hold the same as soon as reasonably practicable.

  • Project Kick-off Meeting The Contractor shall hold a project kick-off meeting within thirty days from the contract execution date. The Contractor shall coordinate with NYSERDA's Project Manager to arrange the meeting at a mutually convenient time and place. The Contractor is encouraged to invite representatives of sub-contractors and equipment vendors. The purpose of this meeting shall be to finalize the strategies for accomplishing the objectives of this work. In a timely manner, the Contractor shall submit to NYSERDA’s Project Manager a brief report summarizing the issues discussed and decisions made, if any, during this meeting. Deliverable: A brief report regarding the project kickoff meeting.

  • Prior Review (a) With respect to each contract for the employment of consulting firms estimated to cost the equivalent of $100,000 or more, the procedures set forth in paragraphs 2, 3 and 5 of Appendix 1 to the Consultant Guidelines shall apply.
