PPM. The PPM, as of the date thereof, did not contain an untrue statement of material fact or omit to state a material fact required to be stated therein or necessary in order to make the statements therein, in light of the circumstances under which they were made, not misleading.
PPM. The Purchaser has received a copy of the PPM, has had an opportunity to review and evaluate the disclosure in the PPM, and does not have any questions or requests for additional information.
PPM. The Company will cooperate with the Union in its efforts to secure outside funding for the purpose of establishing and/or maintaining additional medical surveillance programs.
PPM. Xechem acknowledges it has received a copy of the Confidential Private Placement Memorandum of Ceptor dated October 22, 2004 (the "PPM") and that the Board of Directors of Xechem have approved the PPM and the "Offering" and other transactions described therein and has or will adopt any resolutions as stockholder of Ceptor to authorize the taking of all actions by Ceptor necessary or appropriate to effectuate the transactions described therein and consummate the "Merger" of Ceptor with and into a subsidiary of Company (as such terms are defined in the PPM) and subsequent merger of Ceptor into Company for the purpose of effectuating a change of domicile of Company from Florida to Delaware. Xechem agrees that it shall take all further actions reasonably requested by Ceptor in order to effectuate the intent and purposes of the Agreements and the transactions described in the PPM.
PPM. Parent shall, as soon as practicable, prepare a draft PPM and shall deliver the draft to Third Security, LLC for its review and comment on behalf of the GPSI Stockholders. Parent, GPSI and Third Security, LLC, acting on behalf of the GPSI Stockholders, shall cooperate and provide each other with such information as each party may reasonably request in connection with the preparation of the PPM. Prior to the dissemination of the PPM to the GPSI Stockholders, the PPM shall be in a form approved by Third Security, LLC and its counsel, which approval may not be unreasonably withheld or delayed. Parent shall deliver the PPM to the GPSI Stockholders at or before the time that it delivers the Parent Proxy Statement to its stockholders. Each of the parties agrees that the information provided by it for inclusion in the PPM, at the time of its dissemination to the GPSI Stockholders and at the time of the Parent Special Meeting, (i) will not include an untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary to make the statements therein, in light of the circumstances under which they were made, not misleading, and (ii) will comply as to form in all material respects with the provisions of the Exchange Act and the rules and regulations (including, without limitation, Regulation D) promulgated thereunder. Each of the parties agrees to promptly supplement, update and correct any information provided by it for use in the PPM if and to the extent that it is or shall have become incomplete, false or misleading. Parent shall have no obligation to supplement, update or correct the PPM after the expiration of the time period during which the GPSI Stockholders are entitled to exercise appraisal rights under the DGCL. Third Security, LLC has agreed to coordinate on behalf of the GPSI Stockholders in connection with the PPM and the Shelf Registration Statement. Shelf Registration Statement. As soon as practicable following the Merger Closing Date, Parent shall prepare and file with the SEC a Shelf Registration Statement relating to, among other things, the offer and sale of the Registrable Securities by the GPSI Stockholders and shall use its best efforts to cause the SEC to declare such Registration Statement effective under the Securities Act as promptly as practicable after the Merger Closing Date. PPM. Since a concentration is listed for this project type, approach speed and configuration, the project would be covered by this PA and not require project-specific modeling. Conversely, the table entry is blank for a 14 lane freeway with an intersection at 150 feet that has an approach speed of not less than 15 mph. Thus, that configuration would not be covered by this PA. Projects of De Minimis Scope: Projects that do not change (add, remove or relocate) roadway capacity or transit services do not require either qualitative or quantitative project-level air quality analyses for purposes of NEPA.
PPM. A PPM (Pre Production Meeting) where both Parties attend shall be held upon request of either Party. The Production Company shall keep minutes at such meeting, and such minutes shall be sent to the Advertiser as soon as possible. At the PPM the Parties shall inter alia discuss to what extent the commercial film affects any third party rights and is consistent with certain laws, ethical rules or business practice. If the Parties lack the competence to make a legal assessment of the content the Parties shall, upon the Advertiser’s request, obtain legal advice. Any costs for such advice shall be borne by the Advertiser. Should such advice be provided by/through the Production Company the Advertiser shall pre-approve such cost.
PPM. PPM’s (Pre-‐Production Meetings) shall be held upon the request of either party to this agreement and shall be attended by all parties. The Agency shall keep minutes for any such meetings, a copy of which shall be delivered to the Production Company without delay.
PPM. Because people differ in their sensitivity to toxic effects, it is difficult to precisely define a concentration of formaldehyde that would be harmless to all people under all circumstances. Levels in the outside air may be considered as the safest and lowest levels that can practicably be achieved in the home. There are no safe levels for carcinogenic effects. The Office of Environmental Health Hazard Assessment has established an acute (94 ug/m3) and chronic (3 ug/m3) level to address the levels at which one might experience adverse non-cancer health effects. Immediate measures include opening windows to increase ventilation and reducing the number of new composite wood products in a home. Where possible, replace composite wood products with products made from solid wood or non-wood materials. Formaldehyde emissions increase with increasing humidity and temperature. Therefore, reducing the temperature and humidity in the home will reduce formaldehyde levels. Where the source of formaldehyde is wood paneling or sub-flooring, these measures may not be adequate. In this case, removal of paneling and sub-flooring may be necessary. Local trade organizations and builder's associations may be helpful in finding a contractor to do this work.
