Process to change pricing methodology. If the Distributor proposes to change its pricing methodology, the following process shall be followed: (a) Advise the proposal: The Distributor will notify the Retailer of its proposed changes and rationale for the same. The Retailer may provide written submissions to the Distributor within 20 Working Days of such notification; (b) Notify submissions and responses: Prior to Publication of the pricing methodology under clause 9.2(d), the Distributor will provide the Retailer with a summary of any submissions received and its response to them; (c) Consider certain matters: The Distributor will while developing any new pricing methodology consider in good faith any submissions or other information received as part of the process set out in this clause: (d) Publish changes to pricing methodology and prices: The Distributor will Publish its final pricing methodology and consequent changes to its Pricing Schedule and the reasons for the changes.

Process to change pricing methodology. The EA’s drafting note for Clause 7.4 states that the clause “has been amended to include a requirement that the Distributor consult with the Trader if the Distributor intends to change its Pricing Methodology. That requirement was previously included in clause 12A.7 of the Code, but is now appropriately included in each distributor’s DDA”. Notwithstanding the uncertainty about the definition of pricing methodology discussed in section 3.1 above, the requirements for such a consultation process may sit better in the Code. Changes to the Pricing Methodology would be of interest to all traders and a wider group of stakeholders including customers and alternative energy providers. Therefore it may be more appropriate for the consultation procedures to be in the Code rather than the DDA which is an agreement between a distributor and trader(s).
Process to change pricing methodology. If the Distributor intends to make a change to its Pricing Methodology that will materially affect one or more System Users (including the Retailer) or Consumers then without limiting Clause 12.2 and unless the Parties agree otherwise, the Distributor will: (a) Consult with the Retailer: Changes to pricing structures and/or methodology will be subject to meaningful consultation and transparency such that the intention and impact of the proposed changes are easily understood, and responses to the Retailer’s written comments, including decisions on final structure are transparent and clear prior to notification of final Pricing Methodology. (b) Publish final Pricing Methodology: Publish the final Pricing Methodology and the reasons for its decision, no later than the notice period specified in Clause 12.4(a).

  • Methodology 1. The price at which the Assuming Institution sells or disposes of Qualified Financial Contracts will be deemed to be the fair market value of such contracts, if such sale or disposition occurs at prevailing market rates within a predefined timetable as agreed upon by the Assuming Institution and the Receiver. 2. In valuing all other Qualified Financial Contracts, the following principles will apply:

  • Payment Methodology The Contractor shall be compensated based on the Service Rates in Attachment for units of service authorized by the Institution in a total amount not to exceed the Contract Maximum Liability established in Section C. 1.   • Underwriting Methodology The methodology used in underwriting the extension of credit for each Mortgage Loan employs objective mathematical principles which relate the related Mortgagor's income, assets and liabilities to the proposed payment and such underwriting methodology does not rely on the extent of the related Mortgagor's equity in the collateral as the principal determining factor in approving such credit extension. Such underwriting methodology confirmed that at the time of origination (application/approval) the related Mortgagor had a reasonable ability to make timely payments on the Mortgage Loan;

  • Rounding of Calculations; Minimum Adjustments All calculations under this Section 13 shall be made to the nearest one-tenth (1/10th) of a cent or to the nearest one- hundredth (1/100th) of a share, as the case may be. If an “EPP test” result is undefined/unanswered, the EPP service will be considered as unavailable from that probe until it is time to make a new test.

  • Measuring DNS parameters Every minute, every DNS probe will make an UDP or TCP “DNS test” to each of the public-­‐DNS registered “IP addresses” of the name servers of the domain name being monitored. If a “DNS test” result is undefined/unanswered, the tested IP will be considered unavailable from that probe until it is time to make a new test.

  • Performance Adjustment Rate Except as otherwise provided in sub-paragraph (e) of this paragraph 3, the Performance Adjustment Rate is 0.02% for each percentage point (the performance of the Portfolio and the Index each being calculated to the nearest .01%) that the Portfolio's investment performance for the performance period was better or worse than the record of the Index as then constituted. The maximum performance adjustment rate is 0.20%. For purposes of calculating the performance adjustment of the portfolio, the portfolio's investment performance will be based on the performance of the retail class. The performance period will commence with the first day of the first full month following the retail class's commencement of operations. During the first eleven months of the performance period for the retail class, there will be no performance adjustment. Starting with the twelfth month of the performance period, the performance adjustment will take effect. Following the twelfth month a new month will be added to the performance period until the performance period equals 36 months. Thereafter the performance period will consist of the current month plus the previous 35 months. The Portfolio's investment performance will be measured by comparing (i) the opening net asset value of one share of the retail class of the Portfolio on the first business day of the performance period with (ii) the closing net asset value of one share of the retail class of the Portfolio as of the last business day of such period. In computing the investment performance of the retail class of the Portfolio and the investment record of the Index, distributions of realized capital gains, the value of capital gains taxes per share paid or payable on undistributed realized long-term capital gains accumulated to the end of such period and dividends paid out of investment income on the part of the Portfolio, and all cash distributions of the securities included in the Index, will be treated as reinvested in accordance with Rule 205-1 or any other applicable rules under the Investment Advisers Act of 1940, as the same from time to time may be amended.

  • Financial Covenant Calculations The parties hereto acknowledge and agree that, for purposes of all calculations made in determining compliance for any applicable period with the financial covenants set forth in Section 6.7 and for purposes of determining the Applicable Margin, (i) after consummation of any Permitted Acquisition, (A) income statement items and other balance sheet items (whether positive or negative) attributable to the target acquired in such transaction shall be included in such calculations to the extent relating to such applicable period (including by adding any cost saving synergies associated with such Permitted Acquisition in a manner reasonably satisfactory to the Agent), subject to adjustments mutually acceptable to Borrowers and the Agent and (B) Indebtedness of a target which is retired in connection with a Permitted Acquisition shall be excluded from such calculations and deemed to have been retired as of the first day of such applicable period and (ii) after any Disposition permitted by Section 6.8), (A) income statement items, cash flow statement items and balance sheet items (whether positive or negative) attributable to the property or assets disposed of shall be excluded in such calculations to the extent relating to such applicable period, subject to adjustments mutually acceptable to Borrowers and the Agent and (B) Indebtedness that is repaid with the proceeds of such Disposition shall be excluded from such calculations and deemed to have been repaid as of the first day of such applicable period.
