Changes to Pricing charges, and fees
Changes to Pricing. Assure Disability may changes prices for the Services at any time, in its sole discretion. For changes to your Charges, Assure Disability will provide you with not less than (i) thirty (30) calendar days prior notice, or (ii) the time period prescribed by applicable law (each, (i) and (ii), a “Rate Change Notice”). Unless prohibited by the terms of your Order Form, any changes to your Charges will be effective upon the commencement of your next Renewal Term or other date calculated in accordance with applicable Law. If you seek to terminate or modify the Services affected by the Rate Change Notice, then you must terminate or modify your affected Services within the applicable Rate Change Notice time period. If you do not terminate or modify the affected Services within the applicable Rate Change Notice time period, then you shall be deemed to have automatically accepted the change to your Charges, unless your affirmative, express consent to such change is required under applicable Law. If required by applicable Law, we will remind you of your termination and modification right, any applicable time-period, and the consequences of not terminating.
Changes to Pricing. (a) Unless a specific period for the validity of Prices has been agreed in writing between the Parties in a Transaction Document, Xxxxx.xx may change Prices, including TeleAssist rates, for Products and Services under this Agreement by providing Customer at least one (1) month prior written notice, e.g., to reflect a price increase in raw materials or in Product components. However, no such change shall be retroactive. Any such change shall be effective on the date specified in the notice. It shall only apply to new orders, on-going transactions of indefinite duration, and transactions with a defined recurring period. For transactions with a defined recurring period, Customer may request in writing that Xxxxx.xx delay the effective date of the change to after the end of the current recurring period.
(b) Unless otherwise agreed, Customer acknowledges its agreement to have all such changes apply for such transactions: (i) by placing new orders for Products or Services after the effective date of the change; (ii) in the absence of a request that the effective date of the change be delayed until the end of the recurring period; (iii) by allowing transactions to recur or proceed after receipt of the change notice; or (iv) in the absence of notice of termination of transactions of indefinite duration prior to the effective date of the change. Except as provided above, in order for a change to be valid, it must be signed by both Parties.
(c) The previous paragraph notwithstanding, if the cost on the international market of any Product component rises so significantly that it would not be commercially viable for Xxxxx.xx to be obliged to continue to allow Customer to buy the affected Products at the previously agreed Prices or discounts, Customer accepts that: (i) upon having appropriately demonstrated such worldwide component cost increase, Xxxxx.xx may raise the Price of (or lower the discounts for) its affected Products proportionally in order to compensate for such cost increase; or (ii) if Customer refuses such price increase or discount reduction, Xxxxx.xx may temporarily refuse to accept Customer’s orders for the affected Products until the overall cost of components has returned to levels in line with those which applied when this Agreement was first signed.
Changes to Pricing. Spirent reserves the right, in its sole discretion, to change its pricing from time to time and shall incur no liability whatsoever by reason of any such change. Spirent will advise the Systems Integrator promptly in writing at least 30 days before any price increase is effective.
Changes to Pricing. THE COMPANY may, from time to time, change the suggested retail price for any of THE COMPANY’s Products. If this occurs, THE COMPANY will notify You of the new suggested retail prices 30 days prior to change
Changes to Pricing. Zoom may change prices for the Services at any time, in its sole discretion. For changes to your Charges, Zoom will provide you with not less than (i) thirty (30) calendar days prior notice, or (ii) the time period prescribed by applicable Law (each, (i) and (ii), a “Rate Change Notice”). Unless prohibited by the terms of your Order Form, any changes to your Charges will be effective upon the commencement of your next Renewal Term or other date calculated in accordance with applicable Law. If you seek to terminate or modify the Services affected by a Rate Change Notice, then you must terminate or modify your affected Services within the applicable Rate Change Notice time period. If you do not terminate or modify the affected Services within the applicable Rate Change Notice time period, then you shall be deemed to have automatically accepted the change to your Charges, unless your affirmative, express consent to such change is required under applicable Law. If required by applicable Law, we will remind you of your termination and modification right, any applicable time-period, and the consequences of not terminating.
Changes to Pricing. 10.1. The charges for the Services that we provide to you are set out in the Pricing Schedule.
10.2. We may change the charges for Services at any time without notice.
10.3. This clause does not apply to changes in the GST rate as set out in clause 3.
Changes to Pricing. 13.1. The charges for the Services that we provide to you are set out in the Pricing Schedule and Sales Order.
13.2. Subject to clause 13.3, if you are on a Fixed Term Contract, your Pricing Schedule will remain fixed for the contracted Services, unless we have otherwise agreed with you in writing.
13.3. If your Fixed Term Contract contains software licencing that we obtain from third parties, you acknowledge and agree that we may pass on any price increases imposed on us by those third parties. We agree to provide you with at least thirty (30) days’ notice before passing on those price increases, and to only increase our pricing in proportion to the price increase that is imposed on us.
13.4. If you are on a Monthly Contract, we may change your Pricing Schedule with at least thirty
13.5. We may, at our sole discretion, offer to provide discounts if payments are made in advance. If you accept such an offer, then the provisions of clause 13.6 and clause 13.7 apply.
13.6. If you are on a Monthly Contract, and it is terminated before all of the advance payments are used, then you may elect one of the following:
a. To apply the remaining advance payments as a credit to your account against future services; or
b. To have the remaining advance payments refunded to you, less an adjustment for all of the discounts received as a result of the payments being made in advance.
13.7. If you are on a Fixed Term Contract, and it is terminated before the end of the term due to your breach, then:
a. You are not entitled to any refund or credit for advance payments; and
b. The advance payments will be applied against any amounts owed by you as a result of your breach of the Fixed Term Contract.
13.8. This clause does not apply to changes in the GST rate as set out in clause 6.5.
Changes to Pricing. Any fee set forth in the Schedule, the Merchant Fees set forth in the Schedule, or the Account Service Fee may be amended by VIP from time to time and VIP will attempt to provide three (3) days written notice of such change from VIP to Merchant, unless such change is due to a pricing change from a Provider or required by a Provider in which event such pricing change shall be effective as of the date of the written notice. All amounts are subject to final audit and checking by VIP and VIP may debit or credit Merchant’s Designated Accounts without prior notice for any error, deficiency or overage as necessary. If VIP makes any such adjustment, VIP shall provide to Merchant within 30 days of such adjustment written notice setting forth the amount of and a brief description of the reason for such adjustment.
Changes to Pricing. Crow Canyon retains the right to increase the Subscription price up to 5% per year, at its sole discretion, unless inflation, as measured by the Consumer Price Index (published by the US Bureau of Labor Statistics, xxx.xxx.xxx) exceeds 5% over the previous year. In that case, Crow Canyon reserves the right to increase the subscription in accordance with the CPI.
