Production and Distribution. 2.1. The Designer shall furnish the necessary design sketches and information to the Licensee, so that the latter is able to produce a prototype. The Designer shall evaluate the prototype and assist the manufacturer in the production of the Design. With respect to such assistance, the parties shall agree on a fee based on the Designer’s normal hourly rates.
2.2. The Licensee shall be responsible for producing, selling and distributing the Design and shall bear all the costs related to this.
2.3. The Licensee shall comply with the agreements which the parties, where appropriate, have made regarding the quality of the products, the manner of sales promotion and the market in which the product shall be distributed.
2.4. The Designer shall not bear any product liability whatsoever. Liability vis-à-vis third parties for any defects in the Design shall be borne by the Licensee.

Production and Distribution. The Manager shall have sole approval over all production matters and distribution matters with respect to the Picture, including, but not limited to, all creative decisions relating to production, the domestic or any foreign distributor, the domestic release pattern and any other decisions relating to distribution or marketing. Specifically, the following provisions shall apply to the distribution and marketing of the picture:
(a) The Manager will submit a preliminary domestic P&A budget to all Members, which budget will show the anticipated print and advertising expenses in connection with the initial theatrical release of the Picture in the domestic territory to be incurred after the initial theatrical release of the Picture. The preliminary P&A budgets may be adjusted by the Manager after meaningful consultation with Xxxxxxx Xxxxxxxx, and the Manager shall prepare a final P&A budget for the domestic territory. Investor shall only have the right to be informed and updated with respect to any changes to the P&A budget and/or any meaningful distribution or marketing related consulting agreements.
(b) Final decisions with respect to worldwide distribution issues, agents and agreements will be a joint decision between the Manager’s Xxxx Xxxxxx and Xxxxxxx Xxxxxxxx. Investor shall only have the right to be informed and updated with respect to any material changes to any worldwide distribution, agents and agreements.
(c) The “Marketing and Advertising” of the Picture will follow the Manager’s Research-Informed Process as outlined in the Manager’s Business Plan. The Manager shall have full authority and control over decisions relating to the marketing, promotion and advertising of the Picture. The Manager will consult with Xxxxxxx Xxxxxxxx with respect to marketing, promotion and advertising of the Picture, and any major decisions with respect to key advertising decisions will be a joint decision between the Manager and Xxxxxxx Xxxxxxxx.

The Publisher will be responsible for and shall, unless otherwise agreed, decide in its sole discretion on all aspects of promotion, production and distribution of the Books, including title, pricing and advertising. The Publisher shall consult AACCI on cover design, but the Publisher shall have the final decision on design. The Publisher shall undertake and be responsible for all costs of production and distribution of the Books, including but not limited to the following: layout, typesetting, copyediting, reference-checking, proofreading, revisions, correspondence with authors/editors, preparation of tables of content and indices, electronic publication, and printing; provided, however, that the Publisher shall not make any change that alters the meaning or accuracy of any portion of any Book. In the event any editorial change made by the Publisher alters the meaning or accuracy of any portion of any Book, the Publisher shall, at its sole expense, restore the original language upon notification by the author during proof reviews and shall be solely responsible for the effect of such changes.
