Prohibited Listings. 1.6.1. Simsim, in its sole discretion, may prohibit the Merchant or direct the Merchant to refrain from listing the Product(s) or providing any specific retailer product content. The Merchant shall not list, market, promote, offer for sale, or sell any Product falling in the category of prohibited items. It is clarified that the Products proposed to be listed by the Merchant, shall first be reviewed by Simsim and once approved, the same shall be listed on the Platform. Further, Simsim will intimate the Merchant, from time to time, with respect to the restricted/ prohibited products and its categories. In the event the Merchant sells or lists any prohibited item, Simsim shall be entitled to block/restrict the sale of such Products by the Merchant and shall also have the right to immediately suspend or terminate the Merchant’s access to the Merchant Panel and the Platform and/ or terminate this Agreement.
Prohibited Listings. SPANTIK, in its sole discretion, may prohibit you or ask you to refrain from listing any Products or providing any Retailer Product Content. In addition, SPANTIK may remove your listings in its sole discretion in response to notices of alleged copyright infringement, trademark misappropriation, or other intellectual property claims. If SPANTIK requests that you remove Products or Retailer Product Content from the SPANTIK Sites, you will make commercially reasonable efforts to remove the Products or Retailer Product Content within 24 hours of such request so that the Products and related Retailer Product Content no longer appear on the SPANTIK Sites. You will not list or include such removed Products or Retailer Product Content on the SPANTIK Sites at any time unless their inclusion is specifically authorized by SPANTIK in writing.

Prohibited Listings. You must have the legal right to sell any Items you list on our Site. You may not list the following on our Site: (a) live animals; (b) human body parts (e.g., relics, skulls, human remains or other parts); (c) bulk email lists; (d) illegal weapons, instructions, kits, plans, or parts designed to illegally convert firearms to full-auto fire; (e) instructions, kits, plans, or parts designed to illegally build silencers; (f) instructions on how to build bombs or explosives; (g) unauthorized replicas, (h) items containing faces, names or signatures of any person unless authorized by that person; (i) hazardous, restricted or toxic materials or substances; or (j) multi-level marketing or similar programs. You may not list any Item that would cause us or you to violate any applicable law, statute, ordinance or regulation. You may not list any Item that is stolen or counterfeit. Your Listing may not be defamatory, libelous, threatening or harassing; and it may not contain obscenity or child pornography.

Prior to the earliest to occur of (i) the termination of this Agreement, (ii) the Effective Date or (iii) the Effectiveness Deadline, such Investor shall not, and shall cause its Trading Affiliates not to, engage, directly or indirectly, in a Prohibited Transaction. Such Investor acknowledges that the representations, warranties and covenants contained in this Section 5.11 are being made for the benefit of the Investors as well as the Company and that each of the other Investors shall have an independent right to assert any claims against such Investor arising out of any breach or violation of the provisions of this Section 5.11.
