PURCHASERS SATISFACTION. The Purchaser/s herein has/have independently examined or caused to be examined the following relating to the title and has/have fully satisfied himself/herself/ itself/ themselves about the same.
PURCHASERS SATISFACTION. For purposes of determining compliance with the conditions specified in Section 3 hereof, each of the undersigned Purchasers shall be deemed to have consented to, approved or accepted or to be satisfied with, each document or other matter required thereunder to be consented to or approved by or acceptable or satisfactory to a Purchaser upon its execution and delivery of a counterpart of this Second Amendment.
PURCHASERS SATISFACTION. During the Due Diligence Period Purchaser being satisfied, in Purchaser's sole discretion, that the Property is suitable for Purchaser's intended use. If Purchaser is not satisfied in its sole discretion as to the suitability of the Property for Purchaser's intended use, Purchaser may terminate this Agreement by written notice to Seller at or before the expiration of the Due Diligence Period; and upon such termination, Purchaser shall be entitled to the return of the Xxxxxxx Money. If Purchaser does not terminate this Agreement by written notice to Seller prior to the end of the Due Diligence Period, the conditions precedent set forth in this in this Section 5.2 shall be deemed to be satisfied or waived.
PURCHASERS SATISFACTION. During the period commencing on the Effective Date and ending January 19, 2004 (the "APPROVAL PERIOD"), the following matters shall be conditions precedent to Purchaser's obligations under this Agreement:
PURCHASERS SATISFACTION. During the period commencing on the Effective Date and ending on December 13, 1996 (the "Approval Period"), the following matters shall be conditions precedent to Purchaser's obligations under this Contract:
PURCHASERS SATISFACTION. During the forty-five (45) day period commencing on the Effective Date (the “Approval Period”), the following matters shall be conditions precedent to Purchaser’s obligations under this Agreement: Purchaser’s being satisfied, in Purchaser’s sole discretion, that the Property is suitable for Purchaser’s intended uses; and Purchaser’s being satisfied, in Purchaser’s sole discretion, with the items listed above in Section 4.1(a) through Section 4.1(f) above, including the information reflected therein. If Purchaser is not satisfied in its sole discretion as to the suitability of the Property for Purchaser’s intended uses or any of the items listed above in Section 4.1(a) through Section 4.1(f) above, or for any reason or for no reason whatsoever Purchaser may give notice of Purchaser’s decision to terminate this Agreement to Seller on or before the expiration of the Approval Period, whereupon this Agreement shall terminate, and upon such termination, Purchaser shall be entitled to the return of the Xxxxxxx Money, and neither party shall have any further obligation hereunder except for the Surviving Obligations. If Purchaser fails to terminate this Agreement by giving notice thereof to Seller on or before the expiration of the Approval Period that Purchaser is not satisfied with the suitability of the Property or any of the items listed in Section 4.1(a) through Section 4.1(f) above, Purchaser shall be deemed to be satisfied with such matters and the conditions precedent in this Section 4.1.1 shall be deemed to be satisfied.
PURCHASERS SATISFACTION. During the forty-five (45) day period commencing on the Effective Date (the “Approval Period”), the following matters shall be conditions precedent to Purchaser’s obligations under this Agreement:
PURCHASERS SATISFACTION. The Purchaser/s undertakes to the Landowner and/or Developer/Vendor that the Purchaser/s is completely acquainted with, fully aware of and is thoroughly satisfied about the title of the Landowner and/or Developer/Vendor, right and entitlement to develop the said premises, the sanctioned plans, all the relevant documents, the right of the Developer/Vendor to grant this presents, the scheme of development described above and the extent of the rights being granted in favour of the Purchaser/s and the negative covenant mentioned above and/or the Said Agreement and/or elsewhere in this presents and the Purchaser/s hereby accepts the same and shall not raise any objection with regard thereto.
PURCHASERS SATISFACTION. Prior to the Approval Deadline, the following matters shall be conditions precedent to Purchaser's obligations under this Contract:
PURCHASERS SATISFACTION. The obligation of Purchaser to close the transaction contemplated hereby is subject, at Purchaser’s option, to Purchaser’s review and approval prior to expiration of the Approval Period of (i) the financial data and information respecting the operation of the Property, (ii) the feasibility of Purchaser’s acquisition of the Property, (iii) the physical and structural condition of the Property, (iv) the Leases and Contracts, and (v) all other documents and items to be delivered to or made available to Purchaser pursuant to Section 4.1 above. The “Approval Period” shall commence on the Effective Date hereof and end at 5:00 p.m. Central Daylight Time on October 10, 2014. In the event Purchaser does not, prior to the end of the Approval Period, notify Seller in writing of the waiver of its right to terminate this Agreement pursuant to its review of the items as set forth in this Section 4.2, this Agreement shall automatically terminate without requirement of further action on the part of Purchaser or Seller. In the event of such termination, Purchaser shall immediately return to Seller any documents, plans, studies or other materials related to the Property that were provided by Seller to Purchaser, and thereafter neither Seller nor Purchaser shall have any further obligations or rights under this Agreement except for the Surviving Obligations.
