Quarterly Royalty Reports. Beginning with the first calendar quarter where a royalty becomes payable on Net Profits, Licensee will deliver to Licensor a quarterly report in English along with the quarterly payment for that quarter. The quarterly report will include the information described in this paragraph 5(a) regarding the activities of Licensee any Sublicensee and their Affiliates. Once the first quarter in which a royalty becomes payable has been reached, quarterly reports will be submitted in all subsequent quarters as long as this Agreement is in force and a royalty on Net Profits of any Licensed Product would still be due, including in quarters when no royalty is determined to be due. Licensee’s chief financial officer, or that officer’s responsible designee, shall certify in writing that each quarterly report is correct and complete. Licensor may review any quarterly report by, e.g., an internal review or review by an independent accounting firm, to verify that the underlying records and report is correct and complete. Each quarterly report will include the following information as it pertains to the preceding calendar quarter that has just ended.
(i) The quantity or amount of Licensed Product billed by Licensee, Licensee’s Affiliates, any Sublicensees and their Affiliates on sales or other transfers that generated Net Profits and royalties. The quantity billed will state the number of clinical units, e.g., unit doses for any compound, composition, kit or package or doses of any Dosage Form, and/or the number of courses, e.g., clinical treatment courses, for any method (compound, composition, method of use or other product such as packages containing a covered composition) that such clinical units or Dosage Form can supply. Each quantity will be stated separately for each entity that is obligated to pay any royalty under this agreement.
(ii) The currency equivalent value in U.S. dollars as specified in paragraph 5(a)(i) of the amounts actually received on such quantities, based on the rate of exchange quoted in the Wall Street Journal on the last business day of the quarter, or on the immediately preceding business day if the Wall Street Journal does not publish such information on the last business day of the quarter; and
(iii) A computation of royalties based on the value of Net Profits based on the value determined under paragraph 5(a)(ii) above.
Quarterly Royalty Reports. Beginning with the first sale of a Licensed Product, Licensee will submit to [University] a written report and an earned royalty payment within thirty [30] days after the end of each quarter (March 31, June 30, September 30, December 31). License shall submit this report even if it makes no sales of the Licensed Product during the reporting period. This report [will be in the form of Appendix ___] and shall include:
(a) Quantity of sales of Licensed Products segregated by product;
(b) Net Sales segregated by product;
(c) Itemized deductions permitted by 1.6(a)-(d) segregated by product; and
(d) The applicable royalty rate.
Quarterly Royalty Reports. Commencing on the first commercial sale of Products in the Territory, Taiho shall make quarterly reports to MG within […***…] days after the end of each calendar quarter, which reports shall include, in reasonable detail, a calculation of any Net Sales in such quarter and an itemization of any deductions or adjustments applicable to such Net Sales by the categories set forth in Section 1.25. Concurrently with making such report, Taiho shall remit payment to MG for any royalty due under Article 11 above.
Quarterly Royalty Reports. Licensee and its Distributors shall maintain accurate records of End Users, including the name and address of each End User and any further information as Licensor may from time to time reasonably request. Licensee shall report to Licensor within thirty (30) calendar days after the end of each quarter (i.e. on or before 1/30, 4/30, 7/30 and 10/30), the type and number of Hardware Products shipped in the prior three months and their associated prices and costs as described in section 1.15.
Quarterly Royalty Reports. Within forty-five (45) days after the end of each calendar quarter, Licensee shall furnish to Licensor a written royalty report for the immediately preceding calendar quarter in the format set forth in Appendix G, attached hereto (each such report, a “Royalty Report”). However, the first such Royalty Report shall cover the time period between the Effective Date and the end of the then-current calendar quarter.
Quarterly Royalty Reports. Licensee shall promptly provide Licensor with written notice upon the achievement of each of the Milestone Events listed in Sections 5.1 and 5.
Quarterly Royalty Reports. Within [***] ([***]) days after receiving a royalty or other report from GSK related to sales of Eltrombopag, other Products or Combination Products under the GSK Agreement, or LGD-4665, Ligand will send Rockefeller a copy of any such written report or reports, covering the reporting period, which is the calendar quarter then ended along with copies of any bank wire receipts evidencing payments from GSK to Ligand under the agreements mentioned in Section 1.6 above.
Quarterly Royalty Reports. The Authority will provide a quarterly royalty report to the Vice-President from Canada of the Federation thirty (30) days following the end of each of the following quarters: First Quarter Ending June 30; Second Quarter Ending September 30; Third Quarter Ending December 31; Fourth Quarter Ending March 31.
Quarterly Royalty Reports. After the first commercial sale of Licensed Product or performance of Licensed Method, LICENSEE shall provide UNIVERSITY with an annual written report within thirty (30) days of December 31 of each calendar year indicating:
Quarterly Royalty Reports. Purchaser shall provide to the Sellers a written report detailing the calculation of Royalties within forty-five (45) days of the end of each calendar quarter following the first commercial sale of an Assigned Product. The report shall include all relevant financial data and calculations used to determine the Royalties due for that quarter.
