Referral to Chief Executive Officers. Any deadlock or dispute arising out of this Lease Agreement will be referred initially by the parties to their respective chief executive officers (or such other persons as may be designated by the chief executive officer) for settlement in good faith. The chief executive officers or designees will meet within seven (7) days of the date on which the deadlock or dispute is so referred. If the deadlock or dispute cannot be resolved, then the chief executive officers will, within 14 days of the initial meeting, meet again in the presence of a mediator (whose expenses shall be paid by the parties equally) to attempt to settle the deadlock or dispute. If the deadlock or dispute is not resolved within 21 days of the initial referral to the chief executive officers, the remainder of this Article 18 will apply.
Referral to Chief Executive Officers. 7.2 If a Dispute Notice is given, the Chief Executive Officers of each of the parties will initiate discussions with a view to settling the issue or matter. A decision reached by such Chief Executive Officers and communicated by them in writing to the parties will be binding on the parties and will be implemented. SUBMISSION TO ARBITRATION
Referral to Chief Executive Officers. In the event that representatives of Felmont and Freeport are unable to agree on the need to add a Replacement Facility, or a New Facility, its the case may be, which requires the approval of Felmont in accordance with Sections 10.2 or 10.3 above, the matter shall be referred to the chief executive officers of Felmont's intimate parent company and Freeport's ultimate parent company for their decision. If the parties remain unable to agree at the end of 30 days after such referral, the matter shall be resolved in accordance with the provisions of Article XI hereof entitled "Additional Capital Dispute Resolution." Notwithstanding anything in this Agreement, or any decision rendered pursuant to Article XI, to the contrary, Freeport reserves the right at all times to proceed in its sole discretion with any capital expenditure for its own use and for its own accounts, and the only effect of Felmont's approval or disapproval of a capital expenditure will be whether such capital expenditure shall be utilized by Freeport in performing services under this Agreement and whether Felmont has an obligation to pay a Facilities Charge associated therewith.
Referral to Chief Executive Officers. 6.3 If no decision is communicated by the Committee within 30 days after such issue or dispute is referred to it, either party may at any time before a decision thereon is so communicated, ask the Chief Executive Officers of each of the parties to initiate discussions with a view to settling the issue or matter. Once the issue or dispute is referred to the Chief Executive Officers, the Committee will no longer have jurisdiction to decide on the issue. A decision reached by such Chief Executive Officers and communicated by them in writing to the parties will be binding on the parties and will be implemented.
Referral to Chief Executive Officers. If a Deadlock arises either Member may request, by providing written notice (a "Referral Notice") to the other Member within fifteen (15) days of the second of the two (2) meetings at which such Key Decision is not resolved, that the resolution of such Deadlock be referred to the Chief Executive Officers of the Members (each a "CEO"). Within fifteen (15) days of the delivery of the Referral Notice, each Member shall prepare a written memorandum to be provided to each CEO setting forth such Member's views on the Key Decision. The CEOs shall negotiate to resolve such Deadlock in good faith.
Referral to Chief Executive Officers. If within 20 Business Days from the date of service of a Deadlock Notice either the Board or the Shareholders shall have failed to resolve the disagreement, the respective Chief Executive Officers of the Ultimate Parent Companies of CME and Reuters, respectively, shall be provided with copies of the Memoranda and shall, as soon as reasonably practicable, meet or speak to discuss the disagreement, exchange relevant information and use all endeavours in good faith to resolve the disagreement within 10 Business Days from the date of such referral (the “Negotiating Period”). Portions of this exhibit have been omitted pursuant to a request for confidential treatment filed with the Securities and Exchange Commission. The omissions have been indicated by asterisks (“*****”), and the omitted text has been filed separately with the Securities and Exchange Commission.
Referral to Chief Executive Officers. The Chief Executive Officers of each Party shall attempt to resolve any dispute by good faith efforts. If the Chief Executive Officers are not able to resolve such dispute within ten (10) days of the referral of such dispute to the Chief Executive Officers, then, except as otherwise specified in this Agreement, the Parties shall try to resolve such dispute through mediation pursuant to Section 10.3.
Referral to Chief Executive Officers. If the Principals shall have discussed actions which might be taken to resolve a dispute pursuant to Section 6.4(b)(1) and shall have failed to agree upon such actions within thirty (30) days after a Principal shall have given notice pursuant to Section 6.4(b)(1), either Principal may, at any time within fifteen (15) days after the expiration of such thirty (30) day period, give a notice to the other Principal requesting that the respective chief executive officers of the Principals or their respective designates discuss such actions. The Principals shall, commencing promptly after such notice shall have been given, cause such officers to discuss such actions. During such discussions, either of such officers may propose for discussion any action which he believes might be so taken and either of such officers may consult with counsel, accountants and other experts. Nothing contained in this Agreement shall obligate or require (or be construed to obligate or require) any of such officers to agree upon any such actions.
Referral to Chief Executive Officers. (a) If the Dispute is not resolved by the Representatives within [ * ] or such other period as the Parties agree, a Party to the Dispute may refer it to the Chief Executive Officer or President (as the case may be) or a person designated by the Chief Executive Officer or President of the Parties to the Dispute by notice in writing.

(a) Any Deadlock arising out of this Agreement shall be referred initially by the Participants to their respective chief executive officers (or such other individuals as may be designated by the chief executive officer) for settlement in good faith. The chief executive officers shall meet (in person or by teleconference) within seven (7) days of the date on which the Deadlock is so referred. If the Deadlock cannot be resolved, then the chief executive officers shall, within fourteen (14) days of the initial meeting, meet again in the presence of a mutually agreed mediator to attempt to settle the Deadlock. The Participants shall share equally the costs of any such mediation. The unanimous decision of the chief executive officers shall be binding on the Participants.
