Reliance Upon Information Sample Clauses

Reliance Upon Information. The commitment of SLFRF funds under this Contract Agreement has been made in part on the basis of certain financial and other information furnished to the City of Providence by Subrecipient. SLFRF Funds may be withdrawn or recaptured by SLFRF at any time if the information furnished by Subrecipient should prove to be untrue or incorrect in any material respect, or if SLFRF should determine that it is inadvisable to fund the Program because of a material and adverse change in the condition of Subrecipient and/or the Program as determined by SLFRF in its sole discretion. Subrecipient will promptly notify the City of Providence in writing in the event of changes in key personnel and obtain the prior written approval from The City of Providence whenever any of the following actions is anticipated: (i) any revision in the scope or objectives of the eligible program activities, including source and use of funds, set forth in the Scope of Work and/or Application; (ii) any revision in the Program Budget between Program Budget categories for the eligible program activities; (iii) any need to extend the period of availability of SLFRF funds; or (iv) obtaining the services of a third party to perform activities which are central to the purposes of this Contract Agreement, which are material to the management or completion of the Program, or which could be construed by The City of Providence as an assignment of Subrecipient’s rights and responsibilities under this Contract Agreement. Failure to so notify the City of Providence may result in termination of this Contract Agreement.

Reliance Upon Information. Company recognizes and confirms that, in advising Company and in fulfilling its engagement hereunder, (i) VFIN will use and rely on data, material and other information furnished to VFIN, and (ii) VFIN may rely upon such data, material and other information without any independent investigation or appraisal to verify its accuracy, completeness or veracity, except to the extent VFIN has actual knowledge to the contrary. Company represents and warrants that all such data, material and other information provided by Company will be true and accurate in all material respects and will not contain any untrue statement of a material fact or omit to state a material fact necessary in order to make the statements therein not misleading in light of the circumstances under which such statements are made. VFIN shall be under no obligation to make an independent appraisal of assets or an independent investigation or inquiry as to any information regarding, or any representations of, any other participant in a Transaction or Financing, nor shall VFIN have any liability with regard thereto. If, in VFIN’s opinion after completion of its due diligence process, the condition or prospects of Company, financial or otherwise, are not substantially as represented or do not fulfill VFIN’s expectations, VFIN shall have the sole discretion to determine its continued participation in any proposed Financing and/or Transaction.

Reliance Upon Information. 12.2.1 Mach warrants that: i. It is not aware as at the Commencement Date of any matters, within its reasonable control, which might or will adversely affect its ability to perform its contractual obligations under this Agreement. ii. Information it has provided to Customer in writing concerning Mach as it relates to Mach’s ability to perform the Services, is accurate and not misleading, including by omission; 12.2.2 Customer warrants that the information it has provided to Mach, as it relates to Mach’s ability to perform the Services, is accurate and not misleading, including by omission. For avoidance of doubt, this clause is to ensure that the Charges are payable regardless of any negative impact arising from inadequate information.

Reliance Upon Information. The Committee shall not be liable for any decision or action taken in good faith in connection with the administration of the Plan. Without limiting the generality of the foregoing, any decision or action taken by the Committee when it relies upon information supplied it by any officer of the Company, the Company’s legal counsel, the Company’s independent accountants or other advisors in connection with the administration of the Plan shall be deemed to have been taken in good faith.

Reliance Upon Information. The Committee shall not be liable for any decision or action taken in good faith in connection with the administration of this Agreement. Without limiting the generality of the foregoing, any decision or action taken by the Committee when it relies upon information supplied it by any officer of the Company, the Company's legal counsel, the Company's independent accountants or other advisors in connection with the administration of this Agreement shall be deemed to have been taken in good faith.

SLFRF Funds may be withdrawn or recaptured by SLFRF at any time if the information furnished by Subrecipient should prove to be untrue or incorrect in any material respect, or if SLFRF should determine that it is inadvisable to fund the Program because of material respect, or if the condition of Subrecipient and/or the Program as determined by SLFRF in its sole discretion.

Reliance Upon Information. In carrying out its obligations hereunder, Owner shall be entitled to rely upon information provided by City or the Certifying Entity with respect to (i) income limits applicable to Low-Income Families and Very-Low Income Families,

SLFRF Funds may be withdrawn or recaptured by Saline County or at any time if the information hrnished by Subrecipient should prove to be untrue or incorrect in any material respect, or if Saline County should determine that it is inadvisable to hnd the Program because of a material and adverse change in the condition of Subrecipient and/or the Program as determined by Saline County iu its soḷe dfiscretion.

SLFRF Funds may be withdrawn or recaptured by the City of Kalamazoo or at any time if the information furnished by Subrecipient should prove to be untrue or incorrect in any material respect, or if the City of Kalamazoo should determine that it is inadvisable to fund the Program because of a material and adverse change in the condition of Subrecipient and/or the Program as determined by the City of Kalamazoo in its sole discretion.
