Renewable Development Work Costs. All costs and expenses necessary or desirable to carry forth or complete Renewable Development Work and all costs as further described in Section 6.3 hereof.

Renewable Development Work Costs. Renewable Development Work Costs shall include: 6.3.1 All costs of services, transportation, studies, and engineering, architectural, construction, legal, environmental, regulatory, financial, accounting and other services necessary or desirable for the performance and completion of Renewable Development Work and the performance and completion of work relating to Pre-Operation Costs, performed by the Project Manager in its capacity as Project Manager or by any other person or entity, in connection with this Agreement and approved by the Project Manager (including, but not limited to, costs for Renewable Development Work incurred but not paid prior to the effective date of this Agreement). 6.3.2 Payroll and other expenses of Project Manager’s employees while performing work in connection with this Agreement, including applicable overhead costs and labor loading charges, including but not limited to time off allowances, payroll taxes, workers’ compensation insurance, retirement and death benefits and other employee benefits. Labor loading shall be in conformance with the Project Manager’s in- house rates as adjusted from time to time. 6.3.3 Applicable costs of materials, supplies, services and apparatus used in connection with this Agreement. 6.3.4 All costs incurred with respect to Pre-Operation Costs that are incurred prior to the execution, if applicable, of any separate agreement pursuant to which Pre-Operation Costs would otherwise be paid. 6.3.5 Federal, state, and local taxes, payments in lieu of taxes, and permit, entitlement, license, certification, and approval-related fees of any character arising out of the performance of this Agreement. 6.3.6 All costs for Renewable Development Work insurance in such form and amounts as determined by the Project Manager or the Board of Directors. 6.3.7 All costs of the Project Manager, including payments made out of the self-insurance fund, if any, of the Project Manager, and to the extent not initially provided for by insurance, of discharging or paying any liability and loss, damage and expense, including costs and expenses for attorneys’ fees, and other costs of defending, settling or otherwise administering claims, liabilities or losses arising out of workers’ compensation or employers’ liability claims or by reason of property damage or injuries to or death of any person or persons or by reason of claims of any and every character resulting from, arising out of or connected with the performance of the Renew...
