Tenant at its sole expense shall comply with all laws, rules, orders and regulations of federal, state, county and local governments (including without limitation, the Americans with Disabilities Act, Public Law 101-336, 42 U.S.C. §§12101 et seq., as amended; the Resource Conservation and Xxxxxxxx Xxx, 00 X.X.X. §0000 et seq., as amended; the Comprehensive Environmental Response, Compensation and Responsibility Act of 1980, codified in scattered sections of 26 U.S.C, 33 X.X.X, 00 X.X.X. xxx 00 X.X.X. §0000 et seq., as amended; the Toxic Substances Xxxxxxx Xxx, 00 X.X.X. §0000 et seq., as amended; the Massachusetts Oil and Hazardous Materials Release Prevention and Response Act, M.G.L. C.21E, as amended; and the Massachusetts Hazardous Waste Management Act, M.G.L. C.21C, as amended) and with any direction of any public officer or officers, pursuant to law, which shall impose any duty upon Landlord or Tenant with respect to and arising out of Tenant’s use or occupancy of the Premises, the Building or any other portion of the Property. If Tenant receives notice of any violation of law, ordinance, order or regulation applicable to the Premises, the Building or any other portion of the Property, it shall give prompt notice thereof to Landlord.

In particular, Tenant shall be responsible for compliance with requirements imposed by the Americans with Disabilities Act relative to the layout of the Demised Premises and any work performed by Tenant therein, including without limitation all such requirements applicable to removing barriers, furnishing auxiliary aids and insuring that, whenever alterations are made, the affected portions of the Demised Premises are readily accessible to and usable by individuals with disabilities. Notwithstanding the foregoing, Landlord shall be responsible for compliance with any requirements imposed by said Act relative to the entryways, elevators and other common areas of the Property. If Tenant receives notice of any violation of law, ordinance, order or regulation applicable to the Demised Premises, it shall give prompt notice thereof to Landlord.

Company shall reimburse and compensate the University for all expenditures made by, or damages or fines sustained or incurred by, the University due to nonperformance or noncompliance with or breach or failure to observe any term, covenant or condition of this Agreement upon Company's part to be kept, observed, performed or complied with. Licensee shall, at its own expense, comply with municipal, state and federal laws, ordinances, rules and regulations including, without limitation, federal export control laws and the obligation to obtain any licenses, permits and governmental approvals required with respect to and arising out of Licensee’s use of Equipment. Licensee and User will faithfully observe such rules and regulations as Northeastern hereafter at any time or from time to time may make and may communicate in writing to Licensee and/or User, and which in the reasonable judgment of Northeastern shall be necessary for the reputation, safety, care or appearance of the Laboratory, the Equipment, the building housing the Laboratory and the land on which it is situated (together, the “Property”), or the preservation of good order therein, or the operation or maintenance of the Property, or the comfort of any tenants or others in the Laboratory or the building housing the Laboratory, provided, however, that in the case of any conflict between the provisions of this Agreement and any such rules and regulations, the provisions of this Agreement shall control, and provided further, that nothing contained in this Agreement shall be construed to impose upon Northeastern any duty or obligation to enforce such rules and regulations or the terms, covenants or conditions in any other lease, license or occupancy agreement as against any other tenant or occupant and Northeastern shall not be liable to Licensee or User for violation of the same by any other tenant or occupant, its servants, employees, agents, visitors, invitees or licensees. Consistent with this provision, Northeastern shall be entitled to require that the Licensee and User promptly remove any of its employees and/or agents from the Property who Northeastern reasonably believes are in violation of any rules, regulations or policies of Northeastern in general or of the Property in particular.
