Reservation Systems. The Concessioner shall cooperate with the transfer of reservation information by:
(i) Providing the New Concessioner with an update of the reservation log through the Termination Date;
(ii) Disconnecting its operations from the Concessioner’s centralized reservation system, if any; and
(iii) Assisting the New Concessioner in transitioning to the New Concessioner’s reservation system.
Reservation Systems. (a) Each of Holdings, Polo Holdings, the Borrower and the other Subsidiaries has filed all applicable documents with the appropriate Governmental Authorities required with respect to the Reservation System(s), and the operation of the Reservation System(s) do not violate any Time Share Laws or any other law of any state or foreign country in which owners of Points Based Time Share Interests are located, in each case except to the extent that could not reasonably be expected to result in a Material Adverse Effect.
(b) To the knowledge of Holdings, Polo Holdings and the Borrower, neither the ATLAS software application nor any other software application(s) used for the Reservation System(s) interferes with, infringes upon, misappropriates or otherwise comes into conflict with any intellectual property, proprietary or other rights of third parties, and none of Holdings, Polo Holdings or the Borrower has received or become aware of any charge, complaint, claim, demand or notice alleging any such interference, infringement, misappropriation or violation (including any claim that any Subsidiary must license or refrain from using any intellectual property rights of any third party), except to the extent that could not reasonably be expected to result in a Material Adverse Effect. To the knowledge of Holdings, Polo Holdings and the Borrower, no third party has interfered with, infringed upon, misappropriated, or otherwise come into conflict with any intellectual property rights of Polo Holdings, the Borrower or any other Subsidiary with respect to the ATLAS software application.
(c) The ratio of (i) the total number of Points sold to customers to (ii) the total number of Points allocable to available space in Points Based Time Share Resorts and available in the Reservation System(s) does not exceed 1.0 to 1.0, consistent with applicable law and subject to Schedule 3.26(a).
Reservation Systems. Maintain one or more Reservation Systems, free and clear of Liens on the records or software applications used by such Reservation Systems, as is customary for companies in the same or similar businesses and operating in the same or similar locations, comply with all Time Share Laws and other laws related to the operation of such Reservation Systems, and maintain all necessary licenses to run such Reservation Systems, except in each case to the extent that failure to do so could not reasonably be expected, individually or in the aggregate, to result in a Material Adverse Effect. Maintain a ratio of (i) Points sold to customers to (ii) total number of Points allocable to available space in the Points Based Time Share Resorts and available in the Reservation Systems(s) that does not exceed 1.0 to 1.0, consistent with applicable law.
Reservation Systems. The Lessee shall provide the New Lessee with an update of the reservation log through the Termination Date.
Reservation Systems. (a) Provide the New Concessionaire with an update of the reservation log through the Termination Date;
(b) disconnect its operations from the Concessionaire’s centralized reservation system, if any; and
(c) cooperate with the New Concessionaire in transitioning to the New Concessionaire’s reservation system.
Reservation Systems. (a) The Ticketing Company will have access to following functions in Carrier’s reservation system XXXX Xxxxxxx:
1. Training Programmes
2. Passenger reservations and sales 3. Passenger services 4. Other functions
Reservation Systems. (i) Each Diamond Resorts Entity has filed all applicable documents with the appropriate Governmental Authorities required with respect to the Reservation System(s), and the operation of the Reservation System(s) do not violate any Timeshare Laws or any other law of any state or foreign country in which owners of Points Based Timeshare Properties are located, in each case except to the extent that such violation could not reasonably be expected to result in a Material Adverse Effect.
(ii) To the knowledge of the Diamond Resorts Parties, neither the ATLAS software application nor any other software application(s) used for the Reservation System(s) interferes with, infringes upon, misappropriates or otherwise comes into conflict with any intellectual property, proprietary or other rights of third parties, and none of the Diamond Resorts Parties has received or become aware of any charge, complaint, claim, demand or notice alleging any such interference, infringement, misappropriation or violation (including any claim that any Subsidiary must license or refrain from using any intellectual property rights of any third party), except to the extent that such violation could not reasonably be expected to result in a Material Adverse Effect. To the knowledge of each Diamond Resorts Party, no third party has interfered with, infringed upon, misappropriated, or otherwise come into conflict with any intellectual property rights of a Diamond Resorts Entity with respect to the ATLAS software application.
(iii) The ratio of (A) the total number of Points sold to customers to (B) the total number of Points allocable to available space in Points Based Resorts and available in the Reservation System(s) does not exceed 1.0 to 1.0, consistent with applicable Timeshare Law.
Reservation Systems. Maintain the Reservation System(s) in accordance with all Applicable Law applicable to it and with each material instrument, agreement or document which applies to such Reservation System(s), except to the extent such non-compliance would not reasonably be expected to have a Material Adverse Effect.
Reservation Systems. (a) The Ticketing Company will have access to the Carrier's Reservation & Ticketing system that will be installed and maintained at Carrier's cost.
