Responsibilities of Participant. Participant acknowledges and agrees that Participant is solely responsible for: (a) the development, manufacture, marketing, security and support of Participant’s Website that utilizes the MLS Databases or the MLS Content; (b) the use and/or integration of the MLS Content into and/or with the Participant’s Website, a third party’s Website or a Service Provider’s Website, system or software; (c) the actions of the Service Provider in the creation or modification of the Participant’s Website or in the Participant’s use of a Service Provider’s Website, system or software; and

Responsibilities of Participant a. Participant agrees to fully comply with all operating policies and procedures adopted by WPN and all amendments thereto, as contained in this Agreement and all other handbooks, manuals or other written publications or established procedures adopted by WPN and as amended and in effect from time to time. Participant shall promptly comply with all laws, ordinances, orders, rules, statutes and regulations of governmental authorities and promptly furnish WPN with reports of any official searches made by governmental authorities and any claims of violations thereof.

Participants provide CalMHSA, the non-Federal Financial Participation (non-FFP) portion of cost of services anticipated for SMHS, for their children in xxxxxx care outside of their county. Transfer of funds for the Program shall be in accordance with respective provisions of this contract. Participants are required to provide timely and continuous funding to replenish their bank account based on actual transactions to comply with their contractual obligations. Due to the nature of the Program and the specialty of services being provided to children, requests for funding are due upon receipt from date of notice to replenish. 4. For any of the services covered by this Schedule, Participant will be entitled to use the services of a third party for the purpose only of processing such data on behalf of Participant and only on the condition that the third party agrees to keep such data confidential. Participant may also disclose to its Shared Designator Carrier data pertaining to Participant's code share flights involving that Shared Designator Carrier. In addition, Participant may disclose specific data to a Galileo International Subscriber that generated the transactions associated with that data. The tapes or other medium provided under this Schedule and the information contained therein may not be resold or otherwise disclosed to any other third party without the prior written consent of Galileo International. B.
