Restraint Period Sample Clauses

Restraint Period and Area The Restraint Period is as follows: i. twelve (12) months; or ii. if a court finds twelve (12) months unreasonable, nine (9) months; or iii. if a court finds nine (9) months unreasonable, six (6) months; or iv. if a court finds six (6) months umeasonable, three (3) months. The Restraint Area is as follows: i. All MyFiziq patented countries; currently China, South Korea, Japan, Singapore, USA and Australia, this will expand to further countries as new patents are received; or ii. if a court finds all MyFiziq patented countries unreasonable, Asia Pacific countries I. Or iii. if a court finds Asia Pacific countries unreasonable, Australia.

Restraint Period. The period referred to in clause 19.1 is each of the following periods separately: (a) 5 years from the Completion Date; (b) 4 years from the Completion Date; (c) 3 years from the Completion Date; (d) 2 years from the Completion Date; and (e) 12 months from the Completion Date.

Restraint Period. The undertakings in clauses 9.1 and 9.2 are given for each of the periods starting on the Completion Date and ending: (a) on the date that is two years after the Completion Date; (b) on the date that is one year after the Completion Date; (c) on the date that is six months after the Completion Date.

Restraint Period. Twelve (12) months from the day immediately following the Termination Date, or if that is unenforceable 6 months from the day immediately following the Termination Date, or of if that is unenforceable 3 months from the day immediately following the Termination Date.

Restraint Period. 12 months commencing on the date of termination of the employment of the Employee with the Company or any member of the Novogen Group (however that termination occurs).

Restraint Period. (a) You must not at any time during the Restraint Period directly, indirectly or inadvertently, solicit, or assist other persons to: (1) solicit the employment or engagement of any of our employees or contractors; or (2) solicit any customer or client of ours which you would not have known or been introduced to had you not delivered the Program under this Document; or (3) compete with the Business of The Root Cause. (b) If you have a pre-existing business relationship with a customer or client of ours that may continue after the Term, you must notify The Root Cause as soon as you becomes aware of this and by no later than the end of the Term. In this case we will discuss and agree with you whether clause 7.2(a)(2) will be applicable for that particular mutual customer or client. (c) You acknowledge and agree that: (1) the terms of this clause 7.2 are reasonable given the nature of our business; (2) this clause 7.2 is necessary to protect the legitimate business interests of The Root Cause; (3) a breach of this clause 7.2 by you may enable us to seek legal remedies for such breach; and (4) we may require you to provide evidence confirming to the reasonable satisfaction of us that you are not in breach of this clause.

Restraint Period. During the Restraint Period, you agree not to solicit, recruit or otherwise engage any of our subcontractors or employees on any basis. In the event of a breach of this clause, we will be entitled to an agency commission of 25% of the person’s starting salary with you, which will be payable within 7 days of the engagement.
