RESTRICTIONS ON COMPENSATION. 4.1 The Air Carrier, including all of its holding companies, subsidiaries, and affiliated entities, agrees that it will not provide Total Cash Compensation during the 12-month period beginning April 1, 2003, to an executive officer in an amount equal to more than the annual Salary paid to that officer with respect to the Air Carrier's fiscal year 2002; and 4.2 If the Air Carrier violates the agreement under paragraph 4.1, Air Carrier will pay to the Secretary of the Treasury, within 60 days after the date on which the violation occurs, an amount, determined by the Administrator of the Transportation Security Administration, equal to the total amount of assistance received by Air Carrier pursuant to the second proviso of Title IV, P.L. 108-11. 4.3 Nothing in this Agreement shall be construed to prohibit or limit an air carrier in providing health benefits, life insurance benefits, or reimbursement of reasonable expenses to an executive officer as provided in P.L. 108-11.

RESTRICTIONS ON COMPENSATION. I-Dealer shall not be compensated for any activation wherein the Wireless Service is activated for a Subscriber using Equipment or a SIM Card sold or otherwise provided to I-Dealer by any entity other than Company, or a third party supplier previously approved by Company in writing. I-Dealer shall not be compensated for any activation wherein the Wireless Service is activated for a Subscriber using a dealer code not assigned by Company to I-Dealer.
RESTRICTIONS ON COMPENSATION. Unless the holders of at least 51% of the aggregate principal amount of Notes then outstanding shall otherwise consent in writing, the Company shall not increase the compensation (including salary, bonus and fringe benefits) of any of its present officers from the amounts presently payable for the current fiscal year of the Company to such officers, increase the aggregate compensation to all such officers by over 10% annually for succeeding fiscal years, or increase the compensation of any person who shall hereafter become an officer of the Company by over 10% annually.

An ECIP recipient must ensure that the total compensation paid to its senior executive officers is appropriate and not excessive. Unless informed oth- erwise by the Department of the Treas- ury, an ECIP recipient is considered to have satisfied the requirements regard- ing executive compensation in this sec- tion if it, and, if applicable, all insured depository institution subsidiaries of the ECIP recipient, maintains compli- ance with the following (or any suc- cessor requirement, as applicable): (1) For an ECIP recipient or sub- sidiary of an ECIP recipient that is an insured depository institution, except for federally insured credit unions, the Interagency Guidelines Establishing Standards for Safety and Soundness as issued by the appropriate Federal banking agency for the ECIP recipient or subsidiary (i.e., for national banks and Federal savings associations, 12 CFR part 30, appendix A; state member banks, 12 CFR part 208, appendix D–1; insured state nonmember banks and state savings associations, 12 CFR part 364, appendix A); (2) For an ECIP recipient that is a bank holding company, the require- ments for corporate practices of bank holding companies as issued by the Federal Reserve Board at 12 CFR 225.4; (3) For an ECIP recipient that is a savings and loan holding company, the requirements regarding safe and sound operations of savings and loan holding companies as issued by the Federal Re- serve Board at 12 CFR 238.8; and (4) For an ECIP recipient that is a federally insured credit union, the re- quirements on compensation and bene- fits for federally insured credit unions as issued by the NCUA at 12 CFR 701.19(a); 12 CFR 701.21(c)(8); 12 CFR 702.203(b)(10); and 12 CFR 702.204(b)(10).
RESTRICTIONS ON COMPENSATION. AWA and Holdings hereby covenant that during the two (2) year period beginning September 11, 2001 and ending September 11, 2003, no Covered Employee will receive from AWA and/or Holdings (i) Total Compensation which exceeds, during any twelve (12) consecutive months of such two (2) year period, the Maximum Compensation for such Covered Employee, or (ii) severance pay or other benefits upon termination of employment with AWA and/or Holdings the value of which exceeds twice the Maximum Compensation for such Covered Employee.
RESTRICTIONS ON COMPENSATION. The Advisor shall not receive any commission or other compensation in connection with the sale of the Account Agreements, except for compensation paid to it in connection with the management of the Accounts.

  • Restrictions on Competition During the term of this Agreement and for a period of one year after you cease to be an employee of DFC or an affiliate of DFC, you will not, without the prior written consent of DFC, (a) accept employment or render service to any person, firm or corporation, directly or indirectly, in competition with DFC, or any affiliate thereof for any purpose which would be competitive with the business of DFC and its affiliates within the Commonwealth of Puerto Rico or any other geographic area in which DFC or any affiliate of DFC by which you were employed, conducted operations (the "Restricted Area") or any business as to which studies or preparations relating to the entry into which were made by DFC or any affiliate of DFC by which you were employed within one year prior thereto (collectively, the "Restricted Businesses") or (b) directly or indirectly, enter into or in any manner take part in or lend your name, counsel or assistance to any venture, enterprise, business or endeavor, whether as proprietor, principal, investor, partner, director, officer, employee, consultant, adviser, agent, independent contractor or in any other capacity whatsoever for any purpose which would be competitive with the Restricted Businesses in the Restricted Area. An investment not exceeding 5% of the outstanding stock in any corporation regularly traded on any national securities exchange or in the over-the-counter market shall not be deemed to violate this provision, provided that you shall not render any services for such corporation.

  • Restrictions on Payments An employee shall not be entitled to payment for inclement weather as provided for in this clause unless the employee remains on the job until the provisions set out in this clause have been observed.

  • Limitations on Benefits It is the explicit intention of Purchaser and Seller that no person or entity other than Purchaser and Seller and their permitted successors and assigns is or shall be entitled to bring any action to enforce any provision of this Agreement against any of the parties hereto, and the covenants, undertakings and agreements set forth in this Agreement shall be solely for the benefit of, and shall be enforceable only by, Purchaser and Seller or their respective successors and assigns as permitted hereunder. Nothing contained in this Agreement shall under any circumstances whatsoever be deemed or construed, or be interpreted, as making any third party (including, without limitation, Broker or any Tenant) a beneficiary of any term or provision of this Agreement or any instrument or document delivered pursuant hereto, and Purchaser and Seller expressly reject any such intent, construction or interpretation of this Agreement.

  • Limitations and Conditions on Benefits The benefits and payments provided under this Agreement shall be subject to the following terms and limitations:

  • Restrictions on U.S Transfers. Transfers of interests in the Regulation S Global Security to U.S. persons (as defined in Regulation S) shall be limited to transfers made pursuant to the provisions of Section 3.03(h)(C).

  • Restrictions on Holders Each Holder agrees by acquisition of a Transfer Restricted Security that, upon receipt of the notice referred to in Section 6(c)(iii)(C) or any notice from the Company of the existence of any fact of the kind described in Section 6(c)(iii)(D) hereof (in each case, a "SUSPENSION NOTICE"), such Holder will forthwith discontinue disposition of Transfer Restricted Securities pursuant to the applicable Registration Statement until (i) such Holder has received copies of the supplemented or amended Prospectus contemplated by Section 6(c)(iv) hereof, or (ii) such Holder is advised in writing by the Company that the use of the Prospectus may be resumed, and has received copies of any additional or supplemental filings that are incorporated by reference in the Prospectus (in each case, the "RECOMMENCEMENT DATE"). Each Holder receiving a Suspension Notice hereby agrees that it will either (i) destroy any Prospectuses, other than permanent file copies, then in such Holder's possession which have been replaced by the Company with more recently dated Prospectuses or (ii) deliver to the Company (at the Company's expense) all copies, other than permanent file copies, then in such Holder's possession of the Prospectus covering such Transfer Restricted Securities that was current at the time of receipt of the Suspension Notice. The time period regarding the effectiveness of such Registration Statement set forth in Section 3 or 4 hereof, as applicable, shall be extended by a number of days equal to the number of days in the period from and including the date of delivery of the Suspension Notice to the date of delivery of the Recommencement Date.
