Road Shows Sample Clauses

Road Shows. To the extent reasonably requested by the lead or managing underwriters in connection with an underwritten offering pursuant to Section 2.1 or a Form S-3 underwritten offering pursuant to Section 2.3 and Section 2.4(b), send appropriate officers of the Company to attend any “road shows” scheduled in connection with any such underwritten offering, with all out of pocket costs and expenses incurred by the Company or such officers in connection with such attendance to be paid by the Company;

Road Shows. The Advisor agrees to participate in “road show” and similar presentations in connection with the offering of the Series J Interests to the extent reasonably requested by the Managing Owner, on the following conditions: (i) all expenses incurred by the Advisor in the course of such participation will be paid for by the Managing Owner and/or the Selling Agent, (ii) the Advisor shall not be obligated to take any action which might require registration as a broker-dealer or investment adviser under any applicable federal or state law, and (iii) the Advisor shall not be required to assist in “road show” or similar presentations to the extent that it reasonably believes that doing so would interfere with its trading, marketing or other activities or otherwise would be unduly burdensome to it.

Road Shows. The Advisor agrees to make representatives of its marketing department available to participate in "road show" and similar presentations in connection with the offering of the Series F Interests to the extent reasonably requested by the Managing Owner, on the following conditions: (i) all expenses incurred by the Advisor in the course of such participation will be shared between and among the Advisor, the Managing Owner and/or Prudential Securities, in such amounts as shall be agreed among the parties, (ii) the Advisor shall not be obligated to take any action which might require registration as a broker-dealer or investment adviser under any applicable federal or state law and (iii) the Advisor shall not be required to assist in "road show" or similar presentations to the extent that it reasonably believes that doing so would interfere with its trading, marketing or other activities.

Road Shows. To the extent reasonably requested by a Requesting Stockholder, cause the appropriate members of the management and employees to participate in meetings, diligence sessions, and road shows.

Road Shows. The Company agrees that road show presentations will be given by the Underwriters in the following cities: New York, Chicago, Denver, Atlanta, Boca Raton, Dallas, San Diego, Irvine, Los Angeles, San Francisco and Portland, as well as any other cities which may be mutually agreed upon by the Representative and the Company. Travel will be "AirPass" on Platinum upgrade and on American Airlines when available. The Company acknowledges that the Representative requires a suite in New York in order to accommodate meetings.

Road Shows. In connection with the FON Offering, as appropriate in light of the size of the FON Offering indicated in the first preliminary prospectus that is printed, Sprint shall provide special assistance to the Underwriters in their selling efforts, including, but not limited to (i) the preparation of "road show" materials and (ii) the participation of certain members of Sprint's management in such "road show."
