SCOPE OF CONSULTANT SERVICES. Consultant agrees to perform those services described hereafter. Unless modified in writing by both parties, duties of Consultant shall not be construed to exceed those services specifically set forth herein.

SCOPE OF CONSULTANT SERVICES. The Consultant Services are described in Attachment 1 to this Agreement. The Consultant shall, in Attachment 1, identify specific personnel who will be assigned Consultant Services along with a description of the Consultant Services to be performed or provided by personnel identified by the Consultant. Personnel identified by the Consultant for portions of the Consultant Services shall be subject to the District’s approval. The Consultant shall provide all labor, materials, equipment, tools and other items necessary to complete the Consultant Services and authorized Additional Consultant Services without adjustment of the Contract Price.
SCOPE OF CONSULTANT SERVICES. (a) During the term of this Agreement, Consultant will serve as President, Director and Chief Executive Officer of the Company. In that connection, Consultant will (i) devote his attention and energies to the business of the Company and will diligently and to the best of his ability perform all duties incident to his duties hereunder; (ii) use his best efforts to promote the interests and goodwill of the Company; and (iii) perform all duties commensurate with his office as the Board of Directors of the Company may from time-to-time assign to him.

SCOPE OF CONSULTANT SERVICES. Consultant is to provide recommendations and prepare construction documents for the Marin Showcase Theater Seating Replacement Project (412306). The project will include the review of existing seating and surrounding conditions and issues, improvements, development of rehabilitation strategies, findings and recommendations. Consultant shall include all licensed design professionals needed (architectural, Electrical, structural, etc.) in order to produce fully biddable construction documents under State public contract requirements. Services of a professional cost estimator should be included; Consultant is to submit Rough Order of Magnitude (ROM) cost estimate and construction schedule, as outlined in Task I. The consultant also will be responsible for all documents needed for approval of construction documents by other approval authorities, including, but not limited to Marin County Building and Safety (Building Permit). Along with other applicable codes, the project shall comply with current California Title 24 regulations, the Americans with Disabilities Act (ADA) and ADA Accessibility Guidelines (ADAAG). Should any of the applicable codes conflict; the stricter requirement shall be met.

Pursuant to Section 2(a) of the Confidential Separation, General Release and Post-Separation Consulting Agreement, Executive’s Services shall include: Advisory services at the request of the CEO of the Company Assistance in government sales and lobbying at the request of the CEO of the Company Assistance in developing partnerships and business development activities at the request of the CEO of the Company Transition assistance in operational and technical matters, as identified by the CEO of the Company Other tasks or services which may be identified from time to time by the CEO Rate: $20,833.33 per month paid as of the first payroll date of each month. Executive will be reimbursed by the Company for all other expenses based on actuals incurred while performing the Services and based on invoices submitted and reimbursable pursuant to the Company’s standard expense reimbursement policy.
SCOPE OF CONSULTANT SERVICES. Services to be rendered to the District by the Consultant are as follows:
