Transition Assistance definition

Transition Assistance means Technical Support, services, assistance, cooperation, training and access to personnel regarding the transfer and operation of the Myoelectric Elbow Business, including, but not limited to, accounting and finance, human resources (employee benefits, payroll, etc.), information technology and systems, logistics (purchasing, distribution, warehousing, supply chain management, etc.), manufacturing (technology, technology transfer, operating permits and licenses, regulatory compliance, quality control, manufacturing processes and troubleshooting, etc.), research and Development, and sales and marketing (including customer service, supply chain management, and customer transfer logistics, etc.).
Transition Assistance shall have the meaning set forth in Section 7.5(b)(iii).
Transition Assistance has the meaning set forth in Section 13.4 of the Master Agreement.

  • In the event that the County elects not to renew this Contract at the end of the Term, or otherwise terminates this Contract as provided or authorized herein, the Contractor agrees to fully cooperate in the transition of the new contractor, in accordance with the Transition Assistance Services schedule (Attachment G) attached hereto.
