SCOPE OF SERVICES TO BE PROVIDED. (continued) 5. Company Administration Services shall include any or all of the following:  Handling and forwarding of any statutory mail  The issuance of invoices and statements to customers and ensuring their settlement  The opening and operating of corporate and/or trust bank accounts, the receipt and maintenance of bank statements & advices and the reconciliation of bank accounts  The entering into of correspondence and the maintenance of files. 6. Form-A-Co (Gibraltar) Limited provides Professional Trustee Services through its associate company, Form-A-Trust (Gibraltar) Limited, which is licensed and regulated under the Financial Services Act. 7. Consultancy/Advisory services are limited to general advice in respect of the Company or Trust acquired or to be acquired by the Applicant for Business. Neither Form-A-Co (Gibraltar) Limited, Form-A-Trust (Gibraltar) Limited nor any of their directors or staff cannot and will not provide any form of legal, taxation or accounting advice whatsoever and accordingly they will not accept any responsibility in respect thereof. Applicants for Business / Clients are strongly urged to seek independent professional advice before embarking on any action involving the use of a company or trust. Form-A-Co (Gibraltar) Limited reserves the right to request written confirmation that such independent professional advice has been sought and to receive copies of any documentation in respect of such independent professional advice given to the Applicant for Business / Client. 8. Opening of bank accounts: (a) In the case of a Trust or Settlement only the Trustees are permitted to act as authorised signatories. The Trustees shall, however, regularly report to the Settlor and/or Protector in respect of funds under their control. (b) In those cases where the clients act as directors and/or signatories to corporate bank accounts, Form-A-Co (Gibraltar) Limited reserves the right to request copy banks statements and advices. (c) In those cases where Form-A-Co (Gibraltar) Limited provides director services it must also provide and act as authorised signatories to all corporate accounts. Copy statements and advices shall be furnished to clients upon request.

SCOPE OF SERVICES TO BE PROVIDED. Consultant hereby accepts the engagement on the terms and conditions set forth in the Agreement and agrees to provide the consulting services, which shall consist of but not be limited to: A. Providing advice and analysis to Client in connection with business litigation and related legal matters. B. Assist Client with matters relative to regulatory agencies, including Federal, State and local government agencies. C. Assist Client in negotiating joint venture opportunities.

SCOPE OF SERVICES TO BE PROVIDED. Advisor, subject to the control, direction and supervision of Client's Board of Directors, and in conformity with applicable laws, Client's Articles of Incorporation, By-laws, registration statements, business plan objectives, policies and restrictions, shall provide the following Services, excluding the compensation to Advisor's employees or agents covered under separate agreements, if any, and their related expenses, as provided below: (A) Management of Assets. Advisor will manage the Client's assets including, by way of illustration, the evaluation of pertinent economic, statistical, financial and other data, and formulation and/or implementation of a corporate business plan; and

SCOPE OF SERVICES TO BE PROVIDED. Consultant shall provide to the Company, on an as needed basis, assistance, advice and support relating to the Company’s business, including project management and supporting the project lead and development team, as the Company may request from time to time. Without limiting the generality of the foregoing, Consultant shall: (a) R&D. Consultant shall undertake and perform the tasks outlined on Annex A hereto and such additional or other responsibilities as may be reasonably assigned to Consultant from time to time by the Company’s Chief Executive Officer, Chief Operating Officer, or Director of Research and Development.

SCOPE OF SERVICES TO BE PROVIDED. 2.1 U.S. Gold agrees to provide the following general Management and Administrative Services to GRC as provided in this Agreement: 2.2 Executive Management- The time and services of the following individuals will be provided on an as-needed basis (anticipated to require, on average, no more than approximately 50% of the normal available work period): a) Xxxxxxx X. Xxxx; b) Xxxxxxx X. Pass, and c) Xxxxx X. Xxxx, each whom are full-time executive employees of U.S. Gold.

Providing advice and analysis to Client in connection with mergers, acquisitions and other strategic business opportunities. B. Assist Client with matters relative to regulatory agencies, i.e. United States Securities and Exchange Commission ("SEC"), National Association of Securities and Exchange Commission ("SEC"), National Association of Securities Dealers ("NASD"), Florida Division of Securities ("FDS"), etc. including filings, disclosure, press releases, listing requirements and the like. C. Assist Client in negotiating joint venture opportunities.

SCOPE OF SERVICES TO BE PROVIDED. Consultant hereby accepts the engagement on the terms and conditions set forth in the Agreement and agrees to provide the services which shall consist of establishing internal controls and procedures to effect accurate and timely preparation of financial statements and regulatory reports on Form 10-K, Form 10-Q and Form 8-K, and to be the individual responsible for the preparation, review and filing of such reports; establishing sales and disbursement systems; establishing payroll and inventory methods; assisting Client's Board of Directors in the analysis of business opportunities, and debt and equity financing proposals; preparing and/or timely reviewing of financial projections and preparing budget; preparing capital requirement forecasts and corporate finance requirements, the coordination of Client's audit, including preparation of audit schedules, confirmations, reports and responses to auditors; and, the performance of such additional duties as requested by Client's Board of Directors (collectively referred to herein as the "Services"). Consultant may not assign his duties hereunder unless agreed to in writing with Client. Consultant's failure to perform the Services shall be deemed a voluntary termination of this Agreement by Consultant pursuant to Paragraph 12 hereof.

SCOPE OF SERVICES TO BE PROVIDED. The Company hereby retains Consultant to provide from his home or other location chosen by Consultant general business consulting services regarding all aspects of the business, including, but not limited to determination of services to be provided and the manner and/or method of providing those services, product development, product enhancement, marketing, sales, advertising, employment of others, day-to-day operations, business development, business growth, and, general business and administrative procedures and processes. Consultant has advised Company that tax advice is specifically excluded from the scope of the services Consultant will provide under this agreement. Consultant will not, without specific approval of Company's Board of Directors, contractually obligate Company to do or refrain from any act.
