SCOPE & TERM. 1.1. Company will consider supporting the Event organised by organiser for the purpose as specified in Exhibit ‘A’. 1.2. The Sponsored amount as mentioned in Exhibit ‘B’, shall be paid either by company cheque payable to the Payee as mentioned in Exhibit ‘B’ or directly into the organizer’s designated account for receiving the sponsorship upon receipt of a duly signed copy of this Agreement and invoice as per applicable laws. The said payment will be subject to deduction of taxes under applicable laws and statutes including TDS. 1.3. In lieu of said sponsorship, Company will receive the branding opportunities during the program as mentioned in Exhibit ‘B’. 1.4. In case the event is cancelled by the Organizer due to any reason whatsoever, the Organizer shall be liable to return entire amount paid by the Company within a period of Fifteen (15) days. However, the Organizer has deferred the event; in that case, the Company shall have an option either to continue with the sponsorship or get the refund of the sponsorship amount. 1.5. Such financial support is provided for the purpose of continuous medical education and is not connected to the purchase of Company products. The said amount may only be used to cover conference related legitimate expenses and should not be used to provide any undue benefit to anyone. Such payment will not be used to support any entertainment/social program, any personal purpose, investment purpose or for any purpose not in any way directly in furtherance of the conference. The organizer shall keep transparent, accurate and complete records of the sponsorship amount and its use. 1.6. The organizer hereby represents and warrants to Company that the Organizer shall comply at all times with the laws of the Jurisdiction and be in full compliance with all applicable laws and regulation and without prejudice to the foregoing, the organizer agree that it shall not, in violation of laws, pay, offer or authorize to pay anything of value, directly or indirectly, to any person or organizer, including without limitation to a governmental official, political party, state-owned enterprise or public organizer (in the form of compensation, gifts or donation), nor shall it provide any training, further study opportunity or monetary donation as a condition to obtain improper rights or interest, or to assist Company to obtain or retain business or to secure some improper business advantage.

SCOPE & TERM. 0.1 This Agreement shall continue for five (5) years from the Effective Date (the “Term”) and shall apply to all Orders executed between AssetWorks and Customer (collectively “Parties”) during the Term. Capitalized terms are defined at the end of this Agreement. 0.2 The following order of precedence shall control in case of conflict: • Agreement • Exhibit A – Order • Exhibit B – • Exhibit C – 0.3 Customer agrees to pay the fees and AssetWorks agrees to supply the items in each case as detailed on the Order, subject to the terms and conditions of this Agreement to the exclusion of any additional or conflicting terms of acceptance. 0.4 No terms or conditions endorsed upon, delivered with, or contained in the Customer's acknowledgement or acceptance of th is Agreement or any related Order shall form part of this Agreement. Customer hereby waives and agrees to waive any right to rely on such terms and conditions.
SCOPE & TERM. The Confidential Data disclosed to Consultant is to be reviewed only for the limited purpose set forth above and for no other purpose. Company is not obligated to enter into any further agreement or business relationship with Consultant. The restrictions in this Agreement will survive and continue in force until five (5) years after the date of this Agreement.
SCOPE & TERM. The Duration of the Fellowship Agreement is of one year from the effective date of the agreement.

  • Initial Term The initial term will begin on the date set forth in the Contract documents or on the date the Contract is signed by all Parties, whichever is later.

  • License Term The license term shall commence upon the License Effective Date, provided, however, that where an acceptance or trial period applies to the Product, the License Term shall be extended by the time period for testing, acceptance or trial.

  • Contract Term The Contract end date, wherever such reference appears in the Contract, shall be changed from June 18, 2020 to June 18, 2021. The Contract Term may be renewed for one additional one-year period at the discretion of the State. Child Support (Applicable to natural persons only; not applicable to corporations, partnerships or LLCs). Contractor is under no obligation to pay child support or is in good standing with respect to or in full compliance with a plan to pay any and all child support payable under a support order as of the date of this amendment.

  • Dpa Term Paragraph 4 on page 1 of the DPA setting a three-year term for the DPA shall be deleted, and the following shall be inserted in lieu thereof: “This DPA shall be effective upon the date of signature by Finalsite and XXX. and shall remain in effect as between Finalsite and LEA 1) for so long as the Services are being provided to LEA or 2) until the DPA is terminated pursuant to Section 15 of this Exhibit G, whichever comes first. ”
