Selected Projects a. Subject to other sections of this Agreement, the Parties from time to time shall recommend in writing to each other one or more Projects based on sales leads generated with potential customers for evaluation under this Agreement ("Sales Lead Report"). Each Sales Lead Report shall identify all Projects that the submitting Party has evaluated in accordance with the Pre-screening Criteria as defined hereafter and the results of each such evaluation. Within ten (10) business days following receipt of a Sales Lead Report, the receiving Party shall notify the other Party in writing of any Project described in the Sales Lead Report that the receiving Party wishes to undertake jointly with the other Party (referred to herein collectively as "Selected Projects" and individually as a "Selected Project"). All Projects described in the Sales Lead Report to which the receiving Party does not timely respond or which the receiving Party does not wish to undertake jointly shall be deemed rejected. If the receiving Party requests additional information regarding the Project from the other Party, the submitting Party shall promptly disclose, to the extent possible, such additional information and the receiving Party shall have five days from the receipt of such additional information to make its determination. The submitting Party may thereafter pursue any such rejected Project without restriction or limitation for its own account or with third parties. The receiving Party, however, may only pursue such a rejected Project:

Selected Projects. Taking into account the number of projects summarized in appendices 1 and 2 is very large to be initially used for a selection of possible stakeholder for the study, a shorter list was prepared to help preparing Deliverable 2.2. The following criteria have been established to elaborate this shorter list (table 4):  Type of project. Among the described type of projects, the demonstration experiences intended to combine a targeted technology with a user education experience allow participants to better understand the benefits of the technology. Furthermore, they have a greater impact on factors such as awareness, knowledge, familiarity, global attitude, emotions, acceptance and support. Thus, the objective of the project to be selected is the demonstration of an actual FCH system or prototype in an operational environment. As such, they should be implementation projects that are not solely intended for research actions.  Project status: Initially only ongoing projects were included because people involved in running projects could be considered important stakeholders with an actual opinion. This could be decisive, not only in the elaboration of the HYACINTH project, but also in the dissemination of project results. However, finally, several closed projects were included in the shorter list, due to the act that some countries show a lack of ongoing hydrogen projects. To be exact, the nine closed projects included were projects related with Mobile Application, with one or more vehicles in use. We took into account that people involved in these projects can also have important information regarding their opinion on a daily use of these vehicles. For projects oriented towards Mobile Applications, Table 4 also contains information on the type and number of vehicles developed in the project and actually in use, and the cities involved in this operation. Information included in appendix 1 is not included in table 4, with the exception of the type of application and the status of the project. The total number of projects included in the final list is 63 (54 ongoing and 9 closed).

  • Development Costs With respect to activities prior to the Amendment Effective Date, each Party was to pay [*] of the total Direct Development Costs of a Product incurred in accordance with the Development Budget (as defined in the Original Agreement). Notwithstanding anything in this Article 6 of this Agreement or in any other provision of this Agreement to the contrary, with respect to activities on and after the Amendment Effective Date, subject to Sections 3.1.2, Alimera will be solely responsible for, and shall pay one hundred percent (100%) of, all development costs of a Product, including Direct Development Costs. Notwithstanding anything in this Article 6 of this Agreement or in any other provision of this Agreement to the contrary, (i) all payments owing by CDS hereunder with respect to development activities prior to the Amendment Effective Date are hereby deemed fully paid by CDS (or waived, to the extent such waiver may be required), including any Development Payments, Compounded Development Payments, Determined Disputed Costs and Compounded Disputed Costs (as all defined in the Original Agreement), further including any penalties and interest which might have accrued with respect thereto, and further including all CDS payments deferred pursuant to that February 11, 2008 letter agreement sent by CDS and executed by CDS and Alimera regarding deferral of payments under the Original Agreement as of such date; (ii) all payments owing by Alimera hereunder with respect to development activities prior to the Amendment Effective Date are hereby deemed fully paid by Alimera (or waived, to the extent such waiver may be required), including any Development Payments, Compounded Development Payments, Determined Disputed Costs and Compounded Disputed Costs (as all defined in the Original Agreement), and further including any penalties and interest which might have accrued with respect thereto; and (iii) subject to Sections 3.1.1 and 3.1.2, from and after the Amendment Effective Date, CDS will have no liability whatsoever hereunder for any past, present or future development costs, including Direct Development Costs (which includes those incurred before, on and after the Amendment Effective Date), and instead Alimera shall have sole liability therefor.

  • Projects The Annexes attached hereto describe the specific projects and the policy reforms and other activities related thereto (each, a “Project”) that the Government will carry out, or cause to be carried out, in furtherance of this Compact to achieve the Objectives and the Compact Goal.

  • Development Budget Attached hereto as Exhibit "B" and incorporated herein by this reference is the Development Budget in an amount equal to $_____________. Owner acknowledges and represents that the attached Development Budget includes the total costs and expenses to acquire, develop, renovate and construct the Real Property and the Apartment Housing.

  • Project Budget A Project Budget shall be prepared and maintained by Grantee. The Project Budget shall detail all costs for which the Grant will be used during each calendar month of the Term. The Project Budget must be approved in writing by the Project Monitor. Grantee shall carry out the Project and shall incur costs and make disbursements of funds provided hereunder by the Sponsor only in conformity with the Project Budget. The current approved Project Budget is contained in Attachment B. Said Project Budget may be revised from time to time, but no Project Budget or revision thereof shall be effective unless and until the same is approved in writing by Project Monitor. The funds granted under this Grant Contract cannot be used to supplant (replace) other existing funds.

  • Development Expenses Novartis shall be solely responsible for the costs and expenses of Developing and commercializing Licensed Products pursuant to the terms of this Agreement, except with respect to Infinity’s research, development and commercialization activities with respect to an Abandoned Profile pursuant to Section 3.3.1 (subject to Section 2.3).

  • Project Costs Simultaneously with the execution of this Agreement, the Company shall disclose to the Department all of the Project Costs which the Company seeks to include for purposes of determining the limitation of the amount of the Credit pursuant to Section 5-30 of the Act and provide to the Department a Schedule of Project Costs in the form as attached hereto as Exhibit C.

  • Annual Business Plan and Budget As soon as practicable and in any event not later than thirty (30) days after the end of each Fiscal Year, a business plan and operating and capital budget of the Borrower and its Subsidiaries for the ensuing four (4) fiscal quarters, such plan to be prepared in accordance with GAAP and to include, on a quarterly basis, the following: a quarterly operating and capital budget, a projected income statement, statement of cash flows and balance sheet, calculations demonstrating projected compliance with the financial covenants set forth in Section 9.15 and a report containing management’s discussion and analysis of such budget with a reasonable disclosure of the key assumptions and drivers with respect to such budget, accompanied by a certificate from a Responsible Officer of the Borrower to the effect that such budget contains good faith estimates (utilizing assumptions believed to be reasonable at the time of delivery of such budget) of the financial condition and operations of the Borrower and its Subsidiaries for such period.

  • Development of the Project 4.1 TSP's obligations in development of the Project: Subject to the terms and conditions of this Agreement, the TSP at its own cost and expense shall observe, comply with, perform, undertake and be responsible:

  • Special Projects 2:01 The parties hereto express their intent to consider amending certain provisions of this Collective Agreement, by way of an appendix, where this action appears necessary and appropriate for certain projects. The provisions must be mutually agreed upon by the parties hereto.
