Settlement Claims Process. (a) The Settlement Administrator shall have the authority to determine whether a Claim Form is valid, timely, and complete. Specifically, the Settlement Administrator will determine for each Settlement Claim received whether: (1) the Claimant is a Settlement Class Member; (2) the Settlement Claim has been submitted by the Claims Deadline; (3) the Claimant has provided all information required in or with the Claim Form; and (4) the Claimant appears to meet the criteria for the type of Settlement Claim submitted (i.e. User Claim or Paid Subscription Claim).

Settlement Claims Process. Each Class Member will receive his or her portion of the Guaranteed Funds, irrespective of whether that Class Member submits a claim for his or her respective portion of the Claimable Funds. To make a claim for the Class/Collective Member’s portion of the Claimable Rule 23 Funds and Claimable FLSA Funds, the Class Member must submit a claim to the Class Administrator via US mail, fax, email, or secure website, including verifying his or her identity by: (1) indicating their name, date of birth, and last four digits of his or her social security number on a paper or online Claim/Opt-In Form; (2) and physically or electronically signing the Claim/Opt-In Form. Copies of the class/collective notice, and proposed Claim/Opt-In Form are attached hereto as Exhibit C. The Class/Collective Members will have 60 calendar days from the date of initial sending of the class notice to make a claim/opt-in for the Class/Collective Member’s share of the Claimable Funds. Upon receipt of the Claim/Opt-In Forms, the Class Administrator will confirm that the name, date of birth, and last four digits of the Class/Collective Member’s social security number listed on the form match the information contained in ABM’s payroll records. Each person submitting a fully executed Claim/Opt-In Form shall be deemed a Qualified Claimant. Within thirty days of the Effective Date, the Claims Administrator shall mail each Class/Collective Member a check including (a) his or her share of the Guaranteed Funds, and (b) for Class/Collective Members who are also Qualified Claimants, his or her share of the Claimable Funds. Class/Collective Members who fail to become Qualified Claimants will not receive any portion of the Claimable Funds. The Class Representative is hereby deemed to have already submitted a claim and shall be considered a Qualifying Claimant for all purposes under this Settlement Agreement. The Class/Collective Members who submitted a Claim/Opt-In Form or opted out in response to the original notice need not do so again in response to the supplemental notice; their choice will remain unless it is changed. For anyone who opts in or out in response to the supplemental notice, that second response will be their choice.

  • Claims Process (1) In order to seek payment from the Settlement Amount, a Class Member must submit a completed Claim Form to the Administrator, in accordance with the provisions of the Plan of Allocation, on or before the Claims Bar Deadline and any Class Member who fails to do so shall not share in any distribution made in accordance with the Plan of Allocation unless the relevant court orders otherwise as provided in section 18.4.

  • Claims Procedure An Executive or Beneficiary (“claimant”) who has not received benefits under this Agreement that he or she believes should be distributed shall make a claim for such benefits as follows:

  • Payment Claims Subject to clause 11.3, the Contractor must give the PDS Contractor claims for payment on account of the Contract Price and all other amounts then payable by the Commonwealth to the Contractor under the Contract: at the times specified in the Contract Particulars until Completion or termination of the Contract (whichever is earlier); unless terminated earlier: after Completion, within 28 days (or such longer period agreed in writing by the PDS Contractor) after the issue of a Completion certificate under clause 13.1; and after the Defects Liability Period, within the time required by clause 11.9; in the format set out in the Schedule of Collateral Documents or in any other format which the PDS Contractor reasonably requires; which are based on the Table of Variation Rates and Prices or the Schedule of Rates to the extent these are relevant; which show separately the amounts (if any) claimed on account of the: Contract Price; and all other amounts then payable by the Commonwealth to the Contractor under the Contract; and which set out or attach sufficient details, calculations, supporting documentation and other information in respect of all amounts claimed by the Contractor: to enable the PDS Contractor to fully and accurately determine (without needing to refer to any other documentation or information) the amounts then payable by the Commonwealth to the Contractor under the Contract; and including any such documentation or information which the PDS Contractor may by written notice from time to time require the Contractor to set out or attach, whether in relation to a specific payment claim or all payment claims generally.

  • Appeals Process A. The Contractor’s appeal process shall, at a minimum:

  • Claims Procedures Each Party entitled to be indemnified by the other Party (an “Indemnified Party”) pursuant to Section 8.1 or 8.2 hereof shall give notice to the other Party (an “Indemnifying Party”) promptly after such Indemnified Party has actual knowledge of any threatened or asserted claim as to which indemnity may be sought, and shall permit the Indemnifying Party to assume the defense of any such claim or any litigation resulting therefrom; provided:

  • Settlement Class 2. Pursuant to Rule 23(e)(1)(B)(ii) of the Federal Rules of Civil Procedure, the Court preliminarily finds that the Court will likely find that the requirements of Federal Rules of Civil Procedure 23(a) and 23(b)(3) have been satisfied for settlement and judgment purposes only. As to the requirements of Rule 23(a) for settlement purposes only, (i) the Settlement Class provisionally certified herein likely exceeds 100,000 individuals, and joinder of all would be impracticable; (ii) there are questions of law and fact common to the Settlement Class; (iii) Class Representatives’ claims are typical of the claims of the Settlement Class they seek to represent for purposes of settlement; and (iv) Class Representatives are adequate representatives of the Settlement Class. As to the requirements of Rule 23(b)(3) for settlement purposes only, questions of law and fact common to the Settlement Class predominate over any questions affecting any individual Settlement Class Member, and a class action on behalf of the Settlement Class is superior to other available means of settling and disposing of this dispute.

  • Settlement Class Members “Settlement Class Members” shall mean all persons in the Class who do not exclude themselves pursuant to Section F, herein, and those who submit a Valid Claim.

  • Claim Procedure Any Person entitled to indemnification hereunder shall (i) give prompt written notice to the indemnifying party of any claim with respect to which it seeks indemnification (provided that the failure to give prompt notice shall impair any Person’s right to indemnification hereunder only to the extent such failure has prejudiced the indemnifying party) and (ii) unless in such indemnified party’s reasonable judgment a conflict of interest between such indemnified and indemnifying parties may exist with respect to such claim, permit such indemnifying party to assume the defense of such claim with counsel reasonably satisfactory to the indemnified party. If such defense is assumed, the indemnifying party shall not be subject to any liability for any settlement made by the indemnified party without its consent (but such consent shall not be unreasonably withheld, conditioned or delayed). An indemnifying party who is not entitled to, or elects not to, assume the defense of a claim shall not be obligated to pay the fees and expenses of more than one counsel for all parties indemnified by such indemnifying party with respect to such claim, unless in the reasonable judgment of any indemnified party a conflict of interest may exist between such indemnified party and any other of such indemnified parties with respect to such claim. In such instance, the conflicted indemnified parties shall have a right to retain one separate counsel, chosen by the Holders representing a majority of the Registrable Securities included in the registration if such Holders are indemnified parties, at the expense of the indemnifying party.

  • Settlement of Dispute Any disputes under the Agreement shall be settled at first through friendly consultation between the parties hereto. In case no settlement can be reached through consultation, each party shall have the right to submit such disputes to China International Economic and Trade Arbitration Commission in Beijing. The Place of arbitration is Beijing. The arbitration award shall be final and binding on both parties.
