Shared Environment. (A) Supplier will notify Customer if Supplier is to provide Customer with Products or Services from a Shared Environment. (B) Supplier will not provide any Services to Customer from a site or facility of any person or entity that is now or in the future competitive with Customer's business, without Customer's prior written consent. (C) Supplier will develop a process, subject to Customer's approval, to restrict access in any Shared Environment so that Customer Confidential Information cannot be accessed by any other customer of Supplier. (D) Supplier will not provide or market Products or Services to a third party from a Customer Site without Customer's prior written consent.
Shared Environment. In the event that MGEN desires to migrate services or technology subject to this Agreement to a shared environment or from one shared environment to another shared environment, MGEN will, prior to migrating such services or technology, (1) advise FNIS of such desire; (2) consult with FNIS on a proposal and transition plan; (3) demonstrate to FNIS's reasonable satisfaction that the use of such shared environment will not result in any additional cost or decreased Service Levels to FNIS and that there are no increased risks to FNIS regarding security of FNIS Data or the disclosure of FNIS's Confidential Information in contravention of Section 8; (4) when commercially reasonable, operate in parallel to demonstrate that there are no such increased risks to security, confidentiality, Service Levels or user interfaces; (5) work with FNIS to mitigate any identified risks to FNIS's Business; (6) review with FNIS the effect of such migration on FNIS Regulatory Requirements and contractual obligations and (7) obtain FNIS's consent to the transition plan to the shared environment, as presented.
Shared Environment. Prior to migrating or relocating any of the Services to a Supplier Shared Service Center (other than those contemplated as of the Reference Date), Supplier shall provide to Gap, for Gap’s Approval, a proposal for the migration or relocation of such Services, including benefits, savings, or risks to Gap during the Term and upon the expiration or termination of this Agreement. Gap agrees to evaluate such migration or relocation proposals in good faith, acknowledging the potential that such relocation, while achieved at no additional cost or savings to Gap, may enable Supplier to optimize its financial and delivery commitments under this Agreement.

Shared Environment. The Parties contemplate that, except for the Dedicated Equipment and Dedicated Software identified on Schedules F and G, the hardware and software environment that will be used to provide the Services will likely be an environment that is shared with one or more third parties. Notwithstanding the foregoing, prior to any migration or relocation of any of the Services or SCA's Confidential Information (including SCA Data) to a hardware or software environment that is shared with any Third Party, IBM shall provide to SCA a proposal for such migration or relocation, which proposal shall include information with respect to functionality, security, impact on SCA's IT architecture or strategy and risks to SCA during the Term and following the expiration or termination of this Agreement. Such proposal shall be subject to SCA's review and approval (such approval not to be unreasonably withheld, provided that a reasonable basis for withholding approval shall be any good faith SCA concerns related to security of all or part of the hardware or software environment).
Shared Environment. Service Provider shall not, without Customer's prior written consent, provide any Services on a shared basis with any third party(ies) (including other Service Provider customers). Service Provider will not migrate or relocate any of the Services or any Confidential Information of Customer to a shared hardware or software environment without Customer's prior written consent and without ensuring the physical and electronic security of such Services and/or Confidential Information of Customer.

Shared Environment. HSConnects is built on multitenant architecture. Therefore, the Subscribing County will be using the same SaaS installation as other subscribing counties. Data Sources and Functionality. Currently, HSConnects contains data from the following State systems: CBMS, TRAILS and ACSES. Arapahoe County may choose to add additional data sources as they become available, depending on the value gained by adding additional data sources. Arapahoe County will consider adding additional data sources upon the request of the Subscribing County. Arapahoe County will look at effort, cost, and value to all subscribers when evaluating additional data source requests. Arapahoe County may require the subscriber pay an additional fee for adding additional data sources. If the Subscribing County has liability concerns regarding having its data added to HSConnects from State or third party data sources the Subscribing County may request that its data be excluded from data imports. Requests will be honored unless there is a compelling case made that excluding the data from the Subscribing County impacts the ability of the other subscribing counties to complete their required duties, and that the Subscribing County would normally have access to this data through common State or third party data sources.

Shared Environment. Prior to migrating or relocating any of the Services to a IBM Shared Service Center (other than those contemplated as of the Signature Date) or to any shared hardware or software environment, IBM shall provide to VMU, for VMU’s approval (which shall not be unreasonably withheld), a proposal for the migration or relocation of such Services, including benefits, savings, or risks to VMU during the Term and upon the expiration or termination of this Agreement. VMU agrees to evaluate such migration or relocation proposals in good faith, acknowledging the potential that such relocation, while achieved at no additional cost or savings to VMU, may enable IBM to optimize its financial and delivery commitments under this Agreement. If (a) IBM provides the Services to VMU from a IBM Shared Service Center or any other IBM Service Location that is shared with a third party or third parties and any part of the business of VMU or any such third party is now or in the future competitive with VMU’s business, then IBM, at VMU’s request, shall develop a process, to restrict access in any such shared environment to VMU’s Proprietary or Confidential Information so that IBM or IBM Personnel providing services to such competitive business shall have no access to VMU’s Proprietary or Confidential Information.
