Shipment Risk of Loss and Delivery. Seller shall use reasonable efforts to meet any performance dates to render services specified in the PO and any such dates shall be estimates. Unless otherwise mutually agreed by the Parties, the Goods shall be delivered or made available to Buyer according to the EXW INCOTERMS ® (ICC 2020 Edition) and at the agreed delivery place. Risk of loss will pass to Buyer according to the applicable INCOTERMS®. Delivery of quantities that differ from the quantity specified on the PO shall not relieve Buyer from its obligation to accept delivery of the Goods as well as the balance of the PO. Changes in delivery schedules, special shipping or packaging, handling conditions requested by Buyer are subject to price adjustment. If Buyer requests that delivery be postponed or if the delivery and/or shipment is delayed or become impossible due to reason not attributable to Seller, the Goods may be stored at Buyer's expense and risk. Seller shall not be liable for any loss, damage, or penalty for delay in shipment or delivery.

Shipment Risk of Loss and Delivery. (a) Shipment. All Company Products will be shipped by Company F.O.B. Company's Livermore, California facility. All international shipments are FCA Company's Livermore, California facility (ICC Incoterms, 2000). Shipments will be made to Distributor's identified warehouse facilities or freight forwarder, subject to approval in writing by Company in advance of shipment. Unless specified in Distributor's order, Company will select the mode of shipment and the carrier. Distributor will be responsible for and pay all, shipping, freight and insurance charges, which charges Company may require Distributor to pay in advance.

Xxxxxxx Xxxport at New York, New York ("JFK") or C.I.F. such other location as the parties may agree. If just one delivery is requested for the full quantity, the customer will specify the delivery date at the time of the order. If several deliveries over 12 (twelve) months are requested, this is acceptable as long as the set quantities and set delivery dates are specified at the time of the order.

Shipment Risk of Loss and Delivery. GigOptix will use commercially reasonable efforts to ship Semiconductor Products to Distributor’s shipping address as set forth in the applicable purchase order by the delivery date specified by GigOptix. Distributor considers “On-Time-Delivery” to be zero (0) days early, and zero (0) days late with respect to GigOptix’s first scheduled delivery date.. All Semiconductor Products will be delivered ex works (Incoterms, 2000) GigOptix’s shipping point. Risk of loss will pass to Distributor when GigOptix makes Semiconductor Products available to the carrier at the shipping point. Distributor will pay all shipping charges, including without limitation transportation charges and insurance premiums, and will be responsible for all taxes, duties, and any other governmental assessment applicable to any shipment.
