SITE AND FACILITY MAINTENANCE. The Provider shall provide and maintain its Facility to ensure the safety of the public and Staff and protect the environment. The Provider shall submit to the Company details of the Facility used. The Provider shall use reasonable endeavours to procure that the Provider maintains (i) its Facility; and (ii) any equipment required (in each case) to react to a Utilisation Instruction and/or Optional Utilisation Request to a standard which the Provider reasonably believes is sufficient to maintain availability and provide the Flexibility Services in accordance with the terms of the Contract. The Company shall have the right acting reasonably to inspect the Facility and the site of Flexible Unit management used by the Provider in providing the Flexibility Services and if in the Company’s reasonable opinion it is unsuitable it shall not be used in the provision of the Flexibility Services and the Company shall not allow any extension of time or be liable for any extra costs incurred by the Provider in respect of providing replacement Facility. The Provider shall allow or procure for the Company such access to the Facility and the Provider’s site of Flexible Unit management as the Company may reasonably require for the purposes of inspecting the Facility and Flexible Unit management during the Provider’s working hours and provided that the Company has given the Provider at least 10 Business Daysnotice of any requirement for such access. INSURANCE Without thereby limiting its responsibilities under Clause 22, the Provider shall procure appropriate insurances required by law and necessary for the safe and efficient performance of this Contract, with a reputable insurance company in the European Union or the United Kingdom, and as a minimum shall keep in force and hold throughout the Contract term , insurance for each insurable risk to a minimum limit as follows: Employer’s liability of £5 million any one claim or number of claims arising out of one event. Public liability of £5 million for any occurrence or series of occurrences arising out of the same event, but limited to £20 million in the annual aggregate. If the Company agrees to the engagement of a Sub-contractor in connection with the provision of the Flexibility Services, the Provider will ensure that the Sub-contractor maintains appropriate insurance to the extent set out in Clause 19. SITE AND FACILITY MAINTENANCE a. The League shall do all things to continuously, actively and diligently keep, inspect, repair and maintain in good order and condition the Facilities located on the Site, whether such Facilities have been developed by the League or the City, reasonable wear and tear expected. This includes any lifecycle repairs or replacement of structures within the Site.

  • Facility Maintenance Seller shall perform, or cause to be performed, all scheduled and unscheduled maintenance required on the Facilities in order to meet the Warranty Specifications and Performance Standards. In that regard, Seller’s responsibilities hereunder shall include, without limitation, promptly correcting any Bloom System or BOF malfunctions, either by (i) recalibrating or resetting the malfunctioning Bloom System or BOF, or (ii) subject to Section 5.7(b), repairing or replacing Bloom System or BOF components which are defective, damaged, worn or otherwise in need of repair or replacement.

  • Site Maintenance The authorized area shall be maintained in a neat, clean, and safe condition, free of any solid waste, debris, or litter, except as specifically authorized herein.

  • Property Maintenance Maintain all of its property that is necessary to or useful in the proper conduct of its business in good working condition, ordinary wear and tear excepted.

  • Support and Maintenance Where Licensee purchases support and/or maintenance services, Licensee’s initial support and/or maintenance term will begin upon delivery to Licensee of the Licensed Software and continue for one (1) year thereafter (or the length of the term if less than a year for any subscription/term license) unless otherwise specified in the applicable annual support and/or maintenance agreement, Product Order, or other written agreement executed between Licensor and Licensee. Where Licensee purchases support and/or maintenance for any Licensed Software, Licensee hereby agrees that it shall purchase such support and/or maintenance services for all of Licensee’s licensed units of such Licensed Software product. Support and/or maintenance services provided by Licensor will be subject to Licensor’s then current applicable standard annual support and/or maintenance agreement unless otherwise agreed by the parties in writing.

  • REPAIRS; MAINTENANCE The Owner hereby gives power to the Agent to supervise repairs, improvements, alterations, and decorations to the Property as well as purchase and pay bills for services and supplies. The Agent shall obtain prior approval of the Owner for all expenditures over $ for any single item. Prior approval for lesser amounts shall not be required for monthly or recurring operating charges or if emergency expenditures over the maximum are, in the Agent’s opinion, needed to protect the Property from damage, prevent injury to persons, avoid suspension of necessary services, avoid penalties or fines, or suspension of services to tenants required by a lease or rental agreement or by law, including, but not limited to, maintaining the Property in a condition fit for human habitation as required by applicable law.

  • Construction and Maintenance There are on-going maintenance, renovation and construction projects taking place in and around the residences. The work typically takes place during regular business hours, but may begin earlier or extend into evenings or weekends. On-going construction or renovation projects will continue through midterm and final exam periods. The University will take measures to ensure that prudent construction practices are followed, but there may be noise, dust and temporary interruption of some services. Residents may be required to temporarily or permanently relocate to facilitate construction or renovation to their residence area. There will be no compensation or reduction to your residence fees due to disruption and/or relocation.

  • Installation, Inspection, and Maintenance The Contractor is responsible for installation and maintenance of the BMPs as a part of its Bid. The Design Professional shall obtain the services of a qualified testing laboratory to inspect the BMPs in accordance with the permits, the costs of such inspections to be borne by the Owner. In the event of Abnormal Weather Conditions or force majeure, the Contractor shall be compensated for re-installation of BMPs at established Unit Prices.

  • Maintenance of Improvements All improvements on the property, including, but not limited to, buildings, trees or other improvements now on the premises, or hereafter made or placed thereon, shall be a part of the security for the performance of this contract and shall not be removed therefrom. Purchaser shall not commit, or suffer any other person to commit, any waste or damage to said premises or the appurtenances and shall keep the premises and all improvements in as good condition as they are now.

  • Planned Maintenance (a) Sellers may designate up to twenty (20) Days of Planned Maintenance on Sellers’ Facilities during each Contract Year. Sellers shall be entitled to reduce (including down to zero (0)) its Gas scheduling under Clause 8 and Exhibit 3 for each Day of Planned Maintenance.

  • TECHNICAL SUPPORT AND MAINTENANCE If technical support and maintenance is a part of the Goods that Contractor provides under the Contract, Contractor will use commercially reasonable efforts to respond to the Department in a reasonable time when the Department makes technical support or maintenance requests regarding the Goods.
