Size of Premises. The Premises shall be measured in accordance with BOMA Standard of Measurement, utilizing the ANSI/BOMA 265.1 method of measurement by Lessor’s architect and verified by Lessee’s architect. Lessor represents the common area factor to be zero.

Any payment due from either party to the other as a result of any adjustments made hereunder shall be paid promptly upon rendition of a statement by the party entitled to additional Rent, or Rent refund, as the case may be.

Landlord and Tenant acknowledge, stipulate and agree that the Premises are comprised of a total of 238,600 rentable square feet determined in accordance with the Lease and that the foregoing stipulated rental square foot area of the Premises shall be utilized for all purposes of the Lease, including, without limitation, for the calculation of Base Monthly Rental. Landlord and Tenant further acknowledge, stipulate and agree that as contemplated in Section 6 of this Fifth Amendment, as of the date of this Fifth Amendment and continuing until July 31, 2002, Tenant is obligated to pay and shall pay Base Monthly Rental calculated on the basis of 215,500 rentable square feet of space within the Premises. Commencing on August 1, 2002, and continuing thereafter throughout the remainder of the Term of the Lease, Tenant shall be obligated to pay and shall pay Base Monthly Rental calculated on the basis of the entire 238,600 rentable square feet contained within the Premises.

The Premises have been measured in general compliance with the BOMA Standard and have been found to contain approximately 265,057 square feet; provided, however, Landlord and Tenant have stipulated and agreed that the square footage of the Building shall irrevocably be deemed to be the amount set forth as the Rentable Area of the Premises in Section 1.1 herein for all purposes under this Lease, including, without limitation, the calculation of annual Base Rent (“Annual Base Rent”), monthly Base Rent (“Monthly Base Rent”), Additional Rent (where applicable), Tenant’s Proportionate Share of Operating Costs, the Tenant Improvements Allowance or any other calculation under this Lease where the rentable area of the Building or the Premises is relevant. Additionally, whenever this Lease or the exhibits hereto (including, without limitation, Section 7 of Exhibit G hereto) refer to a certain percentage of space in the Building that is leased and/or occupied by Tenant from time to time or otherwise contemplates or requires a determination of the number of rentable square feet of space that is within the Premises at a given time, each floor of the Building conclusively shall be deemed to contain ten percent (10%) of the total Rentable Area of the Premises (i.e., 26,250 square feet).
