Software and Services Fees Clause Samples

Software and Services Fees. Customer shall pay Axeda or its designee (i) the license and service fees specified in, and in accordance with the payment terms in, the applicable Sales Schedule and (ii) within thirty (30) days of the date of invoice, all reasonable travel and out-of-pocket expenses incurred by Axeda or its designee in connection with any services provided hereunder. Fees do not include sales, use, value added or other excise tax. Customer shall pay or (if paid by Axeda) reimburse Axeda for all such taxes based on this Agreement or fees payable hereunder (but not any taxes based upon Axeda's gross revenues or net income), together with any interest on such taxes if not due to Axeda's delay. Amounts not paid when due shall be subject to interest at one and one-half percent (1-1/2%) per month or, if less, the maximum rate of interest allowed by law, calculated from the due date.
