Software Installation and Acceptance. PFPC shall advise the Fund that the Software is installed and functioning on the Equipment (“Software Installation Date”). The Fund shall be deemed to have accepted the Software thirty (30) days after Software Installation Date or thirty (30) days after the Fund’s first use of Software to process live production data (“Software Acceptance Date”).

(a) Installation and Acceptance of the Software provided pursuant to Exhibit A-1 and configured in accordance with Exhibit B shall be performed in accordance with the Configuration Services and Acceptance Tests and criteria set forth in Exhibit B. The parties understand and agree that the Acceptance Tests shall include all tests required to verify that the Software System meets the requirements set forth in the Executive Overview, Concepts Manual, Report Book and other requirements documentation as mutually agreed by the parties, including amendments to the requirements documentation agreed upon after completion of the initial requirements phase.

(a) Promptly after delivery of the Software, the Licensor shall Install the Software on the Hardware provided by the Licensee and/or the Licensor (as identified in Schedule D attached to this Agreement). The Licensor shall successfully conduct all of its own testing procedures on the Software. Thereafter, upon reasonable advance notice to the Licensee, and in the presence of representatives of the Licensee, the Licensor shall conduct the acceptance testing procedure specified in Schedule B, annexed hereto, using a sample of data supplied by the Licensee and converted and entered on the Software by the Licensor at its sole cost. Upon successful completion of every element of the user acceptance test procedure set forth in Schedule B. the Licensee shall issue to the Licensor the UATC. In the event the Software fails to pass any of the Licensor’s acceptance testing procedures or the acceptance test set forth in Schedule B, then Licensor shall have 60 (sixty) days to correct such defect and cause the Software to successfully pass all such acceptance tests, failing which the Licensee may elect to terminate this Agreement and Licensor shall immediately refund all sums that may have been paid in advance to the Licensor by the Licensee hereunder.
(b) Upon written notification by the Licensor of the successful implementation of the modules, the Licensee shall initiate the procedure for granting UATC. Should the granting of UATC by the Licensee gets delayed further than 45 days due to reasons not attributable to the Licensor, the UATC shall be deemed granted by the Licensee. Initiation of procedure for granting of UATC for certain modules like ‘Pay per view, VOD, etc., shall be commenced by the Licensee once the Licensor finalizes and successfully implements such module upon receipt of prior written notification from the Licensee.
Software Installation and Acceptance. Licensor shall use reasonable efforts to deliver the Licensed Copies of the Software and Documentation to the Licensee in reasonable time. Licensee shall have 90 days from the Delivery Date to perform acceptance testing. Licensee's Acceptance of the Software shall occur at the earlier of Licensee's operational use of the Software, or the expiration of 90 days from the Delivery Date without the provision of notice by Licensee to Licensor of any Error(s). If Licensee provides notice to Licensor of any Error(s) and Licensor verifies the alleged Error(s), the Software shall be accepted upon Licensor's correction of such Error(s).

Software Installation and Acceptance. All Software will be deemed to be delivered and accepted, meaning that Software operates in substantial conformity to the Software’s Documentation upon (i) Delivery of the physical media; or

Software Installation and Acceptance. 12.1 Following execution of this Agreement and Polygen's receipt of written notification from Customer that the Equipment is available for installation, Polygen installation personnel will install the Software upon or within the CPU(s). Installation shall be scheduled during normal working hours (8:00 am to 6:00 pm) on normal working days (Monday through Friday), excepting Polygen or Customer observed holidays. Customer shall pay to Polygen an installation fee in the amount specified in the attached "Polygen License Quotation" (Appendix E). Customer agrees to permit complete shut-down of the computer system component of the Equipment and dedication to Polygen Software installation for all periods of time during which actual installation activities occur. Customer shall allow Polygen full and free access to the installation site during installation. Waiver of liability or other restrictions shall not be imposed by Customer as a site access requirement. Customer will allow Polygen to use necessary machines, communication facilities and other equipment (except as normally supplied by Polygen) at no charge. Customer shall provide Polygen installation technicians with reasonable working facilities including, but not limited to, secure storage space, a designated work area with adequate heat and light, and access to a telephone line, upon request of and at no charge to Polygen. Customer agrees to provide at no charge to Polygen suitable storage and scratch media (including spare tapes and disk pack as required) necessary for installation services.
12.2 Polygen installation personnel will subject the Software, as installed upon or within the CPU(s) physically located at Customer's Design Site or Sites identified in the attached "CPU Identification Schedule" (Appendix I), to the attached "Acceptance Test Procedure" (Appendix A). Successful execution of the Acceptance Test Procedure by the Software, or Customer's use of Software for design activities other than user training or testing purposes, shall be conclusively deemed to constitute acceptance of the Software by Customer, and Customer agrees that a duly authorized representative of Customer shall thereupon confirm such acceptance to Polygen in writing as to each CPU on which the Software is installed by execution and delivery of the attached "Licensee Statement of Acceptance" (Appendix B).
