Software Limitations. 1.1 NCR Voyix reserves all rights not expressly granted herein. Except as otherwise agreed to by NCR Voyix, no express or implied license or right of any kind is granted to Customer regarding the NCR Voyix Software or Documentation, including, but not limited to, any right to know, use, produce, receive, reproduce, copy, market, sell, distribute, transfer, translate, modify, or adapt the NCR Voyix Software or Documentation or create derivative works based on the NCR Voyix Software or Documentation or any portions thereof, or obtain possession of any source code or other technical material relating to the NCR Voyix Software. The NCR Voyix Software may not be used for commercial timesharing, service, business or other rental or sharing arrangements. Further, Customer shall not decompile, reverse assemble, or otherwise reverse engineer the NCR Voyix Software.
1.2 With respect to NCR Voyix Software which resides at the Licensed Site, Customer may relocate the NCR Voyix Software and Documentation to another site owned and/or operated by Customer (which new site will replace the old Licensed Site and become the new Licensed Site), but only if Customer gives NCR Voyix at least 15 days’ prior written notice and pNrCoR Vvoiyixd, ed t and all of the NCR Voyix Software and Documentation, and all copies thereof, located at the old Licensed Site are moved to the new Licensed Site.
1.3 In the event that Customer sells a Licensed Site or otherwise ceases operation of business at a Licensed Site, NCR Voyix agrees to allow the transfer of the license to the NCR Voyix Software and Documentation used at such Licensed Site to the new operator of such Licensed Site upon the following terms and conditions: (a) in no event shall the license to the NCR Voyix Software be transferred to any entity that offers for sale or licenses or develops software that is, in NCR Voyix’s reasonabpolteential osupbstiitunte ioron, a replacement for the NCR Voyix Software or any part thereof; (b) the transferee must execute NCR Voyix’s standard form of software license agreement or subscription program agreement, as modified by such terms and conditions as NCR Voyix may reasonably require given the circumstances under which transferee obtained the license to the NCR Voyix Software and Documentation; (c) Customer shall pay the then prevailing transfer fee per Licensed Site charged by NCR Voyix; and (d) prior to the effective date of the transfer, Customer must have paid to NCR Voyix any and all moni...

Provide a short paragraph on any restrictions implied by storage allocation, such as the maximum number of energy groups and mesh points, as well as those due to approximations used, such as implied argument-range limitations. Also to be used to indicate the maximum number of users, etc., or other limitations.
Software Limitations. The Software may be used only for the following:
(1) prepare and e-file your U.S. federal personal tax returns;
(2) prepare and provide information for your personal state tax returns;
(3) e-file your personal state tax returns;
(4) prepare and file your U.S. federal business tax return; and
(5) prepare and provide information for your business state tax returns.
Software Limitations. Must run on a UNIX workstation with >128MB RAM/CPU.

To the best of Awardee’s knowledge, no software comprising a Deliverable or licensed hereunder shall contain any virus, "Trojan horse," timer, clock, counter, or other limiting design, instruction, or routine that would erase data or programming or cause the software or any hardware or computer system to become inoperable or otherwise incapable of being used in the full manner for which it was designed and created (a "Software Limitation"). Awardee shall not include any such Software Limitation in any Maintenance Materials provided to the District. Awardee also shall use all reasonable practices and security procedures necessary to avoid insertion of Software Limitations prior to installation of any Deliverable. Any Deliverable shall operate compatibly with major commercially available virus protection programs that District may use. Further, no Software Limitation shall be triggered by: (i) any Deliverable being used or copied a certain number of times, or after the lapse of a certain period of time; (ii) any Deliverable being installed on or moved to a central processing unit or system that has a serial number, model number, or other identification different from the central processing unit or system on which such Deliverable or licensed software originally was installed; or (iii) the occurrence or lapse of any similar triggering factor or event.
Software Limitations. The Software is:
(a) Provided on an ‘as is’ basis; and
(b) Not designed to perform any functions outside those expressly advertised.

(A) PRIMECARE V9 IS SOLELY A PHYSICIAN'S PRODUCTIVITY ENHANCEMENT PRODUCT.
(B) USE OF PRIMECARE V9 IS NOT INTENDED TO, AND WILL NEVER, REPLACE THE PHYSICIAN'S PROFESSIONAL MEDICAL JUDGMENT AND/OR KNOWLEDGE, AND NEITHER LICENSEE, NOR ANY OF ITS SUB-LICENSEES, SHALL MAKE ANY STATEMENT OR REPRESENTATION TO THE CONTRARY.
(C) THE DIAGNOSTIC CONSIDERATIONS, SUGGESTIONS FOR TESTS AND LISTS OF TREATMENTS, AS WELL AS PATIENT EDUCATION MATERIAL AND PHYSICIAN REFERENCE MATERIAL, CONTAINED IN THIS PRIMECARE V9 ARE NOT COMPLETE, MAY NOT BE CURRENT AND WILL NOT BE USED AS A SUBSTITUTE FOR THE JUDGMENT OF THE PHYSICIAN, AND NEITHER LICENSEE, NOR ANY OF ITS SUB-LICENSEES, SHALL MAKE ANY STATEMENT OR REPRESENTATION TO THE CONTRARY. .
(D) THE LICENSEE ASSUMES TOTAL AND SOLE RESPONSIBILITY FOR VERIFYING ALL INFORMATION CONTAINED IN PRIMECARE V9 BEFORE APPLYING IT IN A CLINICAL SETTING.
Software Limitations. The Software is a collection of sophisticated automated analysis tools, but is not a substitute for a human’s informed judgment or for professional medical advice, diagnosis, or treatment.

You acknowledge that the Software in source code form remains a confidential trade secret of Poker Kings. You may not reverse engineer, decompile, modify, publicly display, prepare derivative works based on, disassemble, or otherwise reproduce or provide others with the Software. You may not sell, assign, sublicense, rent, lease, lend, or directly or indirectly transfer the Software to any third party. Any assignment inviolation of this Agreement is void. CHANGES IN SOFTWARE FUNCTIONALITY: By accepting the terms of this Agreement, you agree that Poker Kings is permitted to limit, deny, update or cancel some or all of the functionality of this Software at any time, without prior notice. You agree to bear the risks of and hold Poker Kings harmless for any and all effects that a change in functionality may have on Your ability to use the Software. The Company may require, as a condition to Your continued access to company's services, Your acceptance of Software improvements, corrections, adaptations, conversions to more recent Software versions or any other changes to the Software.
