Standard for Performance. Subject to the terms of this Agreement, Gallagher will use its best efforts to render the services and complete the Project Assignment by the applicable completion dates.

PDF Solutions shall perform and deliver the Services and Technology under this Agreement in accordance with the standards and practices of care consistent with the quality of services PDF Solutions performs for its other similarly situated clients. Standard for Performance. The Payroll and Benefit Services shall be provided to all of ALC’s current employees and any future employees hired by ALC during the Term in the same manner and quality as are currently provided to ALC employees and to the employees of EHSI.

Notwithstanding the foregoing, the parties acknowledge that TIG possesses special expertise in the acquisition and management of timberland investments and agree that, in carrying out its obligations under this Agreement, TIG will adhere to a standard of care that incorporates the knowledge, skill and diligence that a prudent expert in managing timberland investments, familiar with the circumstances then present, would exercise in dealing with the property of another Person; provided, however, that the level of effort that TIG shall be expected or required to apply in the performance of its duties hereunder shall be no greater than the commercially reasonable efforts of a similarly situated provider with the expertise of TIG..

All deadlines set forth in the Agreement are binding and may be modified only by subsequent written agreement of the parties. The Consultant shall devote such time to performance of its duties under this Agreement as is reasonably necessary for the performance of such duties in accordance with the terms of this Agreement within the deadlines set forth herein. Nothing in the foregoing shall be construed to alter the requirement that time is of the essence in this Agreement.
Standard for Performance. Unless otherwise expressly provided for in this AGREEMENT, PSE&G shall undertake and discharge any obligation it has in this AGREEMENT to, inter alia, design, construct, install, operate, maintain, repair, replace, reinforce, rearrange, purchase, select, examine, review, inspect or accept any facility or equipment pursuant to and in accordance with any applicable PSE&G practice(s), standard(s) and/or procedure(s). PSE&G shall use the same care and diligence in controlling the costs of any such activity(ies) SELLER is required to make payment for under this AGREEMENT as if the activity(ies) was being performed by and for PSE&G's own account.

Executive shall comply with all applicable laws and any Company requirements in the course of performing the Services. If Executive’s work requires a license, Executive has obtained that license and the license is in full force and effect.
