Standards for Performance of the Services. Subject to the ----------------------------------------- limitations on Operator's authority set forth herein, Operator shall perform the Services in all material respects in a prudent and efficient manner and in accordance with (i) the O&M Manuals, (ii) the applicable subcontractor and vendor warranties as provided by Owner to Operator, (iii) the applicable Annual Operating Plan and Annual Budget, (iv) all Applicable Laws, licenses, permits, governmental approvals and standards, (v) the Facility Agreements, (vi) the requirements under the insurance policies maintained by Owner (copies of which will be provided to Operator before the Commencement Date) and Operator with respect to the Project, (vii) Prudent Operating and Maintenance Practices, (viii) applicable guidelines established by NERC and the Institute of Electrical and Electronic Engineers, Inc. and (ix) the terms of this Agreement. Operator acknowledges that it has received and reviewed copies of all Facility Agreements described on Appendix B.

Operator shall perform the Services required under this Agreement, including those set forth in Appendix A, in a prudent, reasonable, and efficient manner and in accordance with (i) Operating Manuals, the Administrative Procedures Manual and applicable vendor warranties, (ii) the applicable Annual Project Operating Plan and Annual Budget, (iii) all applicable Laws, (iv) Prudent Utility Practices, (v) the Project Agreements, (vi) the requirements of any System Operator, and (vii) all insurance policies specified in Article 9 of this Agreement. Operator shall use all reasonable efforts to optimize the useful life of the Project and to minimize Reimbursable Costs and Project outages or other unavailability.
Standards for Performance of the Services. (a) Operator hereby acknowledges that it has received and reviewed the terms and conditions of the forms of Project Documents and Project Related Documents appended hereto as Exhibit C. Operator shall fully comply with all terms of such Project Documents, Project Related Documents and Insurance Policies applicable to the operation and maintenance of the Project or otherwise related to or affected by Operator’s performance of the Services, except to the extent required by Prudent Utility Practices. If Prudent Utility Practices require otherwise, Operator shall notify Owner as soon as it becomes aware of any such conflict or inconsistency and provide Owner with a recommended means of resolving the conflict or inconsistency. As soon as practicable following delivery to Operator of any Additional Agreement, Operator will be fully aware of and in performing the Services shall fully comply with all the terms and conditions of such Additional Agreements that are applicable to the operation and maintenance of the Project, except to the extent required by Prudent Utility Practices; provided, however, that Operator will be entitled to an equitable adjustment of the Budgets, if appropriate to account for any impact on Operator’s cost of providing the Services as a result of any such Additional Agreements. If Prudent Utility Practices conflict or are inconsistent with the terms of an Additional Agreement, Operator shall notify Owner as soon as it becomes aware of the conflict or inconsistency and provide Owner with a recommended means of resolving the conflict or inconsistency. This Section 3.6(a) shall not be deemed to make Operator a party to any Project Document, Project Related Document or Additional Agreement.

Groove shall perform the Scope of Services as provided in this Agreement, including those provided in Exhibit “A”, in a prudent, reasonable, and efficient manner and in accordance with (i) Groove operating manuals, (ii) applicable vendor warranties, (iii) all applicable laws, (iv) prudent and reasonable practices, and (v) the Agreements. Groove, or at Groove’s sole discretion, Groove approved subcontractor(s) (collectively “Groove Personnel”), shall provide as reasonably necessary all labor and professional, supervisory and managerial Personnel as required to perform the Scope of Services. All Groove Personnel shall be qualified to perform the duties under the Scope of Services and shall act in a reasonable manner that is consistent with the intent and purpose of this Agreement.
