MANAGERIAL PERSONNEL. Hanover shall make sufficient number of its officers and employees available to manage and operate the Business as Hanover shall in good faith determine to be necessary. Such officers and employees shall be employees of Hanover and shall report to and be responsible to Hanover. Such officers and employees shall not be employees of OEC.
MANAGERIAL PERSONNEL. Borrower has and shall maintain adequate managerial personnel to implement and execute Borrower's business operations as set forth in the Approved Full Term Operating Business Plan.
MANAGERIAL PERSONNEL. Upon Client's written request, North American shall provide Client with the services of managerial and supervisory personnel as deemed necessary by Client at such prevailing rates as the parties hereto shall agree and shall schedule at Exhibit A, including amendments thereto (the "Managerial Personnel"). North American shall invoice Client for all Managerial Personnel consistent with the rate structure specified in Exhibit A.
MANAGERIAL PERSONNEL. Manager shall hire, in its name all personnel necessary to fulfill its obligations hereunder. Owner will review and approve key personnel required to reasonably operate the Project from time to time as requested by Owner (“Project Staff”). Owner shall employ and compensate Project Staff and fund and pay any Employee Burden.
MANAGERIAL PERSONNEL. Manager shall hire, in its name or that of its Affiliates, all personnel reasonably necessary to fulfill its obligations hereunder (“Project Staff”). In the event Manager wishes to transfer any of the Project Staff that were assigned to the Project as of the Effective Date to any other property owned or managed by Manager or its Affiliates, Manager shall use commercially reasonable efforts to provide Owner reasonable prior notice. Other than the items expressly permitted in Schedule 4 attached hereto or as otherwise may be expressly approved in writing by Owner, nothing contained herein shall be deemed to permit Manager to charge, as a Reimbursable Expense or otherwise, the service of Manager’s own employees or for Manager’s overhead, office, administrative, or other expenses (including travel and hotel costs), it being the intent of Owner, TRS and Manager that the Monthly Management Fee payable by Owner shall include all such items. For avoidance of doubt, Project Staff shall not include Manager’s corporate level or off-site employees and any expenses related thereto shall not be charged as a Reimbursable Expense under this Agreement. Manager shall (a) notify Owner and TRS promptly upon learning of any reasonably credible indication that any employees providing services to the Project are intending to unionize, and (b) no sooner than thirty (30) days after such notice, notify Owner and TRS that such reasonably credible indication either (i) continues to exist, or (ii) no longer exists. Manager shall not enter into any collective bargaining agreement directly affecting the Project unless and until it has delivered the notices described in both clauses (a) and (b)(i) and fifteen (15) days have elapsed thereafter.
MANAGERIAL PERSONNEL. The Contractor's resident Food Service Director, Associate Food Service Director(s) and unit manager(s) shall be selected with the prior approval of the University. Any replacement personnel must be acceptable to the University. Positions shall not remain vacant for a period to exceed thirty (30) days. The Contractor shall consult with the University regarding all off- campus transfers of the director, associate director, or unit managers prior to announcing the transfer to the affected individual. The University shall carefully weigh the advantages the transfer may have for the individual affected when determining whether to consent to the transfer request. 6.2.1 A Food Service Director, who shall be selected from candidates having a minimum of ten (10) years food service experience and/or equivalent training and/or formal education in a food service or food service-related area. Six (6) of those years shall have been experience in college and/or University food services with increasingly responsible positions. A minimum of three (3) of those years shall have been in an assistant and/or director's position. The candidates shall have demonstrated proficiency with menu development, a la carte menu item costing and pricing, internal cost accounting and controls, personnel management, and marketing. The Food Service Director shall have particular strength in the area of cash and catering sales and demonstrated skills in marketing each of these. He or she must also be skilled in the operation of a large, high quality summer workshop/conference program. The Food Service Director shall be a full-time onsite director with full authority to work with designated representatives of the University in creating and maintaining a high quality service-oriented food program.

  • Essential Personnel For a period of one year commencing on the effective date of this Agreement, the Adviser and the Fund agree that the retention of (i) the chief executive officer, president, chief financial officer and secretary of the Adviser and (ii) each director, officer and employee of the Adviser or any of its Affiliates (as defined in the Investment Company Act of 1940, as amended (the "1940 Act")) who serves as an officer of the Fund (each person referred to in (i) or (ii) hereinafter being referred to as an "Essential Person"), in his or her current capacities, is in the best interest of the Fund and the Fund's shareholders. In connection with the Adviser's acceptance of employment hereunder, the Adviser hereby agrees and covenants for itself and on behalf of its Affiliates that neither the Adviser nor any of its Affiliates shall make any material or significant personnel changes or replace or seek to replace any Essential Person or cause to be replaced any Essential Person, in each case without first informing the Board of Trustees of the Fund in a timely manner. In Addition, neither the Adviser nor any Affiliate of the Adviser shall change or seek to change or cause to be changed, in any material respect, the duties and responsibilities of any Essential Person, in each case without first informing the Board of Trustees of the Fund in a timely manner.

  • Principal Personnel The management of the Bidder company who make operational decisions.   • MANAGERIAL RESPONSIBILITIES 6.01 Except to the extent provided herein, this Agreement in no way restricts the authority of those charged with managerial responsibilities in the public service.

  • Senior Management If a Dispute occurs that the senior representatives of the Parties responsible for the transaction contemplated by this Agreement have been unable to settle or agree upon within a period of fifteen (15) calendar days after such Dispute arose, Seller shall nominate and commit one of its senior officers, and Buyer shall nominate and commit one of its senior officers, to meet at a mutually agreed time and place not later than thirty (30) calendar days after the Dispute has arisen to attempt to resolve same. If such senior management have been unable to resolve such Dispute within a period of fifteen (15) calendar days after such meeting, or if such meeting has not occurred within forty-five (45) calendar days following such Dispute arising, then either Party shall have the right, by written notice to the other, to resolve the Dispute through the relevant Independent Expert pursuant to Section 16.03.

  • Supervisory Employees ‌ For the purposes of this Article, the parties agree that Supervisory positions are those that are not excluded under Article 2.0 above and that satisfy the following criteria: a) Employees on Salary Schedule 01 who under Plan A "Nature of Supervision" have either Degree 3 (or higher) or its equivalent; b) Employees on Schedules 02 or 03 on condition they normally supervise other employees.

  • Labour Management Committee (a) Where the parties mutually agree that there are matters of mutual concern and interest that would be beneficial if discussed at a Labour Management Committee Meeting during the term of this Agreement, the following shall apply. (b) An equal number of representatives of each party as mutually agreed shall meet at a time and place mutually satisfactory. A request for a meeting hereunder will be made in writing prior to the date proposed and accompanied by an agenda of matters proposed to be discussed, which shall not include matters that are properly the subject of grievance or negotiations for the amendment or renewal of this agreement. (c) It is agreed that the topic of a rehabilitation program for drug and alcohol abuse is an appropriate topic for the Labour-Management Committee. It is also agreed that the topic of the utilization of full-time and part-time staff is an appropriate topic for the Labour-Management Committee. The committee shall have access to work schedules and job postings upon request. (d) It is understood that joint meetings with other Labour-Management Committees in the Hospital may be scheduled concerning issues of mutual interest if satisfactory to all concerned. (e) Where two or more agreements exist between a Hospital and CUPE the Committee may be a joint one representing employees under both agreements, unless otherwise agreed.

  • Project Personnel It is understood and agreed that the Project Director identified at Item 3, Page One of this Agreement shall be responsible for the overall supervision and conduct of the Work on behalf of the Contractor and that the persons described in the Statement of Work shall serve in the capacities described therein. Any change of Project Director by the Contractor shall be subject to the prior written approval of NYSERDA. Such approval shall not be unreasonably withheld, and, in the event that notice of approval or disapproval is not received by the Contractor within thirty (30) days after receipt of request for approval by NYSERDA, the requested change in Project Director shall be considered approved. In the event that NYSERDA requires additional time for considering approval, NYSERDA shall notify the Contractor within thirty (30) days of receipt of the request for approval that additional time is required and shall specify the additional amount of time necessary up to thirty (30) days.

  • Inherent Managerial Rights The exclusive representative recognizes that the School District is not required to meet and negotiate on matters of inherent managerial policy, which include, but are not limited to, such areas of discretion or policy as the functions and programs of the employer, its overall budget, utilization of technology, the organizational structure and selection and direction and number of personnel.
