Sub-Contracted Services. We may Sub-Contract wood destroying insect inspections, water tests, and other tests, but only at your specific request. When this is done, it will be disclosed on the first page of this agreement as "sub-contracted". The cost for these subcontracted services is included in the total fee payable to Arch Inspections LLC. as a convenience only. If the client wishes, these fees for additional sub-contracted services may be paid directly to the providers of such services and deducted from the total fee. We assume no responsibility for errors and omissions or negligence by independent subcontractors. Disputes related to subcontracted services must be settled directly with the sub-contractor providing the additional service.

Sub-Contracted Services. In the event Provider desires to subcontract with another vendor to manage or control the delivery of Covered services to all Members or residents of the health care facility, Provider shall notify Horizon NJ Health. Provider shall be responsible for ensuring performance by its subcontractors in a manner consistent with this Agreement including, but not limited to, the inclusion in each such subcontract a provision stating that such vendor shall not xxxx Members, Horizon NJ Health or the State of New Jersey for any services except as expressly permitted in this Agreement. A breach or default by a subcontractor may be treated as a breach or default by Provider and may be subject to termination pursuant to Article 4. In addition to any other obligation hereunder, Provider shall make available to the State of New Jersey any and all contractual or applicable financial records of Provider related to Provider’s subcontractors.

  • TECHNICAL SUPPORT SERVICES 2.1 The technical support services (the "Services"): Party A agrees to provide to Party B the relevant services requested by Party B, which are specified in Exhibit 1 attached hereto ("Exhibit 1").

  • Support Services HP’s support services will be described in the applicable Supporting Material, which will cover the description of HP’s offering, eligibility requirements, service limitations and Customer responsibilities, as well as the Customer systems supported.

  • Manufacturing Services Jabil will manufacture the Product in accordance with the Specifications and any applicable Build Schedules. In the event of Jabil’s rejection of a proposed Build Schedule, Jabil’s notice of rejection will specify the basis for such rejection.   • TAX SUPPORT SERVICES BNY Mellon shall provide the following tax support services for each Fund:  Provide various data and reports as agreed upon in the SLDs to support TRP’s tax reporting and tax filing obligations, including: · Wash sales reporting; · QDI reporting; · DRD reporting; · PFIC analysis; · Straddle analysis; · Paydown adjustments; · Equalization debit adjustments · Tax compliance under §851, §817(h); · Foreign bond sale analysis (§988); · Troubled debt analysis; · Estimation of income for excise tax purposes; · Swap analysis; · Inflation adjustments; · §1256 adjustments; · Market discount analysis; OID adjustments; · CPDI analysis; · Shareholder tax reporting information (e.g. FTC, UGG income, foreign source income by country, exempt income by state);  Provide data, and reports based on such data, maintained by BNY Mellon on its fund accounting platform as reasonably requested by TRP to support TRP’s obligations to comply with requests from tax authorities and TRP’s tax reporting and tax filing obligations.  Assist with other tax-related data needs as mutually agreed upon in writing from time-to-time.

  • Transitional Services Contractor shall provide Transitional Services to offenders who are being released from a prison, an assessment/sanction center, prerelease center, or treatment center for up to the first 90 days of community supervision after release. A Probation and Parole Officer (PO) will determine the specific services to be provided to each offender based on the offender’s needs and individualized case plan as determined or developed by the State. The referring PO will complete an agreed upon referral form designating the services selected. Contractor will confirm availability of services, establish a start date, and return the referral form to the PO and the designated State staff.

  • Technical Services Party B will provide technical services and training to Party A, taking advantage of Party B’s advanced network, website and multimedia technologies to improve Party A’s system integration. Such technical services shall include:
