SUB-CONTRACTING - ASSIGNMENT. Complete sub-contracting is forbidden. The Supplier cannot partially subcontract or assign the Order without the prior written agreement of the Company. Having recourse to sub-contracting does not release the Supplier from any of its obligations to the Company.
SUB-CONTRACTING - ASSIGNMENT. Neither Party may assign this Agreement or its obligations hereunder, nor may contract with third parties to perform any of its obligations hereunder, without the other Party's prior written consent which shall not be unreasonably withheld or delayed. However, SPONSOR shall have the right, upon prior written notice to INSTITUTION, to assign this Agreement to any of its affiliates, to a contract research organization in connection with the transfer of SPONSOR’s obligations or in connection with a merger or other corporate reorganization, or otherwise in connection with a transfer of all of SPONSOR's assets that bear on the Study Drug.
SUB-CONTRACTING - ASSIGNMENT. 16.1 Neither XXXX nor LNER may subcontract or delegate the provision of any of the Services which are to be provided under this Agreement without the prior written consent of the Secretary of State.
SUB-CONTRACTING - ASSIGNMENT. (i) Except in respect of goods and services bought or procured in the normal course of the Seller's business no work under the contract shall be sub-let without CU Phosco's written consent. A copy of the Seller's sub- order should in all cases be sent to CU Phosco at the time it is placed.
SUB-CONTRACTING - ASSIGNMENT. The INSTITUTION and/or the INVESTIGATOR may not assign this Agreement or its obligations hereunder, nor may contract with third parties to perform any of its obligations hereunder, without the SPONSOR's prior written consent. SPONSOR may assign this Agreement or its obligations hereunder or may contract with third parties to perform any of its obligations hereunder. In such case SPONSOR shall inform INSTITUTION thereof in writing within a reasonable period of time.
SUB-CONTRACTING - ASSIGNMENT. 17.1 Supplier shall not sub-contract (or purport to sub-contract) any of its obligations or liabilities under this Agreement without the prior written consent of Customer.
SUB-CONTRACTING - ASSIGNMENT. The Company reserves the right to sub-contract the whole or any part of this Contract, the benefit of which may not be assigned without prior written consent of the Company.
SUB-CONTRACTING - ASSIGNMENT. 3.3.1 This Contract is personal to the Provider and the Provider shall not except as otherwise provided in this Contract assign or sub contract this Contract or any part of it or any individual Order or any rights or obligations there under without the Authority's previous consent in writing. Such consent shall be in the absolute discretion of the Authority and if given shall not relieve the Provider from any liability or obligation under the Contract and the Provider shall be responsible for the acts, default or neglect of any such contractors, its employees or agents in all respects.
SUB-CONTRACTING - ASSIGNMENT. 13.1 The Partners acknowledge that neither of them shall be entitled to assign the whole or part of their rights or obligations under this Agreement unless permitted or required to do so by any statutory provision in consequence of any transfer of their respective Functions to another body or agency.
SUB-CONTRACTING - ASSIGNMENT. 25. The Supplier shall not sub-contract the whole or any part of the performance, provision, supply and delivery of the Goods/Services to any other person without the written consent of the Company.
