SUBCONTACTORS. No part of this contract shall be subcontracted by the Contractor without the prior written approval of the Engineer. The Contractor shall be fully responsible to the City for the acts and omissions of its subcontractors and of persons either directly or indirectly employed by them, as it is for the acts and omissions of persons directly employed by Contractor. The Contractor shall not award work to any subcontractor, nor to any combination of subcontractors in excess of fifty percent (50%) of the contract price, without prior written approval of the Engineer. All subcontractors need to file a preliminary notice with the bonding company. Listed subcontractors are subject to the Engineer’s approval. The Contractor shall incorporate this Agreement into all subcontracts it makes for work on the Project. The Contractor authorizes the City to contact the proposed subcontractors listed about their work on the Project, payments, bonding, and other aspects of the work relative to this Agreement.
SUBCONTACTORS. Pursuant to the License, H3C has the right to subcontract (and grant corresponding sublicenses under its rights in the License for) the design, development, manufacturing, testing, verification and distribution of the [****] to its Subcontractors under the “have designed or developed,” “have made, tested and verified” or “have distributed” rights granted to H3C in the License; provided that (i) H3C may in no event grant any such sublicense or disclose or provide any Licensed Technology to any Mellanox Competitor; (ii) each Subcontractor agrees in writing not to use any Licensed Technology for any purpose other than designing, developing, manufacturing, testing, verifying or distributing the [****], as applicable, in accordance with all of the terms and conditions of this Agreement, including confidentiality obligations, and to return to H3C all Licensed Technology and other Confidential Information provided to the Subcontractor upon the completion or termination of Subcontractor’s work (or upon H3C’s request); and (iii) H3C [****] = Certain confidential information contained in this document, marked by brackets, has been omitted because it is both (i) not material and (ii) would be competitively harmful if publicly disclosed. will be responsible for any unauthorized disclosure or misuse of any Licensed Technology by any such Xxxxxxxxxxxxx. X0X may disclose Licensed Technology to a Subcontractor only to the extent necessary for such Subcontractor to carry out its subcontracting services for H3C. Nothing herein will be deemed to grant any Subcontractor any license under any Mellanox Intellectual Property Rights. H3C also agrees that Mellanox is an intended third-party beneficiary with respect to the enforcement of the confidentiality provisions against each Subcontractor that is provided with Licensed Technology or other Confidential Information.
SUBCONTACTORS. 16.1. Caznet Pty Ltd may, without the consent of the Client, engage a third party to assist in or take over the responsibility of the provision of part or all of the products and services.
SUBCONTACTORS. Notwithstanding Section 7 above, CONSULTANTS may use the subcontractors identified in EXHIBIT D, entitled “COMPENSATION” in performing work under this AGREEMENT. Change in subcontractors shall be made only with the prior written approval of the CITY’s Director of Environmental Services (DIRECTOR). CONSULTANTS shall be responsible for directing the work of the approved subcontractors and for any compensation due to any approved subcontractors. CITY assumes no responsibility whatsoever concerning compensation to subcontractors.

  • Subcontractors The Contractor will not subcontract any work under the Contract without prior written consent of the Department.   • Contractors All LAUSD Contractors and their Representatives are expected to conduct any and all business affiliated with LAUSD in an ethical and responsible manner that fosters integrity and public confidence. A “Contractor” is any individual, organization, corporation, sole proprietorship, partnership, nonprofit, joint venture, association, or any combination thereof that is pursuing or conducting business with and/or on behalf of LAUSD, including, without limitation, consultants, suppliers, manufacturers, and any other vendors, bidders or proposers.   • Review Systems; Personnel It will maintain business process management and/or other systems necessary to ensure that it can perform each Test and, on execution of this Agreement, will load each Test into these systems. The Asset Representations Reviewer will ensure that these systems allow for each Review Receivable and the related Review Materials to be individually tracked and stored as contemplated by this Agreement. The Asset Representations Reviewer will maintain adequate staff that is properly trained to conduct Reviews as required by this Agreement.

  • Vendors (a) Section 4.28(a) of the Company Disclosure Letter sets forth, as of the date of this Agreement, the top 10 vendors, suppliers and service providers based on the aggregate Dollar value of the Company and its Subsidiaries’ transaction volume with such counterparty during the trailing twelve (12) months for the period ending December 31, 2022 (the “Top Vendors”).

  • Sub-contractors Transfer Agent may, without further consent on the part of Customer, subcontract with other subcontractors for telephone and mailing services as may be required from time to time; provided, however, that the Transfer Agent shall be as fully responsible to the Customer for the acts and omissions of any subcontractor as it is for its own acts and omissions.

  • Coordinators The contractor shall assign coordinators as needed to coordinate At-Sea Monitor deployment and provide At-Sea Monitor support services. The coordinator shall be designated as key personnel under this contract (per section H.8). All coordinators are required to maintain current At-Sea Monitor Certification.
